SI'I;CIFIC:REQUEST(S)OR RL:COMMENDATION(S)&BACKGROUND AND JUSTIFICATION
1. Recommended Action:
AUTHORIZE the General Manager of the Blackhawk Geologic Hazard Abatement District(GHAD)
to execute a contract with Engeo,Inc., San Ramon,Cali forma in the amount of$120,000.00 to provide
Geotechnical Engineering Services for the Sequoia/Conifer Terrace Project for a contract effective July
1, 2001 to June 30, 2002.
H. Financial Impact:
There will not be any impact on the County General Fund. The Blackhawk GHAD is funded through
revenues generated by County Service Area M-23 and the Blackhawk GHAD will fund 100%of this
contract.
111. Reasons for Recommendation and Background:
In early 2000,a Blackhawk resident retained an independent geotechnical engineering firm to evaluate
cracking in walls of her home. The Blackhawk GHAD was not contacted by either the homeowner or
the homeowner's engineer. The engineering firm retained to complete the study installed a piezometer
and an inclinometer on the property. Approximately six months after retaining the engineer, the
homeowner forwarded a copy of the resulting geotechnical report, as well as a series of monitoring
reports with readings from the piezometer and the inclinometer, to the Blackhawk Homeowners
Association(HOA). The HOA immediately forwarded copies of the reports to the Blackhawk GHAD
for review and evaluation.

The GHAD reviewed the monitoring reports that were forwarded by the HOA and discussed the
findings in the reports with the engineer that had been retained by the homeowner. The District then
tasked Engeo, Inc., who had previously been retained to provide"on-call" geotechnical engineering
services to the GHAD,to review the reports and provide an independent assessment of the situation.
Engeo found that,while the inclinometer installed on the property was showing some potential deep-
seated movement, the available data was insufficient to draw any real conclusions as to what, if
anything, might. be happening. To provide a better understanding of the situation, Engeo
recommended that the GHAD install four inclinometers and four piezometers in the area. In addition,
Engeo suggested that the GHAD install a series of horizontal drains and attempt to lower groundwater
levels in the area.
Because the inclinometer installed by the homeowners' engineer had shown some minor progressive
movement and could be an indication of something more serious,the General Manager consulted with
both the Public Works Department as well as Tim Ryan of Gordon, DeFraga, Watrous &Pezzaglia,
(the GHAD"on-call"legal council)to peer review the District's response and proposed plan of action.
It was the consensus of all parties that an independent geotech-nical engineer should be retained to
advise and assist the District with the review of the original engineering report as well as Engeo's
recommendations. In this regard,Scott Shewbridge Associates,Inc.,Danville,California,a firm with
extensive background in foundation engineering, slope stability evaluation and forensic geotechnical
engineering was identified and retained by the District.
After obtaining License Agreements from the Blackhawk HOA as well as the affected property
owners, the District installed four inclinometers, four piezometers and six horizontal drains in the
spring of 2001. Engeo collected and evaluated data from the monitoring devices as well as the
horizontal drains. While no movement was detected for almost six months, data from some of the
more sensitive devices began to detect very minor sub-surface movement in early June of this year.
While the District's consultants have not been able to draw any reliable conclusions as to the
significance of this data, they recommended that the GHAD conduct additional geotechnical
investigations.
In addition to continuing to collect data from the existing monitoring devices, the GHAD will be
opening a trench in the slope just above Conifer Terrace and drilling two large-diameter holes to
permit a geologist to physically inspect the sub-surface geology in the area. In addition,the GHAD's
consultants have recommended the installation of two very deep (over 200 foot)holes and the taking
of core samples to provide a better understanding of the deeper sub-surface geology. In addition the
GHAD may install supplementary horizontal drains and/or a series of wells to continue efforts to drain
ground water from the hillside.
As noted above, Engeo, Inc. has been retained under an annual "on-call" contract to provide
geotechnical engineering services to the District. In addition to assisting with projects such as Sequoia
Terrace/Conifer Terrace,the contract covers Engeo's work on the Districts Preventative Maintenance
Program as well as geotechnical services on a variety of on-going projects throughout Blackhawk.

Given the extent of the studies on the Sequoia Terrace/Conifer Terrace project,the General Manager is
recommending that Engeo be awarded a separate contract to cover all work on this particular project.
In this regard, the General Manager is recommending that he be authorized to award a contract to
Engeo, Inc. in the amount of$120,000.00 to cover costs associated with the Sequoia/Conifer Terrace
project.
Once this contract is approved, the General Manager anticipates transferring all expenditures for the
Sequoia/Conifer Terrace investigation to date (charged to Engeo's current"on-call"contract) to this
new contract.
IV. Consequences of Negative Action:
Without Board approval,the GHAD would not be able to conduct necessary investigative work on the
Sequoia/Conifer Terrace project and complete all other geotechnical studies that maybe required over
this next year.

11. Ry=rd Retention and Auditing. Except for materials and records delivered to Public Agency,Consultant shall retain all materials and records
prepared or obtained in the performance of this Agreement,including financial records,fora period of at least five years after Consultant's rece4pt
of the final payment under this Agreement. Upon request try Public Agency,at no additional charge,Consultantshall promptly make such records

14. Extra Work. Any work or services in addition to the work or services described in Appendix A shall be performed by Consultant according to the
rates or charges listed in Appendix B. In the event that no rate or charge is listed for a particular type of extra work,Consultant shall be paid for the
extra work at a rate to be mutually agreed on prior to commencement of the extra work In no event shall Consultant be entitled to compensation
for extra work unless a written authorization or change order describing the work and payment terms has been executed by Public Agency prior to
the commencement of the work.
is. Payment Retention. PublicAgency shall retain ten percent(10%)of the monies due the Consultant as security for the fulfillment of this Agreement.
Afterthe Consultant has completed all work underthis Agreement,submitted final billing,and the PublicAgency has found the workto be accurate,
the Public Agency will pay all withheld funds. PublicAgency will pay withheld funds in accordance with the requirements of Civil Code Section 3320
as applicable. Retention will not be withheld for any"on-call"work.
16. Termination by Public Agency. At its option,Public Agency shall have the right to terminate this Agreement at any time by written notice to
Consultant,whether or not Consultant is then in default Upon such termination,Consultant shall,without delay,deliver to Public Agency all
materials and records prepared or obtained in the performance of this Agreement,and shall be paid,without duplication,all amounts due for the
services rendered up to the date of termination.
17. Abandonment by Consultant. In the event the Consultant ceases performing services underthis Agreement or otherwise abandons the project prior
to completing all of the services described in this Agreement,Consultant shall,without delay,deliver to Public Agency all materials and records
prepared or obtained in the performance of this Agreement,and shall be paid forthe reasonable value of the services performed up to the time of
cessation or abandonment,less a deduction for any damages or additional expenses which Public Agency incurs as a result of such cessation or
abandonment.
18. Breach. In the event that Consultant fails to perform any of the services described in this Agreement or otherwise breaches this Agreement,Public
Agency shall have the rightto pursue all remedies provided by law or equity.Any disputes relating to the performance of this Agreement shall not
be subject to non-judicial arbitration. Any litigation involving this Agreement or relating to the work shall be brought in Contra Costa County,and
Consultant hereby waives the removal provisions of Code of Civil Procedure Section 394.
19. Comoliance with Laws, In performing this Agreement,Consultant shall comply with all applicable laws,statutes,ordinances,rules and regulatioris,
whether federal,state or local in origin.This includes compliance with prevailing wage rates and their payment in accordance with California Labor
Code,Section 1775.
20. assignment. This Agreement shall not be assignable or transferable in whole or in part by Consultant whether voluntarily,by operation of law.or
otherwise;provided,however,that Consultant shall have the right to sub-contract that portion of the services for which Consultant does not have
the facilitlec to perform so long as Consultant notifies Public Agency of such subcontracting prior to execution of this Agreement Any other
purported assignment,transfer or sub-contracting shall be void.
21. Subcontrac ing. All subcontracts exceeding$25,000 in cost shall contain all of the required provisions of this contract Consultant will pay each
subeonsultant in accordance with the requirements of Civil Code Section 3321 as applicable.
22. Endorsement on Plans. Consultant shall endorse all plans,specifications,estimates,reports and other items described in Appendix A prior to
delivering them to Public Agency,and where appropriate,indicate his/her registration number.
23. Patents and Copyrights. The issuance of a patent or copyright to Consultant or any other person shall not affect Public Agency's rights to the
materials and records prepared or obtained in the performance of this Agreement. Public Agency reserves a license to use such materials and
records without restriction or limitation,and Publlc Agency shall not be required to pay any additional fee or royalty for such materials or records.
The license reserved by Public Agency shall continue for a period of fifty years from the date of execution of this Agreement,unless extended by
operation of law or otherwise,
24. Indemnification. Consultant shall defend,indemnify,save and hold harmless PublicAgency,Contra Costa County,William R Gray and Company,
Inc.,Blackhawk GHAD,Sands Construction Company,Inc.and their boards,officers and employees from any and all claims,costs and liability for
any damages,injury or death arising directly or indirectly from,or connected with,the services provided hereunder and due to,or claimed or alleged
to be due to,negligence or willful misconduct of Consultant,its officers,employees,agents,subconsultants,or any person under its direction or
control,save and except claims or litigation arising through the sole negligence or sole willful misconduct of PublicAgency,and will make good to
and reimburse the indemnitees for any expenditures,including reasonable attorney's fees,the indemnitees may make by reason of such matters
and,if requested by any of the Indemnitees,will defend any such suits at the cost and expense of Consultant Consultant's obligations under this
section shall exist regardless of concurrent negligence or willful misconduct on the part of the Public Agency or any other person;provided,
however,that Consultant's obligation to indemnify shall be limited to the proportion of negligence or willful misconduct attributable to Consultant,Its
subconsultants,or any person under Consultant's direction or control.
25. Heirs.Successors acid Assigns. Except as provided otherwise in Section 20 above,this Agreement shall inure to the benefit of and bind the heirs,
successors,executors,personal representatives and assigns of the parties.
26. Public Endorsements, Contractor shall not in its Capacity as a contractor with Public Agency publicly endorse or oppose the use of any particular
brand name or commercial product without the prior approval of the Public Agency's governing board. In its Public Agency Contractor capacity,
Contractor shall not publicly attribute qualities or lack of qualities to a particular brand name or commercial product in the absence of a well-
established and widely-accepted scientific basis for such claims or without the prior approval of the PublicAgency's governing board. In its Public
Agency contractor capacity.Contractor shall not participate or appear in any commercially-produoed advertisements designed to promote a
particular brand name or commercial product,even if Contractor is not publicly endorsing a product,as long as the Contractor's presence in tie
advertisement can reasonably be interpreted as an endorsement of the product by or on behalf of PublicAgency. Notwithstanding the foregoing,
Contractor may express its views on products to other contractors, the Public Agencys governing board, its officers,or others who may be
authorized by the Public Agency's governing board or by law to receive such.views.
27. Proied Personnel. In performing the services under this Agreement,Consultant shall use the personnel listed in Appendix C,attached hereto and
made apart hereof by this reference. Changes in project personnel may only be made with Public Agency's written consent,and Consultant shall
notify Public Agency in writing at least thirty(30)days in advance of any proposed change.Any person proposed as a replacement shall possess
training,experfence and credentials comparable to those of the person being replaced.
28. Payment Review. Public Agency's payment for the services performed by Consultant under this Agreement shall be subject to review,
determination of satisfaction,and approval of the Contra Costa County Public Works Department,pursuant to Section 1 of the Joint Exercise of
Powers Agreement dated June 24, 1986 between Public Agency and the County of Contra Costa.

Professional Services Contract
Appendix "A" Scope of Work
Under this contract, Engeo, Inc. (CONSULTANT) agrees to provide professional engineering
services to the Blackhawk Geologic Hazard Abatement District (BH GRAD) on an"on call"task
order basis for work on the Sequoia Terrace/Conifer Terrace project.
Work on specific tasks will be authorized by the General Manager through the issuance of a
subsequent"Notice to Proceed." Work under this contract and on said tasks is subject to the
overall contract payment limit defined Section 1 of this Agreement.
Task orders to be issued under this agreement are likely to include,but will not necessarily be
limited to, the following:
1. Slope Stability Analysis (Engeo proposal dated May 29, 2001). Under this task order,
CONSULTANT will conduct a slope stability analysis of the slope between Sequoia
Terrace and Conifer Terrace in the Blackhawk area. The stability analysis shall consider
both existing groundwater levels and potentially lower water levels as a result of ongoing
dewatering efforts.
2. Monitoring program (Engeo proposal dated July 18, 2001). Under this task,
CONSULTANT, will continue regular monitoring and reporting on data from the various
Blackhawk GHAb installed inclinometers,piezometers and horizontal drains. Reports to
be issued on a monthly basis.
3. Geotechnical Evaluation and Monitoring (Engeo proposal dated August 8,2001}
Under this task order, CONSULTANT will provide all necessary labor, tools, equipment
and supplies necessary to evaluate and provide the Blackhawk GHAD with a better
understanding of deep sub-surface geology in the area. Work to be completed under this
task will include the following:
a. Development of an open a trench in the slope above Conifer Terrace to permit a
geologist to physically inspect sub-surface geology, and
b. The drilling of two large-diameter holes to permit a geologist to physically inspect
the sub-surface geology in the area, and
c. The drilling of two deep (over 200 foot)boreholes and the taking of core samples,
and
d. A report and/or series of reports on the CONSULTANT'S findings.
Work on these and other tasks will be authorized by the General Manager under specific task
authorizations. The above descriptions are intended for information only and specific work is
authorized hereunder.
