SUBJECT: APPROVAL OF TOWN OF DANVILLE AMENDMENT ON LEASE OF 1029 LA GONDA
WAY, (BLDG#3 HAP MAGEE RANCH), DANVILLE, CA WITH MT.DIABLO REGION

SPECIFIC REQUESTS OR RECOMMENDATION(S)&BACKGROUND AND JUSTIFICATION
I. RECOMMENDATION
APPROVE and CONCUR with the actions of the Town of Danville with respect to the First
Amendment to the November 1, 1995 Lease, commencing October 31, 2000, with the Mount
Diablo Region YMCA for 1029 La Gonda Way, (Hap Magee Ranch), for continued occupancy
by the Mount Diablo Region YMCA, under the terms and conditions more particularly set forth
in said Amendment to Lease, and AUTHORIZE the Director of General Services to EXECUTE
said Amendment to Lease to signify approval on behalf of the County.
II. FINANCIAL IMPACT
There is no financial impact to the County.
III. REASONS FOR RECOMMENDATION/BACKGROUND
The former Magee Ranch property was purchased jointly by the County for County Service Area
R-7A and the town of Danville under the terms of a .Joint Powers Agreement approved by the
Board of Supervisors on May 26, 1987. Title is held by the Contra Costa County Public
Facilities Corporation (PFC) to facilitate financing for future park improvements if requested by
the County and City.
On October 24, 1995 the Board approved an amendment to the Master Lease with the PFC to
extend the term of the Master Lease to June 30, 2007 and the Board approved and concurred
with the actions of the Town of Danville to lease the premises at 1029 La Gonda Way commonly
known as Building #3 at Hap Magee Park to the Mt. Diablo Region YMCA for a five year term
commencing November 1, 1995.
The Town of Danville and the Mt. Diablo Region YMCA have agreed to amend the November 1,
1995 Lease to extend the term of the Lease to December 31, 2003, adjust the monthly rental
amount and to provide for two one year extension options. Approval and concurrence by the
County to the Amendment is required. �Q

An amendment to the November 1, 1995 Lease between the Town of Danville and the
Mt. Diablo Region YMCA for 1029 La Gonda Way, (Bldg. #3 Hap Magee Ranch) has
been negotiated as follows: negotiated as follows:
EXTENSION OF SUBLEASE TERM: Termination date of Lease extended from
October 31, 2000 to December 31, 2003.
ADJUSTMENT OF MONTHLY RENTAL: Effective January 1, 2001, monthly rental
shall be adjusted as follows: January 1, 2001-December 31, 2001 $1,300.00
January 1, 2002-December 31, 2002 1,350.00
January 1, 2003-December 31, 2003 1,400.00
PREVIOUS RENTAL: Under the November 1, 1995 Lease, during the term of the
Lease, the Mt. Diablo Region YMCA was required to expend a total of Seventy-five
Thousand Dollars ($75,000) on a combination of renovation work and rent.
EXTENSION OPTIONS: Two one year extension options provided with adjusted rent
as follows: First Option: January 1, 2004-December 31, 2004 @ $1,450.00 per month
Second Option: January 1, 2005-December 31, 2005 @ $ 1,500.00 per month.

FIRST AMENDMENT TO LEASE
1029 LA GONDA WAY BUILDING #3, HAP MAGEE RANCH PARK
DANVILLE, CALIFORNIA
MT. DIABLO REGION YMCA
1. EFFECTIVE DATE AND PARTIES: Effective on October 31. 2000. the Town of
Danville,a municipal corporation hereinafter called"TOWN', and the Mt. Diablo Region
YMCA, a non-profit public benefit corporation,hereinafter called"TENANT", mutually
agree and promise as follows:
2. PURPOSE: Both parties desire to amend that lease entered into between TOWN and
TENANT, dated November 1, 1995 for real property located at 1029 La Gonda Way,
commonly known as`Building 3 at Hap Magee Park", in order to extend the term, adjust the
monthly rent amount and provide for two additional extension options.
3. AMENDMENT:
A. Paragraph.2. TERM: shall be deleted in its entirety and replaced by the following:
2. TERM: The term hereof shall commence November 1, 1995 and shall terminate
December 31, 2003.
B. The following language shall_ be added to Paragraph 3. RENT:
3. RENT: Effective January 1, 2001, TENANT shall pay to TOWN for use of said
Premises a monthly rental amount as follows,payable in advance on the tenth day of
each month during the term of this Lease:
Time Period Monthlv Rent
January 1, 2001-December 31, 2001 $ 1,300.00
January 1, 2002-December 31, 2002 1,350.00
January 1, 2003-December 31, 2003 1,400.00
Rents shall be paid to the address indicated above or to any other location as
designated by the TOWN.
C. Paragraph 3.1 EXTENSION shall be added:
3.1. EXTENSION If TENANT is not in default of this Lease,TENANT has the
option to extend this Lease upon the same terms and conditions,for two ONE (1)
year terms, commencing January 1, 2004 and ending December 31, 2005 except
that the monthly rent shall be adjusted as follows:
A. First Option: For a one(1) year term, commencing January 1, 2004 and ending
December 31, 2004, at a rental of ONE THOUSAND FOUR HUNDRED FIFTY
AND NO /100 DOLLARS ($1.450.00) per month.
B. Second-Option: For a one (1) year term, commencing January 1, 2005 and
ending December 31, 2005, at a rental of ONE THOUSAND FIVE HUNDRED
AND NO /100 DOLLARS ($1.500.00) per month.
It is understood and agreed TENANT shall give TOWN ninety(90) days
prior written notice of its intention to exercise its option to extend this Lease.
However, in the event TENANT does not give such written notice, its right to
exercise its option before termination of the Lease shall not expire until fifteen
(15)working days after receipt of TOWN's written demand to exercise or forfeit
said option.
D. Paragraph 12. SURRENDER OF PREMISES shall be deleted in its entirety
and replaced by the following:

12. SURRENDER OF PREMISES: On the last day of the said term, or sooner
termination of this Lease, TENANT will peaceably and quietly leave and surrender
to TOWN these Premises with their appurtenances and fixtures in good order,
condition, and repair, excepting for reasonable use and wear thereof and damage by
earthquake,fire,public calamity, by the elements,by Act of God, or by circumstances
over which TENANT has no control.
4. EFFECT: Except for the Amendment agreed to herein,the Lease of November 1, 1995
remains in full force and effect.
IN WITNESS WHEREOF, the parties have executed the First Amendment to Lease
as of the day and year first written hereinabove.
