RECOMMENDATION APPROVE an amendment to the Lease, commencing July 1, 2001, with The Cranbrook Group for the premises at 1330 Arnold Drive, Suite# 252, Martinez, California for occupancy by the Health Services Department, Environmental Health and a sublease for the State of California EPA, under the terms and conditions set forth in the lease, and AUTHORIZE the Director of General Services to EXECUTE the Lease Amendment on behalf of the County. II. FINANCIAL IMPACT Required payments are budgeted in the FY 2001/2002 Health Services and State EPA budgets. II. REASONS FOR RECOMMENDATION / BACKGROUND It has recently been determined that the rentable square footage of the original September 1, 2000 lease was not correct. The landlord has requested an adjustment to the rental costs based on the new square footage calculation. The original size was calculated at 1305 square feet and the adjusted size is 1466 square feet. RECITALS A. Lessor and COUNTY entered into a Lease made effective November 15, 2000 ("Lease") for those certain premises, consisting of approximately 1,305 rental square feet of office space, commonly known and designated as 1330 Arnold Drive, Suite 252, Martinez, California, all as more particularly described in the Lease ("Original Premises"). B. COUNTY and Lessor mutually desire to correct errors in the Lease to COUNTY as more particularly described below, on the terms and conditions set forth herein. NOW, THEREFORE, the parties agree as follows: 1. Lease of Premises. Lessor and COUNTY mutually agree that the original Lease incorrectly identified the rentable square footage of the Original Premises as 1,305 rentable square feet. A certain portion of the Original Premises consisting of 161 rentable square feet and identified in Exhibit A-1 as "251" was excluded in the original calculation of rentable area. Effective July 1, 2001, the Original Premises shall be known to consist of approximately 1,466 rentable square feet, and Paragraph A.2 of the Lease shall be amended to read as such. 2. Term. Upon execution of this Amendment, the Term of the Lease shall be extended by sixteen (16) days and shall expire on November 30, 2005. 3. Rent. Upon execution of this Amendment, Paragraph A.5.(a) and A.5.(b) of the Lease shall be amended and shall reflect the following schedule of Rent, payable upon the same terms and conditions as described in the remainder of Paragraph A.5: a. ONE THOUSAND NINE HUNDRED FIFTY-EIGHT AND NO/100 DOLLARS ($1,958.00) per month from November 15, 2000 through October 31, 2001. b. TWO THOUSAND ONE HUNDRED NINETY-NINE AND NO/100 DOLLARS ($2,199.00) per month from November 1, 2001 through October 31, 2002. C. TWO THOUSAND TWO HUNDRED SEVENTY-TWO AND 30/100 DOLLARS ($2,272.30) per month from November 1, 2002 through November 30, 2005. MR512802.3 04-062103987015 -1- d. A one-time charge of NINE HUNDRED SIXTY-FOUR AND N0/100 DOLLARS ($964.00) will be due December 1, 2001. This charge reflects the difference in rent due to the inaccurate area calculation for the period July 1, 2001 through October 31, 2001. 4. COUNTY'S Share. Effective July 1, 2001 in accordance with Paragraph 1 above, the COUNTY's share for purposes of calculating Operating Expense Reimbursement shall be increased to one and fifty-six hundredths percent (1.56%) reflecting the corrected rentable area of the Original Premises. 5. Commissions. Each party represents and warrants to the other party that it has not had dealings in any manner with any real estate broker, finder or other person with respect to this Amendment. Each party shall indemnify, defend and hold harmless the other from all damage, loss, liability and expense (including attorneys' fees and related costs) arising out of or resulting from any breach by such party of its representations and warranties set forth in this Paragraph 5. 6. Definitions. Except as otherwise provided herein, the capitalized terms used herein shall have the definitions set forth in the original Lease. 7. Lease Terms. Except as otherwise modified herein, the terms and conditions of the original Lease shall remain in full force and effect. In the event of any conflict or inconsistency between the terms of this Amendment and the original Lease, the terms of this Amendment shall control.
