1. RECOMMENDATION
APPROVE an Amendment to Lease, dated November 14, 2000, with Mediplane, Inc., a
California Corporation, for approximately 4,700 square feet of land located at the northeasterly
corner of the Buchanan Field Airport, near Concord, California, for use by Mediplane, Inc., under
the terms and conditions more particularly set forth in said Lease, and AUTHORIZE the Public
Works Director to EXECUTE said Amendment on behalf of the County.
11. FINANCIAL IMPACT
There is no financial impact. This Amendment will allow Mediplane, Inc. an additional 9 days to
pay Fixed Rent and an additional 17 days to calculate and pay Percentage Rent.
111. REASONS FOR RECOMMENDATION/BACKGROUND
This Amendment is intended to give Tenant more time to tally gross receipts and submit
payment of Percentage Rent.

An Amendment to lease has been negotiated to allow Mediplane, Inc.to pay Fixed Rent payments
on the V of the month and Percentage Rent payments on the 18`'day of the month for a ground lease
of land located in the northeasterly corner of the Buchanan Field Airport,near Concord California.
All of the other terms and conditions remain unchanged.

AMENDMENT TO LEASE
FOR
MEDIPLANE, INC.
5005 MARSH DRIVE
CONCORD, CALIFORNIA
SECTION A: BASIC TERMS AND CONDITIONS
1. PARTIES: Effective - , the COUNTY OF CONTRA
COSTA, a political subdivision of the State of California, hereinafter referred to as
"Airport", and MEDIPLANE, INC., a California Corporation, hereinafter referred to
as "Tenant", hereby mutually agree and promise as follows:
2. PURPOSE: The parties desire to amend that Lease entered into between
Airport and Tenant dated May 19, 1998 for approximately 4,700 square feet of
land located at the northeasterly corner of the Buchanan Field Airport, near
Concord, California, to adjust the due date of the rental payment for both the

"Fixed" and "Percentage" rent.
3. AMENDMENT: The first paragraph of Section B, Paragraph 6, RENT,
shall be deleted in its entirety and replaced by the fallowing:
B. Fixed or Percentage Rent, Beginning Upon the Substantial Completion
Date described above, or August 1, 1998, whichever is earlier, Tenant
shall pay to Airport as consideration for the use of the Premises, fixed rent
("Fixed Rent") or percentage rent ("Percentage Rent"), whichever is
higher, payable in advance on the first day of each month during the term
of this Lease, as follows:
Effective November 1, 2000, Fixed Rent shall be due on the first day
of the following month and delinquent on the loth day of that month, and
Percentage Rent shall be due on the 18th day of the following month and
delinquent on the 28th day of that month. Payments of fixed or percentage
rent shall together be known as "Monthly Rent." At such time as the
payment of Monthly Rent commences, the License Agreement described
in this Lease shall immediately terminate.
4. EFFECT: Except for the Amendment agreed to herein, the Lease of May
19, 1998 remains in full force and effect.
