I. RECO MENDATION-
APPROVE a Lease, commencing October 1, 2000, with Eden Housing Management, Inc. for
the premises at 700 Alhambra Avenue, Suites 712, 714 & 716, Martinez, for occupancy by the
Clerk-Recorder, Elections Division, under the terms and conditions more particularly set forth in
said Lease, and AUTHORIZE the Director of General Services to EXECUTE said Lease on
behalf of the County.
DETERMINE that the above activity is not subject to the California Environmental Quality Act
(CEQA) because it can be seen with certainty that that there is no possibility that the activity
may have a significant effect on the environment §15061 (b) (3)
II. FINANCIAL IMPACT
Payments required are to come from the budget of the Clerk-Recorder.

LICENSE .AGREEMENT
315 G STREET, ANTIOCH
VICTIM/WITNESS PROGRAM
This Agreement is effective October 3, 2000 by and between CONTRA COSTA
COUNTY, hereinafter called "COUNTY", and FAMILY STRESS CENTER, hereinafter
called "LICENSOR". LICENSOR is the owner of certain real property commonly known
as 315 G Street, Antioch, California (the "Premises"). COUN'T'Y desires to obtain
LICENSOR's permission to use one office in the .Premises and LICENSOR is willing to
grant a license to use the Premises upon the terms and conditions contained herein. Now,
therefore, the parties agree as follows:
1. Grant of License: Subject to the berms and conditions of this Agreement,
commencing on October 3, 2000, LICENSOR hereby grants to COUNTY, a
nonexclusive, revocable license to use Room #4, 315 G Street, Antioch,
consisting of approximately 80 square feet as shown on the attached floorplan,
which is Exhibit A attached hereto and made a part hereof, for the purpose of
conducting various functions of COUNTY, and for COUNTY and its invitees
to use the associated parking lot. This license may be terminated at any time
by LICENSOR or COUNTY upon thirty (30) days written notice.
2. Purpose: COUNTY intends to use the counseling center for the purpose of
interviewing clients to determine eligibility for various services and grants.
This License is to allow COUNTY to provide those or other related COUNTY
services.
3. Fee: As consideration of this Agreement, COUNTY agrees to pay a fee of
ONE HUNDRED TEN AND NO/100 DOLLARS ($110.00) per month,
payable in advance upon or before the tenth day of each month during the
term of this License. Payments shall be mailed to: Family Stress Center,
2086 Commerce Avenue, Concord CA 94520.

4. Use of T'rejuises: COUNI'Y's use of premises shall be limited to programs
either run by the COIJN`FY directly or by contractors of the COUNTY.
COUNTY does not have the right to construct any improvements or fixtures on
the premises without the prier written permission of LICENSOR.
5. Revocable Use: The rights granted hereunder may be immediately revoked
by the LICENSM upon a breach of any term of this agreement and shall be
automatically revoked at the end of the term of this License.
6. Existing Facilities: it is understood and agreed that LICENSOR has leases
and/or licenses with others for all or-a portion of the Premises. COUNTY
agrees to take all reasonable precautions to avoid damage to the facilities of
others or the Premises.
7. Maintenance and Repairs. LICENSOR shall keep and maintain in good
order, condition, turd repair all of the Premises, including but not limited to
the roof and exterior of the building, the exterior doors and their fixtures,
closers and hinges, glass and glazing, and all locks and key systems, the
electrical, lighting, water, plumbing, heating, ventilating, and air-conditioning
systems, the parking lot. landscaping, sprinkler system, and exterior lighting
system.
COUNTY shall not suffer an), waste on or to the premises.
8. /notices: All notices given hereunder shall be in writing and shall be deemed
to have been given if personally delivered or deposited in the United States
mail postage prepaid, certified or registered, return receipt requested, and

9. Janitorial Service. COUNTY shall pay for and provide its own janitorial
services as needed.
10. Telephone and Utility Service: LICENSOR shall provide and pay for
electricity, water, and garbage service. COUNTY shall install and maintain,
at COUNTY expense, any telephone and/or data lines needed by COUNTY.
11. Hold Harmless: COUNTY agrees to indemnify and hold harmless the
LICENSOR from the COUNTY's share of any and all claims, costs, and
liability for any damage, injury or death of or to any person or the property of
any person, including attorneys' fees, arising out of negligent acts, errors or
omissions of the COUNTY, its officers or employees. COUNTY shall not be
liable in the case of any structural, mechanical or other failure of equipment or
buildings owned and maintained by the LICENSOR or for other liability
which is attributable, in whole or in part, to the negligence or willful
misconduct of LICENSOR, which results in damage to any person or
property.
LICENSOR agrees to indemnify and hold harmless the COUNTY
from the LICENSOR"s share of any and all claims, costs and liability for any
damages, injury or death of any person or the property of any person,
including attorneys' fees, arising out of the negligent acts, errors or omissions
of the LICENSOR, its agents or employees.
12. Non-Waiver of Breaches: The LICENSOR'S failure to insist, in any one or
more instances, upon strict performance of any of the covenants or conditions
of this agreement shall not be considered as a waiver or relinquishment for the
future of said covenants, terms or conditions, but the same shall continue and
remain in full force and effect.
13. Termination of License: The rights granted hereunder may be revoked by
the COUNTY or terminated by the LICENSOR at any time, for any reason or

for no reason, with or without cause, upon thirty (30) days prier written notice
to the ether party.
14. Entire Agreement: This instrument contains the entire agreement between
the parties relating to the rights herein granted and the obligations herein
assumed. No alteration or variation of this Agreement shall be valid or
binding unless made in writing and signed by the parties hereto
15. TIME IS OF THE ESSENCE of each and all of the terms and provisions of
this License.
