RECOMMENDATION APPROVE a Lease, commencing December 1, 1999, with FamiliesFirst, Inc., for the premises at 2025 Sherman Drive, Pleasant Hill, under the terms and conditions more particularly set forth in said Leese, and AUTHORIZE the Director of General Services to EXECUTE said Lease on behalf of the County. 11. FINANCIAL IMPACT The consideration for this Lease will be the provision of licensed Residential Care (RCL) Level- 14 group home services for use by the Contra Costa County Employment and Human Services Department (EHSD). 111. REASONS FOR RECOMMENDATION/BACKGROUND On November 3, 1999 the Board of Supervisors authorized the EHSD Director to contract with FamiliesFirst, Inc. for dedicated group home services. This Lease will allow FamiliesFirst, Inc. to use 2025 Sherman Drive, Pleasant Hill for these services. PREMISES LEASE TO FAMILIESFIRST, INC. 2025 SHERMAN DRIVE PLEASANT HILL, CALIFORNIA SECTION A: BASIC TERMS AND CONDITIONS A.I. PARTIES: Effective on FEB 15 2000 the COUNTY OF CONTRA COSTA, a political subdivision of the State of California, hereinafter called "COUNTY", and FAMILIESFIRST, INC. a non-profit corporation hereinafter called "LESSEE", mutually agree and promise as follows. A.2. GRANT OF LEASE: Subject to the terms and conditions of this Agreement, COUNTY hereby leases to LESSEE and LESSEE leases from COUNTY those certain premises described as follows: a single story residence consisting of approximately 2,000 square feet, with four bedrooms, two bathrooms and an attached garage which has been converted to offices, along with adjacent parking and surrounding grounds, commonly known as 2025 Sherman Drive, Pleasant Hill, more particularly described in Exhibit "A" which is attached hereto and made a part hereof("Premises"). A.3. TERM: The term of this Lease shall be for seven months, commencing December 1, 1999 and ending June 30, 2000, and shall automatically renew for subsequent one year periods beginning July 1, 2000. AA. CONSIDERATION: The consideration for this Lease shall be the provision of licensed Residential Care (RCL) Level-14 group home services for use by the Contra Costa County Employment and Human Services Department (EHSD). A.S. USE OF PREMISES: The Premises shall be used during the term of this Lease or any extension thereof for the sole purpose of providing dedicated group home services, and other related service activities, for children placed there by EHSD. A.6. UTILITIES: LESSEE shall pay for all gas, electric, water and refuse collection services provided to the demised Premises. - 1 - Contract Number 21-569-0 A.7. MAINTENANCE AND REPAIRS: a. COUNTY shall keep the roof and exterior of the building in good order, condition, and repair and shall maintain the structural integrity of the building, including the exterior doors and their fixtures, closers and hinges, glass and glazing, and all locks and key systems used in the demised Premises. b. LESSEE shall keep and maintain the interior of the Premises in good order, condition, and repair, but COUNTY shall repair damage to the interior caused by failure to maintain the exterior in good repair, including damage to the interior caused by roof leaks and/or interior and exterior wall leaks. C. COUNTY shall repair and maintain the electrical, lighting, water, and plumbing systems in good order, condition, and repair, except that LESSEE shall be responsible for routine plumbing stoppages. d. COUNTY shall maintain and repair the heating, ventilating, and air- conditioning systems. e. LESSEE shall maintain the sprinkler system and perform routine watering and maintenance of the landscaping, but COUNTY shall assist with major pruning, maintenance and cleanups from time to time upon request by LESSEE, not to exceed twice per year. COUNTY shall maintain the parking lot and exterior lighting system in good order, condition, and repair. f. COUNTY shall provide and install, at the direction of the Fire .Marshal, the necessary number of A-B-C fire extinguishers for the Premises at no cost to LESSEE. LESSEE shall thereafter maintain, repair, and replace the extinguishers. g. LESSEE shall not suffer any waste on or to the demised Premises. LESSEE agrees to notify COUNTY as soon as possible when systems maintained by COUNTY require repair. - 2 - Contract Number 21-569-0 h. COUNTY shall be responsible for the correction of any code violations which may exist in the Premises, provided COUNTY shall not be liable for correction of code violations which arise out of and are directly related to a change in LESSEE's occupancy or use of the Premises. A.B. WRITTEN AGREEMENT: Neither party has relied on any promise or representation not contained in this Lease. All previous conversations, negotiations, and understandings are of no further force or effect. This Lease may be modified only by a writing signed by both parties. The headings of the paragraphs are for convenience only and are not a part of this Lease, nor shall they be considered in construing the intent of this Lease. HOLD HARMLESS: LESSEE shall indemnify, save, protect and hold harmless the COUNTY, its officers, agents and employees from any and all claims, costs and liability, including reasonable attorneys fees, for any damage, injury or death, including without limitation all consequential damages from any cause whatsoever, to persons or property arising directly or indirectly from or connected with this Lease, LESSEE's operations, or LESSEE's use or possession of the Premises, save and except claims or litigation arising through the sole negligence or sole willful misconduct of COUNTY, its officers or employees, and if required, will defend any such actions at the sole cost and expense of LESSEE. B.2. ALTERATIONS, FIXTURES, AND SIGNS: LESSEE may make any lawful and proper minor alterations, attach fixtures and signs in or upon the Premises, which shall remain LESSEE's property and may be removed therefrom by LESSEE prior to the termination of this Lease. Any such alterations, signs or fixtures shall be at LESSEE's sole cost and expense, and all signs shall meet with existing code requirements and COUNTY's approval. B.3. DESTRUCTION: a. In the event of damage causing a partial destruction of the Premises during the term of this Lease from any cause, and repairs can be made within sixty (60) days from the date of the damage under the applicable laws and regulations of governmental authorities, COUNTY shall repair the damage promptly and within a reasonable time, but such partial destruction shall not void this Lease. - 5 - Contract Number 21-569-0 b. If such repairs cannot be made in sixty (60) days, COUNTY may, at its option, make the same within a reasonable time. In the event COUNTY does not so elect to make such repairs (which cannot be made in sixty <60> days), or such repairs cannot be made under such laws and regulations, this Lease may be terminated at the option of either party. C. A total destruction of the Premises shall terminate this Lease. BA. QUIET ENJOYMENT: COUNTY covenants that LESSEE shall at all times during the term peaceably and quietly have, hold, and enjoy the Premises without suit, trouble or hindrance from or on account of COUNTY as long as LESSEE fully performs hereunder. B.5. DEFAULTS: In the event of LESSEE`s material breach of any of the covenants or conditions herein, COUNTY may re-enter and repossess the Premises and remove all persons and property therefrom after giving LESSEE written notice of such default and in accordance with due process of law. In the event of such a breach by COUNTY, LESSEE may terminate the Lease and quit the Premises without further cost or obligation provided that LESSEE has given COUNTY written notice of the breach and provided that COUNTY has not made a substantial effort to correct the breach. B.6. SURRENDER OF PREMISES: On the last day of the term, or sooner termination of this Lease, LESSEE will peaceably and quietly leave and surrender to COUNTY these Premises with their appurtenances and fixtures (except signs and fixtures referred to hereinabove) in good order, condition, and repair, excepting for reasonable use and wear thereof and damage by earthquake, fire, public calamity, by the elements, by Act of God, or by circumstances over which LESSEE has no control. B.7. SUCCESSORS AND ASSIGNS: The terms and provisions of this Lease shall extend to and be binding upon and inure to the benefit of the heirs, successors, and assigns of the respective parties hereto. B.8. SEVERABILITY. In the event that any provision herein contained is held to be invalid by any court of competent jurisdiction, the invalidity of any such provision does not - 6 - Contract Number 21-569-0 materially prejudice either the LESSEE or COUNTY in its respective rights and obligations contained in the valid provisions of this Lease. B.9. WASTE, NUISANCE: LESSEE shall not commit, or suffer to be committed, any waste upon the Leased Premises, or any nuisance or other act or thing which may disturb the quiet enjoyment of any other occupant of the neighborhood in which the Leased Premises are located. 8.10. INSPECTION: The COUNTY reserves the right to enter the Premises at any time, in order to see that the property is being reasonably cared for, that no waste is being made, and that all things are done in the manner best calculated for the preservation of the property, and in full compliance with the terms and conditions of this Lease. - 7 - Contract Dumber 21-569-0 LEASE TO FAMILIESFIRST, INC. 2025 SHERMAN DRIVE PLEASANT HILL, CALIFORNIA SECTION C: SPECIAL PROVISIONS C.I. ASSIGNMENT OR SUBLEASE: LESSEE will not sublease the Premises or any part thereof at any time during the term of this Lease or extension thereof without written permission of COUNTY, and a consent to one assignment or subletting shall not be deemed to be a consent to any subsequent assignment or subletting. Any such assignment or subletting without the COUNTY's written consent shall be void and shall, at COUNTY's option, terminate this Lease. C.2. SERVICE BY COUNTY: It is understood and agreed LESSEE shall provide certain landscaping, maintenance, or like services as requested in writing by COUNTY from time to time during the term of this Lease or extension thereof. COUNTY shall pay to LESSEE one hundred percent(100%) of the costs of the service. LESSEE shall consult with COUNTY and select either licensed, insured contractors or employees of LESSEE to provide the service. LESSEE shall obtain COUNTY's prior written approval on the scope, term, and cost of the contracts. COUNTY shall have the right to change the level of service from time to time by giving LESSEE thirty (30) days' prior written notice, including the right to terminate any or all service, or to require different contractors to provide the service. C.3. POSSESSORY INTEREST: The County Assessor of Contra Costa County has invoked a possessory interest tax on all rentals of County and other publicly-owned properties. This tax is mandatory by law and is levied on the LESSEE and not the property. COUNTY shall be responsible for the payment of any Possessory Interest Tax levied on LESSEE's interest in the Premises. CA. INSURANCE: COUNTY will not keep LESSEE's personal property insured against fire, or any other insurable risk, and LESSEE waives the right to claim damages - 8 - Contract Number 21-569-0 from the COUNTY for any damage resulting to the property in the event it is damaged or destroyed by fire or any other cause. LESSEE agrees, at no cost to the COUNTY, to obtain and maintain during the term of this Agreement, worker's compensation for LESSEE's employees and comprehensive liability insurance with a minimum combined single-limit coverage of $500,000 for all claims or losses due to bodily injury, sickness or disease or death to any person, or damage to property, including loss of use thereof arising out of each accident or occurrence, and name Contra Costa County, its officers, agents and employees as additional insured thereunder. The coverage shall provide for a thirty (30) day written notice to COUNTY of cancellation or lapse. Evidence of such coverage shall be furnished to COUNTY within 30 days after execution of this Agreement. C.S. TERMINATION: If LESSEE's contract with COUNTY for the operation of a licensed residential care group home terminates, then this lease shall also terminate as of the date the contract terminates. C.6. LICENSOR is the owner of certain real property commonly known as 2225 Buchanan Road, Suite H, Antioch, California (the "Premises"). COUNTY desires to obtain LICENSOR"s permission to use the Premises one day per week and LICENSOR is willing to grant a license to use the Premises upon the terms and conditions contained herein. Now, therefore, the parties agree as follows: 1. Grant of License: Subject to the terms and conditions of this Agreement, LICENSOR hereby grants to COUNTY, a nonexclusive, revocable license to enter the Premises for the purpose of conducting various functions of COUNTY, and for COUNTY and its invitees to use the associated parking lot. 2. Purpose: LICENSOR operates a counseling center in the Premises, and some of the clients are in need of services provided by the Victim/Witness Program of Contra Costa County Probation Department. COUNTY intends to use the counseling center for the purpose of interviewing clients to determine eligibility for various services and grants. This License is to allow COUNTY to provide those or other related COUNTY services. 3. Term. The term of this Agreement shall be on Friday each week, on a month to month basis, commencing April 7, 2000 and ending upon termination. One additional weekday may be added by mutual written consent of LICENSOR and COUNTY Lease Manager. The rights granted under this Agreement may be revoked by LICENSOR at any time upon thirty (30) days notice to COUNTY. - 1 - 4. Fee: As consideration of this Agreement, COUNTY agrees to pay a fee of ONE HUNDRED SEVENTY FIVE AND NO/100 DOLLARS ($175.00) per month for use one day per week, or TWO HUNDRED FIFTY AND NO/100 DOLLARS ($250.00) for two days per week. The fee is payable in advance upon or before the tenth day of each month during the term of this License. Payments shall be mailed to: John Patrick Kirby, 2225 Buchanan Read, Suite H, Antioch 94509. , S. Use of Premises: COUNTY's use of premises shall be limited to programs either run by the COUNTY directly or by contractors of the COUNTY. COUNTY does not have the right to construct any improvements or fixtures on the premises without the prior written permission of LICENSOR. G. Revocable Use: The rights granted hereunder may be immediately revoked by the LICENSOR upon a breach of any term of this agreement and shall be automatically revoked at the end of the term of this License. 7. Existing Facilities: It is understood and agreed that LICENSOR has leases and/or licenses with others for all or a portion of the Premises. COUNTY agrees to take all reasonable precautions to avoid damage to the facilities of others or the Premises. g. Maintenance and Repairs: LICENSOR shall keep and maintain in good order, condition, and repair all of the Premises, including but not limited to the roof and exterior of the building, the exterior doors and their fixtures, closers and hinges, glass and glazing, and all locks and key systems, the electrical, lighting, water, plumbing, heating, ventilating, and air-conditioning systems, the parking lot, landscaping, sprinkler system, and exterior lighting system. COUNTY shall not suffer any waste on or to the premises. 9. Janitorial Service: It is understood and agreed LICENSOR shall provide janitorial services. 11. Telephone Service: It is understood and agreed COUNTY shall have access to existing telephone lines in the Premises. As compensation for COUNTY's use of the telephone, COUNTY agrees to pay LICENSOR Twenty Dollars per month ($20.00) as additional rent. 12. Hold Harmless: COUNTY agrees to indemnify and hold harmless the LICENSOR from the COUNTY's share of any and all claims, costs, and liability for any damage, injury or death of or to any person or the property of any person, including attorneys' fees, arising out of negligent acts, errors or omissions of the COUNTY, its officers or employees. COUNTY shall not be liable in the case of any structural, mechanical or other failure of equipment or buildings owned and maintained by the LICENSOR or for other liability which is attributable, in whole or in part, to the negligence or willful misconduct of LICENSOR, which results in damage to any person or property. LICENSOR agrees to indemnify and hold harmless the COUNTY from the LICENSOR's share of any and all claims, costs and liability for any damages, injury or death of any person or the property of any person, including attorneys' fees, arising out of the negligent acts, errors or omissions of the LICENSOR, its agents or employees. - 3 - 13. Non-Waiver of Breaches: The LICENSOWS failure to insist, in any one or more instances, upon strict performance of any of the covenants or conditions of this agreement shall not be considered as a waiver or relinquishment for the future of said covenants, terms or conditions, but the same shall continue and remain in full force and effect. 14. Entire Agreement: This instrument contains the entire agreement between the parties relating to the rights herein granted and the obligations herein assumed. No alteration or variation of this Agreement shall be valid or binding unless made in writing and signed by the parties hereto - 4 - 15. TIME IS OF THE ESSENCE of each and all of the terms and provisions of this License. 16.
