Reasons for Recommendations and Background: A newly constructed traffic signal at the intersection of 1-680, Olympic Boulevard and Paulsen Lane is owned between 3 jurisdictions, the State of California, the Cityof Walnut Creek and the County. The City has agreed' to maintain this signal due to its proximity to other nearby signals. The County believes it is in our best interest to allow the City to maintain this signal IV. Consequences of Negative Action: The status of maintenance would remain undetermined possibly leading to delays in maintenance. AGREEMENT FOR MAINTENANCE AND OPERATIONS OF THE TRAFFIC SIGNALS AND LIGHTS AT THE INTERSECTION OF SOUTHBOUND 1-680 OFF AND ON RAMPS WITH OLYMPIC BOULEVARD AND PAULSEN LANE THIS AGREEMENT, dated , 1998, is made by and between the City of Walnut Creek, a municipal corporation(hereinafter referred to as Walnut Creek), and the County of Contra Costa, a political subdivision of the State of California (hereinafter referred to as County). RECITALS A. The traffic signal at the intersection of southbound I-680 off and on ramps with Olympic Boulevard and Paulsen Lane is currently maintained by the State of California, acting by and through its Department of Transportation, (hereinafter referred to as State). B. Walnut Creek and State entered an agreement on traffic signals' installation,maintenance, and operation on July 9, 1991. In this agreement, State allows Walnut Creek to maintain and operate traffic signals that includes the signal at the intersection of southbound I-680'off and on ramps with Olympic Boulevard and Paulsen Lane. State agreed to install hardware interconnect for State-installed controllers at intersections. Walnut Creek has proposed to take over the maintenance and operation of the signals at the intersection of southbound 1--680 off and on ramps with Olympic Boulevard and Paulsen Lane so that operation can be integrated with other signals on Olympic Boulevard. C. The south leg and west leg of the intersection of Olympic and Paulsen Lane are in the County. AGREEMENT Now, therefore, Walnut Creek and County mutually agree as follows: 1. Maintenance work to be performed. Walnut Creek will provide routine maintenance work of the traffic signals at Olympic Boulevard and Paulsen Lane, which includes patrolling, semi- annual preventive maintenance, and making the necessary repairs or replacements as required to ensure a satisfactory service, but which does not include modification of additional facilities. 2. t't, The County agrees to reimburse Walnut Creek fifty percent(50°14)of operational costs,routine maintenance,and damages to traffic signal equipment or flasher amts. Operational costs shall include cost of power, as determined by direct billings from Pacific Gas and Electric Company, cast of equipment replacement due to wear or uncollectible accidents, and labor costs including direct and indirect overhead from an accounting of actual charges to the intersection. Walnut Creek shall accept direct billing from the Pacific Gas and Electric Company for the cost of power for signals and lights and bill the County for its share of the cost. Walnut Creek shall bill the County fifty percent (50%) of routine maintenance, as defined in .Page 1 of 3 .................................................................................................... ............................................................. ............ paragraph 1. "Maintenance work to be performed"of the Agreement,at the end of each fiscal year for the work performed or service furnished that fiscal year. Billings shall show signal and light maintenance. The County shall pay its cost within thirty(30)days after billing by Walnut Creek. Damages to traffic signal equipment or flasher units necessitating repairs or replacement of poles, standards, and flasher-unit components, caused by vehicular damage or acts of God shall be accomplished by Walnut Creek forces at actual labor and material cost plus applicable overhead on labor costs. Walnut Creek shall notify County on the next workday following occurrences that necessitate repairs under this article and furnish estimated repair costs. County will furnish Walnut Creek special work order numbers to charge cost of each occurrence. Walnut Creek will submit final billing to County within ninety(90)days of each occurrence. County will make payment on above occurrences to Walnut Creek within thirty(30)days of receipt of invoice. 3. Leizal Mations and Responsibilities. Nothing in the provisions of this Agreement is intended to create duties or obligations to or rights in third parties who are not parties to this contract or to affect the legal liability of either party to the contract by imposing any standard of care respecting the maintenance of State highways or the traffic signals and lights different from the standard of care imposed by law. It is understood and agreed that neither County nor any officer or employee thereof is responsible for any damage or liability occuring by reason of anything done or ornitted to be done by Walnut Creek under or in connection with any work, authority or jurisdiction delegated to Walnut Creek under this Agreement. It is understood and agreed that pursuant to Government Code Section 895.4 Walnut Creek shall defend, indemnify and save harmless County, and all County officers and employees from all clains,suits or action of every name,kind and description brought for or on account of injuries to or death of any person or damage to property resulting from anything done or omitted to be done by Walnut Creek under or in connection with any work, authority or jurisdiction delegated to Walnut Creek under this Agreement. It is understood and agreed that neither Walnut Creek nor any Walnut Creek officer or employee thereof is responsible for any damage or liability occuring by reason of anything done or omitted to be done by County under or in connection with any work,authority or jursidiction not delegated to Walnut Creek under this Agreement. It is understood agreed that, pursuant to Government Code Section 895.4 County shall defend,indemnify and save harmless Walnut Creek, and all Walnut Creek officers and employees from all claims, suits or actions of every name,kind and description brought for or on account of injuries to or death of any person or damage to property resulting from anything done or omitted to be done by County under or in connection with any work, authority or jursidiction nor delegated to Walnut Creek under this Agreement. 4. Term, This Agreement may be terminated at any time for any reason by either party upon giving the other party twelve(12)months prior written notice. 5. Jntegmtion. This Agreement contains the entire agreement between parties and supersedes Page 2 of 3 e a �7i all prior understandings or agreements, oral or written, regarding the subject matter of this Agreement. 6. Modification. This Agreement shall be subject to modification or amendment only by the mutual, written agreement of both parties. 7. Accootabil4. Walnut Creek shall maintain and make available to County complete records of its receipts and disbursements under this Agreement. 8. Effective Date. F'inanciallmpact: There will be no financial impact to the General Fund. All of the projects will be funded through Transportation Development Act Grant Funds, Road Funds, and/or Redevelopment Agency Fund's. Ill. Reasons for Recommendations and Background. Applying for and obtaining grants allows the County to construct more improvements than would be possible without obtaining grants. The following is a brief description of each of the projects listed above.' The North Richmond Curb Ramps project consists of installing curb ramps at intersections near the North RichmondSenior Citizen Center. The curb ramps are needed to facilitate the movement of people in wheel chairs, and mobility impaired pedestrians along the streets of North Richmond. The Delta Road Bike Lanes Phase Ill project will widen and restripe delta Road from Second Street in Knight en to Sellers Road. It is the goal of the Public Works Department to install bike lanes along Delta Road from Knightsen to the Marsh Creek Trail. The Arnold' Industrial Highway Bikeway project will install bikeway and destination signs along Blum Roam, Imhoff Drive, and Arnold Industrial Highway from Pacheco Boulevard to Part Chicago Highway. IV. ConsgSuenges of Negative Action: Failure to approve the submittal of these applications will eliminate a potential funding source and possibly delay the construction of the projects.
