ACKNOWLEDGE receipt of report from County Administrator regarding the status of the proposed sale of the Riverview High School Building. 2. CONSIDER Summary of Proposals for the purchase of the Riverview High School Building prepared by the Public Works Department. 3. DIRECT staff regarding further actions or negotiations. REASONS FOR RECOMMENDATION/BACKGROUND: On July 14, 1998 Supervisor Canciamilla reported to the Board of Supervisors on the proposal of the Antioch Historical Society to acquire the Riverview High School Building through a lease purchase arrangement (previous Board Order attached). Supervisor Canciamilla recommended that County staff and his office be directed to work with the Historical Society to develop a five-year lease/option for the building and that the Board consider the matter in 90 days. The site was acquired by the Riverview Fire District in 1975 for use as its headquarters. It subsequently became an asset of Contra Costa County Fire as a result of fire district consolidation in July 1994. This Board has declared the property as surplus and attempts have been made to sell it. Supervisor DeSaulnier recommended that the Board also consider any other proposals for the purchase of the building to be received by the Board in 90 days. ADDENDUM TO ITEM D.2 October 13, 1998, Agenda On July 14, 1998, the Board directed that the County Administrator's staff report to the Board on the proposals for the Riverview High School Building in Antioch. On this date, the Board of Supervisors considered the recommendations as presented by Scott Tandy, Chief Assistant County Administrator on the disposition of the Riverview High School Building. Mr. Tandy noted that there were three sale proposals for the Building, and that speakers were present for those offers. Supervisor Uilkema inquired if Mr. Tandy was aware of any joint use proposals for the facility, and Mr. Tandy replied that he was not. The public hearing was opened and the following people presented testimony: Caran Bacon, 4447 Pronghorn Way, Antioch; Paula DeBoer, 804 Gloucester Street, Antioch; Elizabeth Rimbault, 2810 Lonetree Way, #8, Antioch; Bob Provine, 508 Lindley Drive, Antioch; Smoky Jones, 55 Denridge Court, Antioch; Robert Allen, 1565 Viera Avenue, Antioch; Phyllis Boccia, 812 East 18th Street, Antioch; Jim Boccia, 812 East 18th Street, Antioch; Michael Partain, 4356 Oakdale Place, Pittsburg; Margaret Wilcox, 3101 Windsor Drive, Antioch; Tom Beagle, 66 E. Lake Drive, Antioch; Winifred Booth, 3185 Contra Loma Blvd., 4124, Antioch. All persons desiring to speak having been heard, the Board considered the matter. Supervisor Rogers inquired if the removal of a gas tank and pump that was on the property would a part of the sale negotiations. Scott Tandy responded that the tank and pump could become an issue for negotiations, but there was no requirement or discussion at this time to remove them. Victor Westman, County Counsel advised the Board that they were not in negotiations today, and that the tank and pump would be allocated to the property buyer. Supervisor Canciamilla noted that no one other than the Antioch Historical Society appeared at the public auction, and that they could afford to rehabilitate the property, and it would be a good match for the building. Supervisor Canciamilla then moved that the Board acknowledge the report from the County Administrator and the Contra Costa Fire Protection District; that they acknowledge the proposals received for the use of the building; and that the staff negotiate a lease\purchase agreement with the Antioch Historical Society. Supervisor Gerber seconded the motion. Supervisors Rogers commented that he would not be supporting the motion. He noted that because of the Fire District's financial situation, he was supportive of the Charter School's proposal. He advised the Board that he felt that the County should deal with the removal of the tank and pump. Supervisor DeSaulnier noted that he was concerned about the issues raised by Supervisor Rogers, however, he would support the motion. He requested that the motion include a share provision for the building's use, and that there be a continued effort for a fiscal commitment from the City of Antioch. ......... ......... ......... .._...... _ .. ........ ......... ............... ......._. .__....... .................... ......... Supervisors Canciamilla and Gerber accepted the amendments. Mr. Westman advised the Board that the $10,000 check received today should be returned to the Antioch Historical Society. Supervisors Canciamilla and Gerber agreed to that advice as part of the motion and second. Following further discussion, the Board then took the following action: ACKNOWLEDGED the report from the County Administrator and the Contra Costa Fire Protection District; ACKNOWLEDGED the proposals for the building's use from the various entities; DIRECTED that the County Administrator's, County Counsel's and Public Work's staffs negotiate a lease/purchase agreement with the Antioch Historical Society; REQUESTED that the negotiations include a share provision for the premises with other entities such as the Contra Costa Historical Society; RECOMMENDED that discussions continue with the City of Antioch for a financial commitment for the project; and DETERMINED that the $10,000 check received today from the Antioch Historical Society's representative be returned. Contra D, TO: BOARD OF SUPERVISORS Costa FROM, Supervisor Joe Canclamilla County DATE: July 14, 1998 SUBJECT: ACKNOWLEDGE OF THE HISTORICAL VALUE OF THE RIVERVIEW SCHOOL BUILDING IN ANTIOCH AND ACCEPT REPORT FROM THE ANTIOCH HISTORICAL SOCIETY SPECIFIC REQUEST($)OR RECOMMENDATIONS)AND JUSTIFICATION RECOMMENDATION: 1. Acknowledge the historical value of the Riverview High School building in Antioch; 2, Accept the report from the Antioch Historical Society; 3. Direct staff 4of the County Administrator's Office, Fire District and District V Supervisors office to work with the Antioch Historical Society(A.H.S.)to develop a five year lease/option for the Riverview High School building; 4. Direct that this lease will contain at least the following additional terms: A. All maintenance and repair shall be the responsibility of the A.H.S. B. The A.H.S.shall agree to maintain liability and fire Insurance on the property in a sum to be agreed upon. C. The A.H.S.agrees to a hold-harmless clause indemnifying the County. D. Should the A.H.S.fall to acquire the building within five(5)years the building reverts to the County. BACKGROUND: The old Riverview High School was built In 1910 as the first school building in Eastern Contra Costa County. The site was acquired by the Riverview Fire District In 1975 for use as its headquarters. It subsequently became an asset of Contra Costa County Fire, This Board has declared the property as surplus and attempts have been made to sell it. There are currently parties interested in purchasing the building for private corporate purposes. The Antioch Historical Society has had approximately six(6)months to secure finding for the site. Unfortunately, considering the speed at which most grant programs are processed that is not enough time to accomplish such a task. The building will require extensive structural and hazmat clean up. As a valuable historic asset to East County, I would urge the Board to review the background information provided. While a sale now would generate much needed capital for the Fire District, the small dollar sum gained would not come close to matching the value lost. All those desiring to speak having been heard, the Board discussed the issues. Board members discussed the matter relative to the proposed needs of the Riverview Fire District. Supervisor Canciamilla advised the Board that there are very few historical buildings in East County, and commented that a report on acquiring the building could be presented for the Board's review in 90 days. Supervisor Canciamilla moved the staffs recommendations, and commented that proceeds from the building's sale would not be used for paramedic expenses for the Riverview Fire District, as suggested. Scott Tandy, Chief Assistant County Administrator, advised that using the one-time sale proceeds against operational costs would not be prudent. Supervisor Gerber seconded the motion. Supervisor DeSaulnier recommended that as an amendment to the motion, the Board allow third party proposals for the building's purchase. Supervisor Canciamilla agreed to the amendment, and moved that any proposals come back to the Board for review in 90 days. Ms. Gerber did not voice objection to the amendment. IT IS BY THE BOARD ORDERED that the historical value of the Riverview High School Building in Antioch is ACKNOWLEDGED; the report from the Antioch Historical Society is ACCEPTED; the County Administrator's staff, the Riverview Fire District, and Supervisor Canciamilla's staff are DIRECTED to work with the Antioch Historical Society to develop a five year lease/option for the Riverview High School building; it is DIRECTED that the lease contain specific terms; the County Administrator's staff is DIRECTED to solicit other proposals for the building; and County staff`is DIRECTED to report to the Board in 90 days on the lease and any other offers to purchase the property. Dear Chairman Rogers and Members Of The Board: Our offer isn't about money or being the absolute highest bidder. Our offer is about preserving the local history of the entire east end of the county and protecting our heritage for future generations. The Riverview Union High School is the last remaining gem of east county history, that is still a usable building. Activity within the building always attracts visitors and will serve to brine history buffs and tourist alike to enhance the economy of our community, while allowing our residence to learn of their rich heritage. The offered purchase price of $175,000 .00 recognizes that the taxpayers of Antioch and Pittsburg have paid for this site twice before with hard earned tax dollars. It further acknowledges the price of $150,000 that the fire district paid in 1965 and allows an additional $25,000 for any improvements during the period of ownership. This is an increase to our original offer of July 14,1998 and represents an AMENDED contract. The offer is accompanied today with a deposit check of $10,000. 00 to demonstrate our sincerity and our desire to conclude this purchase immediately. This is an offer to PURCHASE and there is no period of lease. This is the second major amendment to the prior contract. Our offer releases the county from ', all liability and expenses for maintenance immediately. Although we are a non-profit corporation, open to the public for membership, we are not a religious group. Therefore, upon the close of escrow this property would go back on the tax rolls and no longer be exempt. We estimate tax dollars to the County in excess of $2,000.00 per year. We have built additional clauses into our offer to recognize the interest the public has in preserving and protecting this property. For instance. We pledge and will contract to keep the property open to 1 the public into perpetuity. The stated use is as a Historical Museum and Cultural Center. At anytime the Society abandons the Museum and Cultural Center we grant the County the first right of refusal to purchase the property back "AT OUR COST" . We recognize the difficulties of other, governmental agencies that serve the public and schools, Therefore, although fees may be generated in the future we will contract to never charge any fee at all to a teacher or class attending the facility on field trip. Further, governmental agencies may rent the facilities for just the cost of opening, operating and janitorial. We are offering to accept the property "AS IS" including the water connection problem in the fire sprinkler system) with Gaylord. We will make our own arrangements to disconnect the system and will not ask that this cost be paid by the county, who is otherwise financially responsible in a normal sale.
