BACKgROUNDISEASONS FOR RECOMMENDATIONS The Bay Point Redevelopment Project Area Committee has recommended the allocation of Redevelopment Agency funds to purchase and install play apparatus and to undertake restroom improvements. The site is located at the Ambrose Community Center, and is within the boundaries of the Bay Point Redevelopment Project Area. Pursuant to Section 33445 of the California Health &Safety Code, the Board of Supervisors must make certain findings before the Redevelopment Agency may pay all or part of the cost of the installation and construction of any building, facility, structure, or other improvement, which is publicly owned either within or outside the project area.The required findings and the basis therefore are attached hereto and incorporated herein as Exhibit A. Exhibit A FINDINGS PURSUANT TO SECTION 33445 OF THE STATE OF CALIFORNIA HEALTH AND SAFETY CODE I. Summary of the Program The Contra Costa County Redevelopment Agency (the"Agency") is proposing to finance park improvements at Ambrose Community Center in the Bay Point Redevelopment Project Area(the"Project Area"). The Facility is proposed to be located on a parcel south of Willow Pass Drive, east of Alves Lane and west of Clearland Drive. The facility is within the Project Area boundary, as more particularly described in Exhibit A attached to this report (the "Site"). The park is owned and operated by the Ambrose Recreation and Park District ("Ambrose"). Under this Agreement, the Agency would provide sixty thousand dollars ($611,000)for the purchase and installation of play equipment and renovation ofrestrooms (the"Project"). Pursuant to Health and Safety Code Section 33445, the Agency is authorized, with the consent of the County Board of Supervisors, to pay part or all of the value of improving the facilities which are to be publicly owned and are of benefit to the Project Area. Based on the information summarized in Part IIT below,the County Board of Supervisors hereby finds and determines: (a) that the public improvements are of benefit to the Project Area or to the immediate neighborhood in which the improvements are located, (b) that assisting the development of the improvements will assist in the elimination of one or more blighting conditions inside the Project Area, and (c) that there are no other reasonable means of financing the public improvements available to the community. II. Icy Point Redevelopment Plan and Restated AB 1290 ImIllementation Plan Installation of the proposed improvements is provided for in Part IV (Objective 2) of the Redevelopment Plan,which states: "Assist in the provision of adequate infrastructure to serve residential areas, including street paving, construction of street-ends and curbs, gutters and sidewalks, mini-parks, tot lots and landscaping;" and Installation of the proposed improvements is also provided for in Part VI(Objective 5) of the Restated AB 1290 Implementation Plan, which states: "Improve and expand the type and quality of community facilities available in the community." Other ...... ....... ....... ........ ......... amenities on the Site include two baseball fields, two tennis courts, a basketball court and a mini park adjacent to the ball fields. Ambrose intends to improve the Site by renovating and/or replacing the dilapidated play equipment structures and renovating restrooms to meet American Disability Act (ADA) certification. Development of the Site is of benefit to the Project Area because it will do the following: 1. The redevelopment of the Site will eliminate a serious blighting influence in the Project Area. The existing playground equipment is antiquated, and the restroom facilities do not meet the current law requirements under ADA. As described in documents set forth in Exhibit B (which documents are incorporated in this Summary by this reference), the Project Area is characterized by the existence of inadequate public improvements, open space and recreation facilities that have a detrimental physical and economic impact on surrounding parcels. 2. The implementation of the Project will serve goals and objectives set forth in Part IV of the Redevelopment Plan, including goals and objectives related to the construction and rehabilitation of public facilities (Objective 2). 3. The implementation of the Project will serve goals and objectives set forth in Part VI of the Restated AB 1290 Implementation Plan, including goals and objectives related to the expansion of the type and quality of community facilities(Objective 5). 4. Improve the Site with public and recreation improvements that are safe for Project Area residents, including renovating restrooms to make accessible by handicap persons. 5. Contribute to the community's supply of public, park and recreational facilities since no other public park with play structures in a radius of approximately 1-2 miles from the site exist. B. Fac#s Sup o i the Finding that There are No Other Reasonable Means of Fit n�cing the Facility Available to the Counly. The County has determined that there is a financing gap between the overall development costs of the Facility and the resources available to Ambrose for the improvement of the Park. As described in Exhibit C, the financial resources of Ambrose are inadequate to finance the costs of improving the Park. Ambrose is faced with the replacement and/or renovation of play structures in all of the parks in the district as well as maintaining non district park facilities in the community of Bay Point. Ambrose's operating budget cannot absorb the cost of managing and renovating the necessary improvements in all of its park areas, and is therefore __ _...... ......... ......... ......... ......... ......... _ ........ ............................ ......... ............................ ....._...._. ......... ......... ......... ......... _ _ _ .............................. V ' v 0 seeking other sources of funding. Ambrose submitted an application for County Park Dedication Funds to help meet the need of the operating budget. However, these funds will be used to finance the cost of mitigation measures to reduce the exposure of Ambrose Park to the ongoing issue of flooding. The County Park Dedication Fund balance is not sufficient to fund other necessary projects, such as the restroom and playground equipment improvements needed in Ambrose Park. This deficiency in the operating budget creates a need for Ambrose to continue searching for other means of financing. C. Facts Supporting - A of the Facility-will Asaist in the Elimination of One or More Bli hg..ting Conditions Inside the Prqject Are The Site is currently developed and is located within the Project Area boundary. The project property is the Ambrose Community Center located at 3105 Willow Pass Road, Bay Point, parcel #097-050-010-4, property description POR NW Ila SBC 14 T2N RIS. Attached as an enclosure is a map showing the project site relative to the community center and the grounds surrounding the center. The Ambrose Community Center, and the grounds surrounding the center, are owned in fee simple by the Ambrose Recreation and Park District. The Community Center is the focal point of the community of Bay Point. The grounds surrounding the center include such amenities as two baseball fields, two tennis courts, a basketball court and a mini park adjacent to the ball fields. Uses of the center and its grounds include community group meetings, social engagements, district and non-district program events, youth baseball association league play and tournaments, public use of the tennis and basketball courts, etc. Said uses often generating large numbers of public attendees. The fact that this site is so widely used by the community coupled with the fact that there are no other public parks with play structures in an radius of approximately 1-2 miles of this site, makes the need apparent. The outdoor restroom facility was built prior to the law requiring all public facilities to be handicap accessible. The park district is faced with replacement and/or renovation of play structures at all of our parks, the cost of which cannot be absorbed by the district's operating budget. As you are no doubt aware the County of Contra Costa is now maintaining non district park facilities in the community of Bay Point and as such is eligible, along with Ambrose, for use of Park Dedication Funds. Both Contra Costa County Public Works and Ambrose have indicated a need for funding of these types of projects. The Board of Directors of Ambrose Recreation and Park District has asked that I submit an application for use of Park Dedication funds to help assist with the cost of mitigation measures to reduce the exposure of Ambrose Park to the ongoing issue of annual flooding. The Park Dedication Fund balance is not sufficient to meet the needs of the district as well as those of Public Works and as such creates a need to seek other funding sources. AN AGREEMENT BETWEEN THE CONTRA COSTA COUNTY REDEVELOPMENT AGENCY and AMBROSE RECREATION AND PARK DISTRICT FOR THE JOINT EXERCISE OF POWER TO FUND THE INSTALLATION OF PLAY EQUIPMENT, SITE PREPARATION AND RELATED DESIGN FEES AT AMBROSE COMMUNITY CENTER IN BAY POINT This Agreement is made and entered into this I st day of D-go-rnba, 1998, by and between the Contra Costa County Redevelopment Agency, a public body corporate and politic existing under the laws of the State of California, hereinafter called "Agency", and the Ambrose Recreation and Park District, a public body organized and existing under the laws of the State of California, hereinafter called "ARP13". RECITALS WHEREAS, Agency adopted a Redevelopment Plan for the Bay Point area on December 29, 1987; and WHEREAS,the Ambrose Recreation and Park District is a special district that is located in the Bay Point area and is funded through property taxes; and WHEREAS, special district monies appropriated by the State created a financial crisis for the Ambrose Recreation and Park District; and WHEREAS, alternatives were sought to free up operating revenue for the Ambrose Recreation and Park District; and WHEREAS, the Agency has budgeted $60,000 to purchase play equipment, pay for the installation of the equipment, and undertake restroom renovations for Ambrose Community Center (the Project"); and WHEREAS, the Ambrose Recreation and Park District is prepared to monitor the installation of the play equipment; and WHEREAS, the Agency and Ambrose Recreation and Park District do mutually desire to cooperate in completing the Project and to specify herein the terms and conditions under which said project will be designed, constructed, financed and maintained. AGREEMENT SECTION I Ambrose Recreation and Park District Responsibilities: ARPD shall: (1) Provide plans and specifications to Agency thirty (30) days before going to bid and construction management for the Project. (2) Construct or cause to be constructed said Project in accordance with the guidelines and regulations prescribed by County. (3) Complete the installation and site preparation and limit expenditure of funds described in this Agreement to the Project limits and to expend the funds before June 30, 1999 (see Exhibit A, map of Ambrose Community Center). (4) Submit payment requests to the Agency on a reimbursement basis. Submittal shall include a cost summary, copies of contracts, invoices and cancelled checks. (5) Retain, or cause to be retained for audit all records and accounts relating to the Project for the period required by County. ARPD shall be strictly accountable for all funds and, upon request, will report receipts and disbursements. (6) Insurance Requirements: ARPD, and any contractors utilized by ARPD, shall take out and maintain during the life of the Agreement all the insurance required by this Section and shall submit certificates for review and approval by County. No play equipment or use thereof shall commence until such insurance has been approved by County. The Certificates shall be on forms provided by County or the insurance carrier. Acceptance of the certificates shall not relieve ARPD of any of the insurance requirements, nor decrease the liability of ARPD. County reserves the right to require ARPD to provide insurance policies for review by County. (a) Workers'Compensation Insurance. ARPD shall take out and maintain during the life of the Agreement,Workers'Compensation and Employers'Liability Insurance for all of its employees on the Property. ARPD shall require any subcontractor to provide it with evidence of Workers' Compensation and Employers' Liability Insurance, all in strict compliance with California State laws. (b) Public Liability Insurance. ARPD shall take out and maintain during the life of the Agreement, Comprehensive Automobile and General Liability Insurance that provides protection under this Agreement. ARPD shall require any subcontractor to provide evidence of the same liability insurance coverages. The amounts of insurance shall be not less than the following: Single Limit Coverage applying to Bodily and Personal Injury Liability and Property Damage: $1,000,000 per occurrence. (c) Endorsements; The following endorsements must be indicated on the certificate: (1) Contra Costa County Redevelopment Agency, its boards, officers, and employees are additional insureds under the policy as to the work and operations being performed under this Agreement. (2) The coverage is primary and no other insurance carried by the County will be called upon to contribute to a loss under this coverage; (3) The policy covers blanket contractual liability; (4) The policy limits of liability are provided on an occurrence basis; (5) The policy covers broad form property damage liability; (6) The policy covers personal injury as well as bodily injury liability; (7) The policy covers explosion, collapse, and underground,hazards; (8) The policy covers products and completed operations; (9) The policy covers use of non-owned automobiles; (10) The coverage shall not be canceled nor materially altered unless thirty (30) days'written notice is given to the County. (d) Failure of Coverage. Failure,inability, or refusal of ARPD to take out and maintain during the entire term or terms of this Agreement any and all of the insurance as aforesaid shall at the option of County constitute a breach of this Agreement and justify immediate termination of the same. (e) Self Insurance. ARPD has the right and option to self-insure the requirements under this Section 9 upon written notice to the County that ARPD assumes the obligations in the place and stead of any insurance carrier, any reference to failure of coverage notwithstanding. In the event that ARPD elects to self-insure, ARPD shall provide to the County a certificate or other evidence of self-insurance acceptable to the County. SECTION IT A eg cn y Responsibilities: Agency agrees: (1) That ARPD is designated hereunder as the party responsible for the expenditure of Agency funds in the amount of$60,000. (2) To review and comment on Project plans and specifications within thirty(30) days of ARPD's submittal date. (3) To process ARPD's payment requests in a timely fashion. (4) To allow ARPD, its contractors and their authorized agents, to enter its property and bring the necessary workers, tools, and equipment for the purpose of constructing the Project. SECTION TTI General Conditions: (1) This Agreement may be canceled by mutual consent in writing of the two parties. (2) Notices regarding this Agreement shall be sent by first class mail, postage prepaid, to Ambrose Recreation Center at 31.05 Willow Pass Road,Bay Point CA 94565 and to Agency at Community Development Department, 651 Pine Street, 4th Floor,North Wing, Martinez, CA 94553. (3) ARPD shall defend,indemnify, sage, and hold.harmless Agency and its officers and employees from any and all claims, costs, and liability for any damages, sickness; death, or injury to person(s)or property,including without limitation all consequential damages from any cause whatsoever,arising directly or indirectly from or connected with the negligent acts, omissions, operations or services of ARPD or its officers, employees, agents, or subcontractors hereunder. ARPD shall reimburse Agency for any expenditures, including reasonable attorney's fees, Agency may by reason of the matters that are the subject of this indemnification and, if requested by Agency, shall defend any claims or litigation to which this indemnification applies at the sole cost and expense of ARPD. ................111.1....................I...........I................... ............................................................................ ............................................................. (4) Agency shall defend,indemnify, save,and hold harmless ARPD and its officers and employees from any and all claims, costs, and liability for any damages, sickness, death, or injury to person(s)or property,including without limitation all consequential damages from any cause whatsoever, arising directly or indirectly from or connected with the negligent acts, omissions, operations or services of Agency or its officers, employees, agents, or subcontractors hereunder. Agency shall reimburse ARPD for any expenditures, including reasonable attorneys fees,ARPD may by reason of the matters that are the subject of this indemnification and, if requested by ARPD, shall defend any claims or litigation to which this indemnification applies at the sole cost and expense of Agency. (5) This Agreement contains the entire agreement between the parties with regard to matters described in this Agreement and supersedes all prior agreements, whether written or oral, between the parties with respect to such subject matter. (6) This Agreement shall be interpreted and enforced under the laws of the State of California. (a) This Agreement shall terminate at such time as Agency has disbursed funds and ARPD has completed the Project. The three(3) obligations contained in Section III (3) and(4) of this Agreement shall survive termination of this Agreement. IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by their respective officers, duly authorized, the provisions of which Agreement are effective as of the day, month, and year first hereinabove written.
