Board of Supervisors: The attached claim form seeks damages to real property located at 2910 Cutting Boulevard, Richmond. Pursuant to Section 911.4 of the Government Code, we are also filing concurrently this letter to serve as an application for leave to present a late claim in order to avoid additional delay: 1. Application is hereby made for leave to present a late claim under Section 911.4 of the Government Code. The claim is founded on a cause of action for breach of a lease contract which accrued on January 1, 1995, and for which a claim was not presented timely. For additional circumstances relating to the cause of action, reference is made to the claim form attached hereto as Exhibit A and made a part hereof. 2. The reason for the delay in presenting this claim is the excusable neglect of the claimant, as is more particularly shown in the declaration of Gwendolyn Goodbeer attached hereto as Exhibit B and made a part hereof. 3. ATTACHMENT1 GENERAL DESCRIPTION OF DAMAGES 1. The damages arise out of a breach of lease agreements defining the County's obligations as lessee from July 27, 1973 until surrender of the premises on January 1, 1995. A copy of the controlling leases is attached as Exhibit 1. A copy of the letter showing the date of the County's surrender is attached as Exhibit 2. 2. Pursuant to paragraph 11 of the lease agreement, the County was responsible for all interior maintenance and repairs, for all code violations arising out of and directly related to the County's use and occupancy, and for regular litter and debris removal. In addition, the lease agreement provided that the County was to surrender the premises in good order, condition, and repair. 3. When the County surrendered the premises on January 1, 1995, the premises were not in good order, condition, and repair. In addition, the County made several unauthorized changes and modifications to the subject property's interior, including construction of new interior walls and shelving, and rerouting of electricity and plumbing. These alterations were negligently performed, substantially altered the property, and require corrective repair work before the property can be leased to a new tenant. An appraisal dated May 17, 1983 showing the original layout of the subject property is attached as Exhibit 3. Photographs of the subject property showing damages and negligent interior alterations are attached as Exhibit 4. 4. Due to the County's negligent management, the property's condition has deteriorated significantly beyond reasonable, normal or expected wear and tear. The property is currently out of code in many respects, and claimant has been unable to find a lessor since the County surrendered the premises. EXHIBIT No.. / LEASE 2910 Cutting Boulevard Richmond, California Methadone and Mental Health Clinic 1 . PARTIES: Effective on _ JUL 2 7 1976, WILLIAM C. SMITH and LUCINDA Y. SMITH, hereinafter called "LESSOR", and the COUNTY OF CONTRA COSTA, a political subdivision of the State of California, hereinafter called "COUNTY" , mutually agree and promise as follows: 2. LEASE OF PREMISES: LESSOR, in consideration of the rents, covenants and conditions hereinafter expressed, hereby leases to COUNTY, and COUNTY hereby hires from LESSOR, all those certain premises, together with the improvements thereon, containing approximately 2,100 square feet commonly known as 2910 Cutting Boulevard, Richmond. COUNTY and its employees, agents, and invitees shall have the non-exclusive right to use the parking facilities located adjacent to the building, including parking facilities on LESSOR's adjacent property at 2900 Cutting Blvd. , Richmond. 3. TERM: The term of this agreement shall be for the period commencing June 6, 1976 and ending June 30, 1978. 4. EXTENSION: This lease may, at the option of the COUNTY be extended upon the same terms and conditions by giving LESSOR sixty (60) days prior written notice as follows: a. First extension 2 year term from July 1 , 1978 to June 30, 1980. b. Second extension 2 year term from July 1 , 1980 to June 30, 1982. 5. HOLDING OVER: Any holding over with LESSOR's consent after the expiration of the term of this lease, or any extension thereof, shall be construed to be a tenancy from month to month, and shall otherwise be on the same terms and conditions so far as applicable. 6. RENTAL: COUNTY agrees to pay to LESSOR an initial payment of $595.00 for the period June 6, 1976 through June 30, 1976, and thereafter a monthly rental of $714.00, payable on the tenth (10th) day of each month during COUNTY 's occupancy. Payments are to be sent to LESSOR, 2900 Cutting Boulevard, Richmond, CA 94804. - 1 - 7. _ TAXES: COUNTY shall pay to LESSOR within thirty (30) days after being re- quested to do ,so by LESSOR as additional rental a sum equal to the increment, if any, in City and/or County taxes levied against the leased premises in any year during the term of this lease or extension thereof which may exceed the property taxes for the 1975-76 fiscal year (Pcl . #549-192-00 said taxes being $1 ,148.76. 8. USE OF LEASED PREMISES: The premises shall be used during the term hereof for the operation of the County Hospital and for other purposes of conducting therein the business of the County. 9. UTILITY SYSTEMS: LESSOR shall furnish and maintain any and all electrical , water, plumbing, heating and ventilating systems in good working order, but shall not be responsible for any maintenance required because of abnormal or abusive use. Whether there has been abnormal or abusive use, shall be determined by the maintenance personnel of LESSOR and COUNTY. COUNTY shall replace filters in the heating system, lubricate said system, and perform periodic preventive maintenance to said system. 10. UTILITIES AND JANITORIAL SERVICES: COUNTY shall pay for all utilities, provide its own janitorial services and telephone services, and replace any and all electric lamps and ballasts in the lighting system. 11 . MAINTENANCE AND REPAIRS: a. LESSOR shall maintain the exterior of the building and all landscaping in good order, condition and repair, including all exterior doors and their fixtures, closures and hinges. LESSOR shall perform all gardening services at no cost to COUNTY. b. COUNTY shall keep and maintain the interior of the building in good order, condition and repair, but LESSOR shall repair damage to the interior caused by failure to maintain the exterior in good repair, including damage to the interior caused by roof leaks and/or interior and exterior wall leaks. c. COUNTY shall replace glass windows broken by its ' employees , agents , or invitees; if broken otherwise, LESSOR shall replace them. d. LESSOR shall be responsible for any code violations which may exist in the leased premises; provided that LESSOR shall not be liable for correction of code violations or CAL/OSHA violations which arise out of and are directly related to a change in the COUNTY's occupancy or use of said premises. e. COUNTY shall not suffer any waste on or to the demised premises. - 2 - 12. .FIRE EXTINGUISHER: LESSOR shall install one (1 ) fire extinguisher and shall annually service said extinguisher at no cost or expense to COUNTY. 13. MINOR ALTERATIONS, FIXTURES, AND SIGNS: COUNTY may make any lawful and proper minor alterations and may attach fixtures and signs in or upon the premises which shall remain COUNTY' s property and may be removed therefrom by COUNTY prior to the termination of this lease. LESSOR hereby grants COUNTY permission to install a Dutch door in the premises which shall be the property of COUNTY. Upon vacating the premises , COUNTY shall replace said door with a standard door. 14. HOLD HARMLESS: It is understood and agreed that LESSOR shall not in any way be responsible for damages to persons or property in and upon said premises while said persons are on COUNTY business, and shall not beheld liable for any liability, claim or suit for damages to the person or property of anyone whomsoever while in or upon said leased premises during said term in conjunction with the performance of COUNTY business, and COUNTY hereby agrees to indemnify and hold harmless LESSOR from any liability or charges of any kind or character by reason of such injury or damage claim or suit for liability arising therefrom in, around or upon said leased premises, with the exception that, in the case of any structural , mechanical , or other failure of equipment or building owned by LESSOR, which results in damage to any person or property, LESSOR will be held liable. LESSOR agrees to hold COUNTY completely harmless from damages to persons or property, and COUNTY shall not be held liable for any liability, claim, or suit for damages to the person or property when and if said persons or property are passing through or are in or around said demised premises and are not acting in conjunction with COUNTY business. 15. DESTRUCTION: If these premises or any essential part thereof be destroyed by fire, earthquake, or other casualty, this lease shall , in the case of total or sub- stantial destruction, immediately terminate, and in the case of partial destruction or damage, shall terminate at the option of either party on giving written notice to the other party within fifteen (15) days after such destruction. Should COUNTY and LESSOR not elect to terminate said lease as provided in this paragraph, LESSOR shall forthwith repair the premises, and if such partial destruction shall prevent COUNTY from occupying the whole or a portion of the demised premises , COUNTY shall - 3 - be eptitled to a proportionate reduction of the said rent from the date of such partial destruction until the date the demised premises shall be repaired by LESSOR. 16. QUIET ENJOYMENT: LESSOR covenants that COUNTY shall at all times during the said term peaceably and quietly have, hold, and enjoy the demised premises without suit, trouble or hindrance from or on account of LESSOR as long as COUNTY fully performs hereunder. 17. DEFAULTS: In the event of COUNTY breach of any of the covenants or conditions herein, including rent payment, LESSOR may reenter and repossess the premises and remove all persons and property therefrom; and in the event of such a breach by LESSOR, COUNTY may proceed to repair the building or correct the problem resulting from the breach and deduct the cost thereof from rental_ payments due the LESSOR. 4, 18. SURRENDER OF PREMISES: On the last day of the said term, or sooner termination of this lease, COUNTY will peaceably and quietly leave and surrender to LESSOR these premises with their appurtenances and fixtures (except signs and fixtures referred to in Section 12 herein) in good order, condition, and repair, reasonable use and wear thereof and damage by earthquake, fire, public calamity, by the elements, by Act of God, or by circumstances over which COUNTY has no control excepted. 19. SUCCESSORS, ASSIGNS, .SUB-LEASES: The terms and provisions of this lease shall extend to and be binding upon and inure to the benefit of the executors , administrators, successors and assigns of the respective parties hereto; but without LESSOR's consent, COUNTY shall not assign this lease nor sublet all or any part of these premises nor permit the use thereof by anyone other than COUNTY, such sublessees, and their officers, agents and employees, although LESSOR may assign this lease without further consent from COUNTY. 20. INSPECTION: LESSOR reserves the right to enter the premises between the hours of 7:00 a.m. and 3:00 p.m. , Monday through Friday, or in any emergency situation, and to employ the proper representative to insure that the property is being reasonably cared for, that no waste is being made, and that all things are done in the manner best calculated for the preservation of the property, and in full compliance with the terms and conditions of this lease. - 4 - 21 . , PRIOR LEASE: It is understood and agreed that the executor of this agreement shall terminate the prior lease dated June 5, 1973 by and between the parties hereto as of June 5, 1976. 22. CHA shall keep and maintain the interior of the building in good order, condition and repair, but LESSOR shall repair damage to the interior caused by failure to maintain the exterior in good repair, including damage to the interior caused by roof leaks and/or interior and exterior wall leaks. c. CHA shall replace glass windows broken by its' employees, agents, or invitees; if broken otherwise, LESSOR shall replace them. d. LESSOR shall be responsible for any code violations which may exist in the leased premises; provided that LESSOR shall not be liable for correction of code violations or CAL/OSHA violations which arise out of and are directly related to a change in the CHA's occupancy or use of said premises. e. CHA shall not suffer any waste on or to the demised premises. 12. INSURANCE: Within 30 days after the commencement of, the lease period, lessee will provide evidence of a fire and casualty policy for Heid premises naming the LESSOR as additional insureds. 13. FIRE EXTINGUISHER: LESSOR shall install one ( 1 ) fire extinguisher and shall �J annually service said extinguisher at no cost or expense to CHA. 14. MINOR ALTERATION, FIXTURES, AND SIGNS: CHA may make any lawful and proper alteration and may attach fixtures and sign in or upon the premises which shall remain CHA`s property and may be removed therefrom by CHA prior to the termination of this lease. 15. HOLD HARMLESS: It is understood and agreed that LESSOR shall not in any way be responsible for damages to persons or property in and upon said premises while said persons are on CHA business, and shall not be held liable for any liability, claim or suit for damages to the person or property of anyone whomsoever while in or upon said leased premises during said term in conjunction with the performance of CHA business, and CHA hereby agrees to indemnify and hold harmless LESSOR from any liability or charges of any kind or character by reason of such injury or damage claim or suit for liability arising therefrom in, around or upon said leased premises, with the exception that, in the case of any structural , mechanical , or other failure of equipment or building owned by LESSOR, which results in damage to any person or property, LESSOR will be held liable. 16. LESSOR agrees to hold CHA completely harmless from damages to persons or property, and CHA shall not be held liable for any liablity, claim, or suit for damages to the person or property when and if said persons or property are passing through or are in or around said demised premises and are not acting in conjunc- tion with CHA business. 17. DESTRUCTION: If these premises or any essential part thereof be destroyed by fire, earthquake, or other casualty, this lease shall , in the case of total or substantial destruction, immediately terminate, and in the case of partial destruc- tion or damage, shall terminate at the option of either party on giving written notice to the other party within fifteen ( 15) days after such destruction. Should CHA and LESSOR not elect to terminate said lease as provided in this paragraph, LESSOR shall forthwith repair the premises, and if such partial destruction shall prevent CHA from occupying the whole or a portion of the demised premises, CHA shall be entitled to a proportionate reduction of the said rent from the date of such partial destruction until the date the demised premises shall be repaired by LESSOR. 18. QUIET ENJOYMENT: LESSOR covenants that CHA shall at all times during the said term peaceably and quietly have, hold, and enjoy the demised premises with- out suit, trouble or hindrance from or on account of LESSOR as long as CHA fully performs hereunder. 19. DEFAULTS: In the event of CHA breach of ony of the convenants or conditions d herein, including rent payment, LESSOR may reenter and repossess the premises and remove all persons and property therefrom; and in the event of such a breach by LESSOR, CHA may proceed to repair the building or correct the problem resulting from the breach and deduct the cost thereof from rental payments due the LESSOR. 20, SURRENDER OF PREMISES: On the last day of the said term, or sooner termi- nation of this lease, CHA will peaceably and quietly leave and surrender to LESSOR - 3 - these premises with their appurtenances and fixtures (except signs and fixtures referred to in Section 12 herein) in good order, condition, and repair, reasona- ble use and wear thereof and damage by earthquake, fire, public calamity, by the elements, by Act of God, or by circumstances over which CHA has no control excep- ted. 21 . SUCCESSORS, ASSIGNS, SUB-LEASES: The terms and provisions of this lease shall extend to and be binding upon and inure to the benefit of the executors, administrators, successors and assigna of the respective parties hereto; CHA may assign this lease or sublet all or any part of these premises to Contra Costa County without the consent of LESSOR. Cost of repair to interior walls caused by unauthorized modification and additions made by County: $10,000.00 (estimate). 3. Cost of repair to plumbing system and fixtures caused by negligent maintenance and unauthorized modifications made by County: $5,000.00 (estimate). 4. Miscellaneous interior repairs, such as door, floor, window and counter top repairs as identified in May 3,1995 letter to Peter Bancroft of the General Services Department: $17.471.00. This letter is attached as Exhibit 6. 5. Lost rent due to inability to rent due to property damages and disrepair caused by County: $2026.50/month x 24 months (1/95-12/96) = $48,636.00 PRELIMINARY ESTIMATE OF TOTAL DAMAGES: $98,345.79. 'Claimant is currently obtaining estimates from contractors for the cost of repairs to the interior of the building. An accurate itemization of total damages sustained will be filed as an amendment to this claim within two to three weeks. Smith, passed away. 3. Prior to 1992, 1 had limited knowledge of the subject Cutting Boulevard property and had no experience managing or maintaining commercial property. 4. The County of Contra Costa leased, used and occupied the Cutting Boulevard property from July 27, 1976 until December 31, 1994. The County operated a health clinic on the property. 5. Pursuant to paragraph 11 of the lease agreement, the County was responsible for all interior maintenance and repairs, for all code violations arising out of and directly related to the County's use and occupancy, and for regular litter and debris removal. In addition, the lease agreement provided that the County was to surrender the premises in good order, condition, and repair. 6. When the County surrendered the premises on January 1, 1995, the premises were not in good order, condition, and repair. 7. During the County's use and occupancy, several unauthorized changes and modifications to the subject property's interior were made, including construction of new interior walls and shelving, and rerouting of electricity and plumbing. These 1 alterations were negligently performed, substantially altered the property, and require corrective repair work before the property can be leased to a new tenant. 8. Due to the County's negligent management, the property's condition has deteriorated significantly beyond reasonable, normal or expected wear and tear. The property is currently out of code in many respects, and I have been unable to find a lessor since the County surrendered the premises. 9. 1 do not have the funds to perform the repairs myself, and I cannot refinance the property to perform the necessary repairs. 10. Prior to the County's surrender of the premises, I entered into settlement negotiations with Peter Bancroft of the County of Contra Costa, General Services Department in December 1994 concerning the condition of and damages to the Cutting Boulevard property. 11. Both sides agree that the lease was breached and that the property was surrendered in a substandard condition. County agents and I disagree, however, on the exact repair work for which the County is liable, on the reasonable cost of necessary repairs, and on other incidental damages. 12. From December 1994 until October 1996, continuous settlement negotiations were made in good faith and included involvement of Contra Costa County Supervisor, Jim Rogers. 13. During this time, I have discovered the extent of damages is greater than I originally knew. Only within this last year did I discover that the County had constructed new interior walls and rerouted electricity throughout the subject property. 2 Upon inspection, I also discovered that this work was negligently performed. 14. Since agents for the County have not responded to my last letter (dated October 21, 1996) and very little progress has been made after two years of good faith negotiations, it now appears that more formal attempts at resolving this dispute are necessary. 15. Although I have been in constant negotiations with the County since December 1993, 1 was never informed by any agent of the County that I would need to file a claim against the Contra Costa County in order to preserve my right to be compensated for damages. 16. 1 participated in good faith in settlement negotiations because I trusted the County agents, I thought that this matter could be resolved informally, and I did not think I would be prejudicing my rights by working with the County toward settlement. 17. As soon as it became apparent that settlement negotiations were failing and that an impasse was reached, I contacted an attorney, upon whose advice I am filing this application for leave to file a late claim and claim for damages. 18. 1 have obtained some repair work and cost estimates for the subject property; these are attached to the claim form. I am presently interviewing reputable and experienced general contractors to inspect the premises and develop repair work and cost estimates for the property damage I have only recently identified. I expect to present these cost estimates in an amendment to this claim within the next two to three weeks. 19. The amount of damages and necessary repair work is based upon my 3 best estimate at this time and may vary depending upon the findings of the inspection by the general contractor. I expect the January 1997 amendment to present an accurate total of all claimed damages. I have tried to some this matter unsuccessfiilly starting December 1994 with Pete Bancroft,Lease Management Division,General Services Department, who had administered the lease from at least 1978. In reference(a), I asked your assistance in resolving the problems associated with the damages to the property. I provided you with pictures of damaged areas,added wails,dry rotted floors,etc. I also provided you with an appraisers drawing and description of the interior of the building as of December 1982(which I had recently discovered in my father's papers). I have expressed the financial burden and stress this unresolved situation is causing for me and my family. I also expressed my distrust in dealing with Pete Bancroft. Even with the reservations I held, I agreed during reference(b)to meet at the site with Bancroft and the contractor you suggested, Mr. Steve MacDermitt for a walk through to observe the interior of the building. During the meeting,reference(c),Pete Bancroft repeated time and again "the County was not going to pay for"regarding the damages to the building. Mr.MacDermitt,who seems an honorable man,seemed to become concerned about there being an issue over responsibility for repairs and his time spend on an estimate. As I observed damaged floors and wails,dry rot,structured and re- structured walls,added/re-routed electric wiring and capped/re-routed water pipes;it caused me to become physically ill. I have revisited the site on numerous occasions since the referenced meeting, Closer observation reveals the following: I.The kitchen was restructured by adding a wall,creating an additional room with electricity routed in. 2. Two(2)rooms at the rear of the building,restructured into four(4)rooms with electricity routed in. 3. A hallway was structured by building a wall with two doorways across(on top of)a heating vent. 4. A room was structured by building a wall around(the top of the wall was cut out)a lighting fixture. 5. A reception area swinging door was structured across an electric plate, the electric plate was remuted/moved. 6.Hot water plumbing pipes have been blocked/capped including three(3)bathrooms and two(2) kitchens z 7. Electric wiring has been re-routed/restructured to accommodate added rooms 8. Windows do not open. 9. A doorway to the men's restroom has been closed off to create one of the added rooms and the doorway was structured on a different side of the room. 10. The rear exit door frame has been damaged by the removal of a steel door. In light of the above and with the damages I observed and related in reference(a)(i.e. dry rot in bathrooms and kitchens,extensive floor damage,broken windows, missing light fixture covers to name a few),I no longer require an estimate of the repairs. I am requesting that you tell me in writing the County plans for repairing the damages and what compensation the County will offer me. I request that the Contra Costa County Board of Supervisors oversee the repairs to the building,using Mr. MacDermitt's contracting firm, obtain the required permits as well as the follow-up inspections required. I request that the building's interior be put back to its original design. I also request approval of plans and final approval upon completion of the project.Mr. MacDermitt seems a fine and experienced contractor. Even though his obvious friendship with Mr. Bancroft and the lady from Mr.Bancroft's office(I'm so sorry that I didn't get her name or title(they discussed a dinner party and the employment status of Mr. MacDermitt's wife),I'm afraid I felt ill at ease during the meeting as everyone else seemed quite comfortable. I left the three of them in discussion outside the building. I indicated to you during the phone conversation that being a landlord has been a new experience for me let alone a commercial property, (I've taken classes,but all seem to be geared toward apartment rental.)I am overwhelmed,mentally and financially drained and totally stressed out by this whole situation. By the way, during our phone conversation,you were on the speaker phone; however, I heard distinctive beeps at regular intervals,please inform me the source of the beeps,if you know. Please respond,in writing,the County's intentions concerning this matter in regard to items(1) through(10)above as well as the damages discussed in my previous letter,reference(a). I have sent you pictures of damaged areas,provided a copy of the Appraiser's drawing of 1982 and performed a walk through with a County suggested contractor. Its mechanical quoting of the rules and regulations regarding the County's responsibilities,while standing in a building that he has not applied these responsibilities is very distressing to me. 1 have asked to be provided with the regulations regarding Contra Costa County's lease/management responsibilities and the amount of money spend on upkeep of buildings in Martinez, Concord,Walnut Creek and Onnda,with no response.
