BACKGROUND The contract for construction management with O'Brien-Krietzberg & Associates for the Merrithew Memorial Hospital Replacement Project requires a monthly status report, including the contractors ' compliance with the MBE/WBE and affirmative action contract requirements, to be filed with the Project Director in the Office of the County Administrator. A copy of the monthly progress reports are provided to the Clerk of the Board and the Board of Supervisors for information purposes . We are mindful of the construction schedule that makes it clear that construction is approximately 50%complete; however,we must notify you of non-compliance with Contra Costa County's Division E, Section 11-'Affirmative Action and Equal Employment Opportunity", for females for the overall project and for minority and females for certain subcontractors. Attached you will find a copy of the cumulative statistics for the project for July 1995 though July 31, 1996(Attachment A). This data chart identifies the subcontractors in apparent non-compliance for the minority and female goals for this project. The contractor and the following subcontractors have failed to comply with the following provisions of Section 11 of Division E: The prime contractor, Centex Golden Construction Company has failed to: 1. Enforce the receipt of weekly certified payroll reports in a timely fashion(on a weekly basis as agreed upon and by the fifteenth of the next month). Division E, Section C Reporting Requirements"which states in part"...Each employee shall be identified as to minority or non-minority status and as to gender status on a form acceptable to the Contract Compliance Officer. Forms shall be submitted weekly to the Contract Compliance Officer. The Contractor will submit the certified payrolls (based on a hourly rate)for his company and those of the subcontractors on a weekly basis..." 2. Appoint a full time Affirmative Action/Equal Employment Opportunity Manager. time Affirmative Action/Equal Employment Opportunity(AA/EEO) Manager to implement the M/WBE and affirmative action requirements of this project. The AA/EEO Manager shall be a part of the contractor's on-site team. The AA/EEO Manager shall have the experience performing (the following] duties on previous jobs and shall perform[these]duties in connection with this project..." 3. Enforce the reporting requirements(Attachment 8)for instances of non-compliance by the subcontractors. Once Centex Golden has identified instances of non-compliance,they are required to notify subcontractors and to require subcontractors to submit all action steps taken in their efforts to meet the participation goals as outlined in the specifications. Division E,Section 11(C),states in part"..Any contractor whc fails to meet the employment goals outlined in paragraph A"Employment Goals"shall submit to the Affirmative Action Office all of the documentation of"good faith effort". The documentation shall be submitted at least weekly..." 4. Initiate and enforce sanctions for non compliance by subcontractors. Division E,Section 0(3)which states in part,"...The Contractor shall be responsible for compliance with this section by the subcontractors, to the event of non-compliance by a subcontracto{the contractor will withhold 10%of the subcontract amount This money may be recouped if the subcontractor comes into compliance with its affirmative action obligations and remedies the effects of past noncompliance. In addition, noncompliance may be deemed a material breach,for which the contractor shall carry out further sanctions and penalized as necessary,including suspension, termination and cancellation of existing subcontracts. Any contractor who fails to carry out such sanctions and penalties shall be in violation of this section." The subcontractors have failed io: 1. MINORITY AND WOMEN BUSINESS ENTERPRISE PROGRAM AFFIRMATIVE ACTION AND EQUAL EMPLOYMENT OPPORTUNITY SECTION 11. Ai^FIRMATIVE ACTION AND EQUAL EMPLOYMENT OPPORTUNITY SPECIFIC AFFIRMATIVE ACTION STEPS No contractor or subcontractor shall be found to be in noncompliance solely on account of its failure to meet its goals. The contractor and subcontractor shall be given the opportunity to demonstrate that they have instituted these Specific Affirmative Action Steps and have made every 'good faith effort' to make these steps work toward the attainment of the above employment goals. The contractor shall inform its subcontractors of their respective obligations under the terms and requirements of these special provisions. 1) The contractors and subcontractors' Affirmative Action Program must include specific affirmative action steps to increase minority and women utilization. Any contractor who fails to meet the employment goals outlined in Paragraph A 'Employment Goals,' above, must demonstrate to the satisfaction of the Contract Compliance Officer that a'good faith effort'was made to meet these goals. This effort must be at least as extensive and specific as the following: a) The contractor and subcontractors shall notify the union (hiring hall) in writing that the employment goal of this project is not being met, and the contractor shall solicit the union's assistance in meeting the specified goals. The contractor will work with the local union where there is a signatory agreement with the local union and associated crafts. The contractor shall forward to the Affirmative Action Office a copy of all personnel requests made to the trade unions, specifying the residency and ethnicity/gender of the personnel requested (this process hereafter will be referred to as the 'dual notification process.` When workforce characteristics are under the stated affirmative action hiring goals, the contractor-shall utilize, as determined by the collective bargaining agreements established between the contractor and the respective unions, the 'namecall,' 'rehires' and "apprentice sponsorship options' to achieve the labor force minority and female goals specified in Paragraph A above. The dual notification requirements are the sole responsibility of the contractor. For each personnel request list the date hiring hall was notified, name and location of the hiring hall, the targeted goal, assistance provided, and name of person giving assistance b) The contractor shall make specific and continuing personal recruitment efforts, both written and oral, directed at minority, female and community organizations,schools with minority and female students, minority and female recruitment organizations, and minority and female training organizations within the greater San Francisco Bay Area. For each agency or organization contacted, list the name of the agency or organization,the contact person,the date of contact and the response received. c) The contractor shall notify the Contract Compliance Officer whenever the union or unions with whom the contractor or subcontractor has a collective bargaining agreement have not referred to the contractor or subcontractor a minority person or female in response to a request sent by the contractor or subcontractor to the union or whenever the contractor or subcontractor has other information that the union referral process has impeded the contractors or subcontractors efforts to meet the specified employment goals. Centex Golden is not in Non-Compliance as claimed by the County Contract Compliance Office. Please consider our response to the following items: "Non-Compliance ... for females for the overall project": The County is reporting our cumulative participation levels through July, 1996 as follows: Minority - 28.05%; Female -6.29%. Centex Golden's cumulative figures through July, 1996 are as follows: Minority-28.03%; Female- 8.64%. It is clear that Centex Golden is exceeding the specified goals of 25.7% Minority and 6.9% Female. It is clear that in arriving at their figures for Female participation, the County is continuing to omit Centex Golden's jobsite staff. We consider this a mis-representation of the facts and of our contractual obligations. The County Contract Compliance Office persists in publishing incomplete data to the Board and to the Public which does not accurately report our successful results. Thisis an issue that was discussed, and I thought resolved, early in the Project. At that 1. time,Vit was agreed among the County, Davillier-Sloan, O'Brien-Kreitzberg and Centex Golden that review of the overall participation levels would include Centex Golden's— jobsite staff. In fact, we have submitted, at the request of the County Contract Compliance Office, payroll data to verify the person-hours incurred by Centex Golden to satisfy their challenge in verifying our participation levels. Division "E" of the Project Specifications does not limit the compliance review of the Contractor's participation levels to strictly hourly employees which are reported on certified payrolls. We will not consider any future non-compliance notices for overall workforce levels unless they are based on data that includes Centex Golden jobsite supervisory personnel. "Non-compliance for minority and females for certain subcontractors": In comparing SBG's data against our data we have found wide discrepancies in the figures for certain subcontractors (i.e. Alamillo-Steel and Contra Costa Electric among others) while our data matches exactly for other subcontractors (i.e. Allied Fire Protection and Alcal Roofing). We fully recognize our contractual requirements to "make a maximum effort to achieve the employment goals within each trade" (Div. "E", Section 11;Para. A.2) and that "the goals shall apply to the contractor and all subcontractors regardless of how they are selected" (Div. "E", Section 11, Para. A.3). However, I am compelled at this time to remind the County that the Minority and Female employment goals listed in Section 11, Para. 1 "do(sic) not apply to current employees used on this project." Therefore, a subcontractor cannot be found to be in "apparent non-compliance" for not achieving the goals if they are using existing employees to perform their work on the Project. Our Monthly Workforce reports have indicated two items of note: (a) the date each individual subcontractor started their portion of the work on the Project, and (b) the number of employees hired specifically for this Project. This data is intended to assist the County Contract Compliance Office in reviewing each subcontractor's particular situation. We have approached our AA/EEO efforts on this project by monitoring the overall participation levels (including CGCC employees) and the participation of each subcontractor. Most subcontractors have been successful or made good efforts to achieve the goals among their individual workforces even though they have no contractual obligation to do so per Section 11. Para. A.1. We will not pursue a subcontractor for non-compliance if they have a small crew comprised of existing employees. Continued findings of"apparent non-compliance" aimed at these subcontractors will do nothing but solicit a very negative response as the subcontractors quote this section of Division "E" thus jeopardizing our successes achieved so far. In this particular example, Alcal has in fact worked with us.to provide 31.18% minority and 16.18% female participation through July, 1996. However, they are under no contractual obligation to do so. We have and will continue to work with the subcontractors with larger crew sizes to achieve our employment goals. For example, F. Meiswinkel Inc. is performing the fireproofing, framing, drywall, plaster and EIFS.work. Through July, 1996, their workforce participation levels were 28.10% minority and 2.37% female. SPQJ1asxushe to find FMI in "apparent non-compliance" for female participation. Howeve , you filter out FMI's existing employees and analyze their performance against the quantity of A ne_�ires, FMI is exceeding the female goals. I have attached employment data ,,, tiplied by FMI on 9/11/96 for your review. As this data demonstrates, FMI has had, at one time or another, 94 individuals working on this project. Of that amount, FMI has hired 15 individuals or"new hires" for this project. Of the 15 "new hires" for this project, females totaled 3 (or 20.00%). Can the County hold Centex Golden or F. Meiswinkel Inc. in non-compliance for female participation in accordance with Division "E", Section 11? The answer is clearly no when all of Section 11 is considered. My point being made, the following is our response to the County's "apparent non-compliance" for individual subcontractors: Minority participation: Alamillo Steel (19%) -Our records indicate 27.15% minority participation in excess of the specified goal of 25.7%. Not in "apparent non-compliance_" Please have the County check their figures. • Allied Heating (6%) - Crew size of 2-3 persons with existing employees_ Not in "apparent non-compliance." Architectural Glass (0%)= Crew size of 6-8 persons. We are in the process of checking new hire status, but believe mostare existing employees. May not be in "apparent non-compliance." Contra Costa Electric (22.2%) - This sub has consistently achieved the coals. Through July, 1996 they are under the goals by 3.5%. Their crew size has recently increased to respond to change order and schedule requirements. They are currently working to recover the goal. However, be advised that as of 1/26/96, CCE had zero new-hires. We are in the process of confirming their new-hires through July, 1996. Therefore, the County should exercise-caution in finding CCE in "apparent non-compliance." Not in "apparent non-compliance." • Petersoli Mechanical (10.7%) -We are-in process of checking their new-hire status. May not be in "apparent non-compliance." • Grinnell 0% - Had only 3 person crew for 2 weeks worth of work. "Apparent noncompliance" noted. Fern ale participation: Allied Fire Protection (0%.) - Crew size 3-persons, achieving a maximum of 5 persons. "Apparent noncompliance" noted. Allied Heating (2.4%) =Crew size of 2-3 persons with existing employees. Not in "apparent non-compliance." • Architectural Glass (0%) - Crew size of 6-8 persons. We are in the process*of checking new hire status, but believe most are existing employees. May not be in "apparent non-compliance." • Joe Carone (1.5%) - Crew size of 4-6 persons. All existing employees. I must remind the County that during the bulk of their work, Carone's trucking supplier utilized 4-5 female drivers whose inclusion into the data was not allowed by the County. • Ellis Roofing (0°/a) - Crew size of 2-3 persons. All existing employees. • Herrick 5.6% - "Apparent non-compliance" noted. Herrick did achieve excellent levels considering the available resources. • Meiswinkle (2.4%) - Not in "apparent non-compliance" per discussion outlined above. "Enforce the receipt of weekly certified payroll reports in a timely fashion...:: Certified payroll reports are submitted to our jobsite office by all subcontractors on a weekly basis. However, these reports are always 2-3 weeks behind the payroll period being reported on. For example, the certified payroll reports for the Week ending 9/13/96 will be received by our jobsite office anywhere from 9/20/96 through 10/7/96 depending on the payroll cycle and bookkeeping practices of each of the approx. 60 subcontractors working on this project. We have explained to the County Contract Compliance Office on numerous occasions that it is impossible to submit certified payroll reports for all of our subcontractors within a week of the payroll period. Gerry MacClelland Page 5 September 11, 1996 We have discussed and agreed that it is reasonable and practical to have the Monthly Workforce reports available by apprc <imately the 15th of each month for the prior n onth's workforce hours. Nothing can and will be done improve on this.cycle. We are submitting certified payroll's to O'Brien-Kreitzberg on a monthly basis as required by Division "F" of the Specifications, although those reports are 2-3 weeks old. The working arrangement with the prior County AA/EEO consultants was that they would review these payroll reports in our jobsite office so as to avoid additional copying to the County Contract Compliance Office. If we are being held in non-compliance because we are not formally sending a copy to the County, please advise so we can commence to copy the County immediately. "Appoint a full time Affirmative Action/Equal Employment Opportunity Manager".- As anager".As you are well aware, our previous AA/EEO Manager was Jose' Garcia. Mr. Garcia chose to leave our employ as"of 7/1/96 to relocate back to Southern California for both personal and professional reasons. This, along with other personnel changes we have made at the.jobsite, will require that I assume the full-time responsibilities for AA/EEO previously held by Mr. Garcia. I will be responsible for Items (a) through (1) of Section 11(A)(5). Ms. Jennetta Ocean will maintain her responsibilities, under my supervision, for the reporting functions outlined in Items (a) and (a). She has successfully performed these functions under Mr. Garcia's supervision since February, 1996. I will take over the enforcement measures for subcontractor non-compliance (when it is found). This is a function that can only be effective at the Project Manager level or above. In addition, these are the only positions authorized in our company to negotiate subcontractor issues such as the approval or withholding of payments, contractual terms, non-compliance issues, etc. "Enforce the reporting requirements ... for instances of non-compliance by the subcontractors ...". As outlined above, we would challenge the County's determination of non-compliance. In the past, we have submitted documentation of good faith efforts when needed (i.e. R&R Maher and Herrick). We will continue to do so when required. We are not_in -- "non-compliance" with this issue. "Initiate and enforce sanctions for noncompliance by subcontractors": Again, we challenge the County's determination of non-compliance. If at this poir Centex Golden were to withhold an additional 10% of the subcontract amount from progress payments, we would put ourselves and the County at risk of legal action taken by the subcontractor's for a position that we do not feel is defendable. Centex Go5den will not expose themselves to these risks based on the County's letter dated 8/28196 because we believe the contract does not support these findings. Our subcontractors have been very -esponsive to working towards the County's goals by utilizing their existing workforce and their discretionary hiring opportunities to achieve the overall goals. We are committed to continue to work with all of the subcontractors, within the bounds of the contract, to maintain our success. 1 suggest that we convene a meeting with you and SBG as soon as possible discuss the contents of both letters.
