RECOnMENDATION
Authorize the Director of Human Resources to execute a renewal contract with Industrial Employers
and Distributors' Association (I.E.D.A.) during the period July 1, 1996 through June 30, 1998.
BACKGROUND
I.E.D.A. has represented the County in labor relations matters since 1973. By and large, labor peace
has been maintained and an overwhelming majority of employee organizations have come to trust and
respect the I.E.D.A. staff negotiators.
FISCAL IMPACT
There is an additional cost of 6.1 % associated with the renewal of this contract.

AMENDMENT #2 TO AGREEMENT
THAT CERTAIN AGREEMENT made and entered into the 16th day of September, 1986,
by and between the COUNTY OF CONTRA COSTA and INDUSTRIAL EMPLOYERS
AND DISTRIBUTORS ASSOCIATION (IEDA), is hereby amended only with respect to
Items 1 and 3 thereof, which is revised to read in full as follows:
"1. SERVICES TO BE PROVIDED BY ASSOCIATION
The Association shall assign qualified persons to provide the following services to the
County:
A. Advise and consult with the Board of Supervisors and the County
Administrator and/or his representatives at such times and places as may be
mutually agreed upon by the Association and the Board of Supervisors or the
County Administrator on all matters relating to employment conditions and
employer-employee relations.
B. For and on behalf of the County, or Districts governed by the Board of
Supervisors as the designated representative of the County Administrator, meet
and confer in good faith with formally recognized employee organizations at
such times and places as may be mutually agreed upon by the Association and
the County Administrator.
C. Report to the Board of Supervisors and the County Administrator on the
progress of meetings with each of the employee organizations.
D. Prepare written memoranda of understanding in a form and manner approved
by the County Administrator.
E. Contractor's services hereunder shall be provided respecting all special
districts governed by the Contra Costa County Board of Supervisors, but
excluding the Contra Costa County Housing Authority.
F. Contractor's services hereunder shall be provided without regard to the
number of employee organizations recognized to represent employees of the
County or of districts or entities governed by the Board of Supervisors.
G. Within the first year of the contract agreement, the County Administrator
and/or his representatives shall meet with representatives from IEDA to
discuss and modify the services and scope of work to be provided."
"3. PAYMENT
A. For the year July 1, 1996 through June 30, 1997, the County agrees to pay
IEDA and IEDA agrees to accept in full and complete payment for all services
rendered under this Agreement the sum of$115,232.40. For the year July 1,
1997 through June 30, 1998, the annual fee will be adjusted in accordance
with the Computation of Fees attached hereto and made a part hereof.
B. Payment of the annual fee for the period of July 1, 1996 through June 30, 1997
shall be made in two (2) equal installments of$57,616.20 each on January 1,
1997 and April 1, 1997. Payments for the period of July 1, 1997 through June
30, 1998 shall be made in four (4) equal installments of the respective annual
fee on July 1, October 1, January 1, and April 1 of the respective fiscal year."
This Amendment#2 is effective on July 1, 1996, and as of July 1, 1996, replaces the earlier
Amendment dated July 3, 1991.

COMPUTATION OF FEES
PUBLIC SECTOR
DEFINITIONS
Formula Employees: All employees of the agency who are represented by a union or employee
organization with which, on behalf of the agency, IEDA expects to negotiate and/or administer
memoranda of understanding--whether or not those employees are themselves members of the union
or employee organization.
Major Memorandum of Understanding: Any memorandum of understanding which covers 100 or
more employees.
COMPUTATION
For the year July 1. 1996 through June 30, 1997, an agency's monthly fee shall be determined by
multiplying the number of formula employees under a Major Memorandum of Understanding by
$7.95, and/or the number of employees not covered by a Major Memorandum of Understanding by
$10.25.
If the number of formula employees exceeds 450, the agency's monthly fee will not be calculated on
each separate union or employee organization but on the total number of represented employees. The
fee shall be $3,577.50 (450 x $7.95) plus $1.20 for each formula employee over 450.
Minimum monthly fee: $125.00 per union or employee organization
For the years July 1, 1997 through June 30, 1999, fees shall be based on revised employee counts
and the following rates:
