II. FINANCIAL IMPACT: Approval of this Agreement will result in $157,824 of funding from the University of California, for the period from February 1, 1995 through September 30, 1997 for this project. No County funds are required. III. REASONS FOR RECOMMENDATIONSIBACKGROUND: There is a need in the Bay Area for more trained injury control practitioners which requires an increase in curriculum, research, and fieldwork opportunities in traffic safety and injury prevention. This project will allow the Department's Prevention Program staff to participate in the development and implementation of injury prevention courses for students at U.C. Berkeley, School of Public Health. The Board Chair should sign three copies of the agreement. The agreement and two certified copies of this Board Order should be returned to the Contracts and Grants Unit. STATEMENT OF WORK CCC will provide services for course development and technical assistance in support of the project entitled "Train Health Professionals in Motor Vehicle Injury Prevention." Prevention Program staff will act as liaison with key technical assistance and resource organizations such as National Highway Traffic Safety Administration, State Health Department, the San Francisco and Southern California Injury Research and Prevention Centers, and the California Highway Patrol. Through these relationships, the Prevention Program will identify and arrange for guest lecturers, and assist in field placement sites and student research opportunities. The staff will also assist the School of Public Health with the determination and assembly of reading lists for the injury courses, and assist the Civil Engineering Department in development of curriculum complimentary to injury prevention for classroom instruction. Prevention Program staff will provide consultation to other universities in California to promote and replicate the proposed academic injury prevention training program model. Prevention Program will also assist in writing quarterly reports for California and OTS and will assist in additional resource development, as described in the attached project description, attached hereto and incorporated herein as Exhibit A. California's Project Director is Professor S. Leonard Syme, School of Public Health. He is not authorized to change any of the provisions of this Agreement. Such changes may only be accomplished by written amendment signed by authorized representatives of the parties. CCC's Project Director is Dr. Jack Champlin, Contra'County Prevention Program. Since Dr. Champlin is considered critical to the performance of this Agreement, no substitution may be made by CCC without the prior written concurrence of California. ARTICLE II. COSTS AND COSTS LIMITATION A. The estimated cost of this Agreement is $157,824 as set forth in the budget incorporated herein as Exhibit B. California agrees that CCC may effect line item shifts of up to ten percent (10%) of the total contract cost without formal amendment of this Agreement or approval of California. CCC agrees to use its best efforts to complete all work hereunder within the estimated cost of $157,824. B. CCC may bill California not more frequently than monthly for reimbursement of actual costs incurred in the performance of this Agreement. Invoices shall cite this Agreement number and show costs for billing period and cumulative to date by major categories and shall be mailed to: Anita Trent School of Public Health 140 Warren Hall University of California Berkeley, CA 94720-7360 C. California shall not be obligated to reimburse CCC for costs in excess of the estimated cost set forth in Paragraph A above unless and until this Agreement is amended to increase that amount. ARTICLE III. METHOD OF PAYMENT The Contractor will be reimbursed for costs incurred in the performance hereof as are allowable under the provisions of Office of Management and Budget Circular A- 87. ARTICLE IV. SUBCONTRACTING CCC shall perform the work contemplated with resources available within its own organization and no portion of the work pertinent to this Agreement shall be subcontracted without prior written authorization by California. 2 ARTICLE V. REPORTS CCC shall furnish interim reports quarterly to California. A final report in draft form shall be provided to California and OTS thirty (30) days prior to Agreement termination for review, recommendations and approval by both parties prior to CCC furnishing five (5) printed copies of the approved final report. The final report is due thirty (30) days after project completion. Costs incidental to the report's preparation or delivery that are incurred subsequent to the termination date of the project are not allowable. ARTICLE VI. COMPLETION DATE The performance period of this Agreement shall be from February 1, 1995 through September 30, 1997. ARTICLE VII. PUBLICATION A. CCC shall not be authorized to copyright the final report, any papers, interim reports, forms, or other material which is part of the work under the Agreement, without the written approval of California and OTS. B. Publication rights to any documents produced are to be reserved by California and OTS. C. All reports published by CCC shall contain the following disclaimer in a separate section preceeding the main body of the document: "The opinions, findings, and conclusions expressed in this publication are those of the authors and not necessarily those of OTS, the National Highway Traffic Safety Administration or the Federal Highway Administration." D. Both written and oral releases are considered to be within the context of publication. However, there is no intention to limit discussion of the study with small technical groups or lectures to employees or students. Lectures to other groups which describe the project but disclose neither data nor results are permissible without advance approval. E. All reports shall contain the following credit line: "In cooperation with the State of California, Business, Transportation and'Housing Agency, OTS, and the U.S. Department of Transportation, National Highway Traffic Safety Administration and Federal Highway Administration." ARTICLE VIII. PROJECT INSPECTION OTS, the National Highway Traffic Safety Administration, the Federal Highway Administration, and California may review and inspect CCC's activities during the progress of the program. 3 ARTICLE IY, ACCOUNTING RECORDS AND AUDITS CCC shall maintain time records and other books, documents and evidence necessary to support its claims for reimbursement under this Agreement. These records shall be subject to the examination and audit of California and the Auditor General of the State of California or any duly authorized representative of the National Highway Traffic Safety Administration and the Federal Highway Administration for a period ending three (3) years after final payment under this Agreement. CCC shall promptly refund any amount which is determined by such audit to have been improperly claimed. ARTICLE X. OWNERSHIP OF DATA CCC hereby grants to OTS, the National Highway Traffic Safety Administration, the Federal Highway Administration and California a royalty-free, non-exclusive, irrevocable license to reproduce, translate, publish, use and dispose of, and to authorize others to do so, all data collected. As used in this clause, data collected means the original records of scientific and technical data collected during the performance of the work by the Principal Investigator or the project personnel. Data collected includes, but is not limited to, notebooks, drawings, lists, specifications, and computations, in written, pictorial, graphic, or machine form. ARTICLE XI. CONTRACT TERMINATION A. Either party may terminate this Agreement upon thirty (30) days written notification to the other party. In the event of termination, CCC shall be entitled to reimbursement for all costs incurred to the date of termination and for all uncancellable obligations provided, however, that in no event shall the termination settlement cause the total amount paid to CCC to exceed the estimated cost set forth in Paragraph A of Article III above. B.. Within sixty (60) days after the effective date of termination, CCC shall submit to California a final report, a final financial report and a final invoice. ARTICLE XII. ASSIGNABILITY CCC shall not assign or transfer interest in this Agreement without the prior written consent of California and OTS. ARTICLE XIII. AMENDMENT It is mutually understood and agreed that no alteration or variation of the terms of 4 this Agreement, or any subcontract requiring the approval of California and/or OTS, shall be valid unless made in writing, signed by the parties hereto, and approved by all necessary parties. ARTICLE XIV. NON-SOLICITATION CCC warrants that it has not employed or retained any company or persons, other than a bona fide employee working solely for the consultant, or paid any fee, commission, percentage, brokerage fee, gifts, or any other consideration, contingent upon or resulting from the award making of this Agreement. For breach or violation of this warranty, the State shall have the right to annul this Agreement without liability, or, in its discretion to deduct from the Agreement price or consideration, or otherwise recover, the full amount of such fee, commission, percentage, brokerage fee, gift, or contingent fee. ARTICLE XV. EQUAL OPPORTUNITY ASSURANCE During the performance of this Agreement, CCC agrees as follows: A. CCC will not discriminate against any employee or applicant for employment because of race, sex, creed, color or national origin. CCC will take affirmative action to ensure that applicants are employed, and that employees are treated during employment, without regard to their race, sex, creed, color or national origin. Such action shall include, but not be limited to the following: employment, upgrading, demotion or transfer; recruitment or recruitment advertising; layoffs or termination; rates of pay or other forms of compensation; and selection for training, including apprenticeship. CCC agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause. B. CCC will, in all solicitations or advertisements for employees placed by or on behalf of CCC, state that all qualified applicants will receive consideration for employment without regard to race, sex, creed, color or national origin. C. CCC will send to each labor union or representative of workers with which it has a collective bargaining agreement or contract or understanding, a notice advising the labor union or worker's representative of CCC's commitments under this nondiscrimination clause and shall post copies of the notice in conspicuous places available to employees and applicants for employment. D. CCC will permit access to books, records and accounts by the applicant agency, the state, the Federal Highway Administration and/or the 5 National Highway Traffic Safety Administration for purposes of investigation to ascertain compliance with this nondiscrimination clause. E. In the event of CCC's noncompliance with the nondiscrimination clauses of this Agreement, this Agreement may be canceled, terminated or suspended in whole or in part." ARTICLE XVI. MINORITY, WOMEN AND DISABLED VETERANS BUSINESS ENTERPRISE PROGRAM (M/W/DVBE) During the performance of this Agreement, CCC agrees to insure that minority, disabled and women business enterprises as defined in 49 CFR, Part 23 and California Code of Regulations, Title 2 shall have the maximum opportunity to participate in its performance. CCC will take all necessary and reasonable steps in accordance with these regulations to insure that M/W/DVBE have the maximum opportunity to compete for and perform any subcontracts for materials, services or supplies procured under this Agreement. ARTICLE XVII. DRUG-FREE WORKPLACE CERTIFICATION During the performance of this Agreement, CCC agrees to provide a drug-free workplace as outlined in the Government Code Section 8355 by: A. Publishing a statement notifying employees that company policy prohibits the unlawful manufacture, distribution, dispensation, possession, or sue of a controlled substance, and defining actions to be taken for violating the policy. B. Establishing a drug-free awareness program to inform employees about the dangers of drug abuse in the workplace, the organization's policy of maintaining a drug-free workplace, any available counseling, rehabilitation and employee assistance programs and penalties that may be imposed upon employees for drug use violations. C. Providing that every employee who works on the proposed Agreement will receive a copy of the company's drug-free policy statement and requiring that these employees agree to abide by the terms of the company's statement as a condition of employment on the Agreement. ARTICLE XVIII. CLEAN AIR ACT During the performance of this Agreement, CCC agrees to comply with all applicable standards, orders, or regulations issued pursuant to the Clean Air Act of 1970 (42 U.S.C. 1857 et seq.) and the Federal Water Pollution Control Act (33 U.S.C. 1251 et seq.) as amended. 6 ARTICLE XIX. INTEGRATION This Agreement states the entire contract between the parties in respect to the subject matter of the Agreement and supersedes any previous written or oral representations, statements, negotiations, or agreements. This Agreement may be modified only by written agreement executed by both parties. Berkeley, School of Public Health to enter into a solesource contract with the Contra Costa County health Services Department Prevention Program to provide services for the OTS funded project, "Training Health Professionals in Motor Vehicle Injury Prevention. " The following reasons support this request: *Among agencies in Northern California which provide community based injury prevention activity, they have had the most successful track record of translating public health practice into models for training in a school of public health.. The violence prevention course which their staff initiated and continues to co-teach for the school has gained increasing popularity among students, both because of its relevancy and because of its clear demonstration of the relationship of public health theory and practice in this field. The analytic models for practice they have developed, such as the "Spectrum of Prevention" and the "8 Steps for Coalition Building" have shown they have significant expertise to bring to academia. *They have made significant strides in local research of the epidemiology of injury, with their publication of "The Status Report on Childhood Injury in Contra Costa County," their Bicycle Helmet Observation surveillance studies, and the soon to be published "Status of Firearm injury in contra Costa County". They bring this experience in providing the developmental direction of the classes to be offered. They currently have the only Bay Area contract to provide a pilot data integration project which will link law enforcement and hospital discharge data to improve programming capability. •They have a ten year history of providing field placements for students from the School of Public Health within their agency, providing what is considered some of the best training available in the field of injury and chronic disease prevention and control. They will continue to provide these opportunities for students. As they say, it is within their interest to ensure that students receive the best possible theoretical training before coming to field placement in order for students to have the most productive experience in the short time customary or such placements. •They have broad and significant connections with other agencies and leaders in the field of injury prevention and control locally, statewide and nationally. This networking has stimulated their cutting edge approach in the field of public health practice. This has also given them the capability of providing a long list of potential lecturers, outstanding academics and practitioners, whom they are able to call on to provide guest lectures. *The Contra Costa County Prevention Program has gained the reputation of being a national leader in the field of injury prevention, with major accomplishments in the field of traffic safety and injury prevention. They have provided traffic related specific injury prevention projects locally, regionally and statewide for the past seven years, an accomplishment unmatched by any other county level health department nationally. •Their staff includes a contractor with the National Highway Traffic Safety Administration. As the Traffic Injury Control and Prevention Program Manager, his job is specifically to make linkages of health departments, schools-of public health, and medical schools with traffic safety agencies in the promotion of traffic related injury prevention which brings specific expertise to this contracting relationship.
