Miner, Executive Director Private Industry Council = = COSta ����= DATE: September 26, 1995 's>; � r County SUBJECT: AUTHORIZE COUNTY COUNSEL/LEGAL ASSISTANCE TO CONTRA COSTA COUNTY PRIVATE INDUSTRY COUNCIL IN FILING FOR A NON PROFIT 11501 C" CORPORATION SPECIFIC REQUEST(S)OR RECOMMENDATION(S)&BACKGROUND AND JUSTIFICATION I. RECOMMENDED ACTION: Authorize County Counsel to provide legal services to the PIC Executive Director for the filing of a 501 c tax exempt corporation application with costs charged to the Job Training Partnership Act Program; authorize use of private legal resources if necessary, authorize payment of filing fees, limit total authorization to $7;500. II. FINANCIAL IWACT: 100% federal grant funds. III. REASONS FOR RECOMMENDATION/BACKGROUND: In researching alternate sources of supplemental revenue, the PIC has concluded that it needs a 501 c tax exempt corporation to meet donor requirements. The PIC has found its ability to raise funds is restricted because it does not have a 501 c status; although some donations have been received without a 501 c number, most agencies and businesses will not donate funds unless there is a Al c tax exempt number. Section 103 of the Job Training Partnership Act authorizes the Contra Costa County Private Industry Council to incorporate. Funds received by the 501 c would be administered the same way past donations have been administered, the funds would be deposited with the Auditor-Controller as restricted donations and subject to standard County fiscal management. This is consistent with the current Board PIC memorandum of agreement which makes the PIC the program entity and the Board of Supervisors the grant recipient and fiscal agent. The Board of Directors of the 501 c entity would be the Board of Supervisors appointed members of the Private Industry Council. After a discussion with Vic Westman, the Board Order has been redrafted to address his concerns. Technically, we are not asking the Board to approve the establishment of a 501c, the federal legislation authorizes such action. Donations to the 501c will be deposited in the County Treasury as restricted donations - the same procedure we have used for the last 12 years for donations from entities that did not require 501c status to donate. The 501c governing board will be the Board appointed PIC members. ACM:baj Attachment
