Project No.: 0662-4239-93 and 0662-6R4242-94 SPECIFIC REQUEST(S)OR RECOMMENDATION(S)&BACKGROUND AND JUSTIFICATION I. Recommended Action: APPROVE and AUTHORIZE the Chair of the Board of Supervisors to execute Cooperative Agreement No. 353147-D between the County and the California Department of Water Resources to provide for the engineering design, advertisement and award of the Byron Highway Bridge Rehabilitation and Retrofit Project in the Byron area. II. Financiallmnact: The estimated project cost is $1,186,000 funded by Highway Bridge Rehabilitation and Replacement (HBRR) (53%), California Department of Water Resources (40%) and Road Funds (7%). III. Reasons for Recommendations and Background: This project includes the rehabilitation of the Byron Highway Bridge across,the California Aqueduct including the repair of the bridge decking, replacement of bridge railings, approach guard railings, and seismic retrofit. It is needed to upgrade the bridge to extend the useful life of the existing structure and improve the performance of the structure in a seismic event. Reasons for Recommendations and Background: (Cont.) The Cooperative Agreement defines the terms and conditions under which the project is to be developed, designed and financed. Specifically, the agreement outlines the duties and obligations of the Department of Water Resources and County, including a scope of work and detailed activity list. IV. Consequences of Negative Action: Delay in approving the agreement will result in a delay of design and construction and may jeopardize funding. 8�99�7 COOPERATIVE AGREEMENT (353147-D) The State Department of Water Resources (STATE) 'and the County of Contra Costa (COUNTY) , which have previously entered into that certain agreement executed on September 7, 1965, and identified by DWR and County as Agreement Number 353147 (hereby incorporated by reference) , do hereby agree on the 15f day, of the month of oc,�O�" , 19�_ to the following conditions, responsibilities, and obligations in conjunction with COUNTY'S proposed Byron Road Bridge Rehabilitation (PROJECT) , said bridge being further identified as County Bridge No. 28C-121. This Cooperative Agreement shall be designated as Agreement No. 353147-D. COUNTY AGREES: 1. To provide all necessary preliminary engineering, design engineering, including plans and specifications, utility identification and location, environmental documentation, and all necessary construction engineering for PROJECT. 2 . To identify and locate all underground facilities within the PROJECT area, and to protect or otherwise provide for such facilities in accordance with the State Department of Transportation (CALTRANS) "Manual on High and Low Risk Underground Facilities Within Highway Rights of Way" . 3 . To apply for all necessary permits from DWR for work conducted within DWR's right-of-way and/or consent of common use area (Agreement 353147-B hereby incorporated by reference) . 4 . That approval for COUNTY and HBRR (Highway Bridge Replacement and Reconstruction Funds) PROJECT funding and compliance with all applicable laws shall be assured prior to award of any construction contracts. 5. To construct PROJECT in accordance with COUNTY and CALTRANS plans and specifications. COUNTY shall require its contractor to hold harmless, protect, and defend STATE, its officers, employees, agents, and representatives to the same extent that contractor provides such to COUNTY. COUNTY shall require its contractor to name STATE, its officers, employees, agents, and representatives, as additional insured on any' of contractor's liability insurance and builder's risk insurance for the duration of the PROJECT. Such insurance coverage shall be primary and STATE will not be responsible for premiums, assessments or other costs of insurance. 1 of 5 6. To pay an amount equal to 20% (remaining: 80% HBRR) , as shown on Exhibit A, attached hereto, and made part of this Agreement, for the total actual construction cost for non- structural rehabilitation of the bridge which includes new bridge rails if required, replacement of approach guard rails, and at COUNTY's discretion, the placement of additional concrete on the bridge deck for a wearing surface beyond what is required for the structural integrity of the bridge. In the event that there is no installation of a concrete wearing surface, COUNTY will pay $30,000 of the cost for the structural concrete bridge deck repair. 7. To pay an amount equal to 3% (remaining: 17% STATE, 80% HBRR) , as shown on Exhibit A, for contract items other than those items which concern the structural rehabilitation of the bridge. 8. To pay an amount equal to 15% (remaining: 85% STATE) , of PROJECT's actual non-participating costs and 3% (remaining: 17% STATE, 80% HBRR) , of the entire PROJECT's costs for preliminary and construction engineering. 9. To furnish STATE monthly, and upon completion of PROJECT, timely and detailed reports of all PROJECT expenditures, including all engineering and construction costs to be borne by STATE. COUNTY, upon completion of PROJECT, and after receipt of payment from STATE for STATE'S portion of costs as outlined in this agreement and in Exhibit A, shall promptly. refund to STATE after COUNTY's audit, any amount of STATE's deposit remaining after actual costs to be borne by STATE have been deducted. In the event STATE'S deposit is insufficient to cover STATE's required financial obligation pursuant to this Agreement, COUNTY will bill STATE for any additional amount required to fulfill STATE's financial obligation. Said STATE deposit is outlined below under "STATE AGREES", item 1 of this Agreement. 10. Upon completion of PROJECT, to furnish STATE a complete set of full-sized set of film positive as-built plans. 11. To retain or caused to be retained for audit by STATE or other government auditors for a period of 3 years from date of final payment, all records and accounts relating to construction of PROJECT. 12 . To retain the services of a consultant, who is agreed to by both STATE and COUNTY, for the purposes of performing a seismic analysis, and the development of a retrofit scheme as to bring the bridge to current seismic code. COUNTY shall require detailed invoicing from said consultant. 2 of 5 353/1'7 STATE AGREES: 1. To deposit with COUNTY, within 30 days of the execution of this Agreement, and upon receipt of a. proper billing from the COUNTY, the amount of $275,922 (includes cost of seismic analysis) , which figure represents STATE's total estimated share of the expense as shown in the attached Exhibit A. Deposit. does riot include the *cost of construction for the seismic retrofit. 2 . That STATE recognizes and agrees to all of STATE's financial obligations for all work associated with PROJECT, as outlined in this agreement and under "COST ALLOCATION/SOURCE OF FUNDS", at the bottom of Exhibit A. 3 . To pay COUNTY upon completion of all work and within 30 days of receipt of a detailed statement made upon final accounting -of costs thereof, any amount over the advanced deposit required to complete STATE's financial obligation pursuant to this Agreement. 4 . To issue, upon proper application by COUNTY and/or COUNTY's contractor, the necessary encroachment permits without charging any permit fees for required work within STATE's right-of-way. 5. To pay an amount equal to 100% of the costs of the seismic analysis, including the cost of hiring a consultant to perform the analysis, and the cost of administrating the consulting services agreement. Said amount is estimated to be $58, 000 and is included in the $275,922 figure in Item No. 1 above. 6. To pay an amount equal to 100% of the cost of the seismic retrofit approved by STATE. Once it is agreed upon to the method and the cost of the seismic retrofit, the . STATE shall deposit with the COUNTY within 30 days of receipt of billing the estimated cost for constructing the seismic retrofit. BOTH COUNTY AND STATE AGREE: 1. Those portions of this Agreement pertaining to the construction of PROJECT shall terminate upon completion and acceptance of PROJECT construction by COUNTY and STATE, or on December 31, 1996, whichever is earlier in time. Except as may be modified by this Agreement, Agreement 353147 and 353147-B shall remain in effect. 3 of 5 2. Nothing contained in this Agreement shall be used by either party for purposes of determining or establishing liability of either the STATE or COUNTY to each other or to third parties arising out of use or other events involving such bridge, including those uses and events that occurred prior to the date of execution of this Agreement, nor shall this Agreement be used by either party for purposes of determining or establishing responsibilities by either party for future maintenance or repairs to the bridge. Such liability and repair and maintenance responsibilities shall be determined and established as provided in Agreement 353147, and Agreement 353147-B. 3 . Neither STATE nor any officer or employee thereof shall be responsible for any damage or liability occurring by reason of anything done or omitted to be done by COUNTY under or in connection with any work, authority or jurisdiction delegated to COUNTY under this agreement for this PROJECT. It is also -understood and agreed that , pursuant to Government Code section 895.4, COUNTY shall fully defend, indemnify and save harmless STATE, all officers and employees from all claims, suits or actions of every name kind and description brought for or on account of injury (as defined by Government Code section 810.8) occurring by reason of anything done or omitted to be done by COUNTY under or in connection with any work, authority or jurisdiction delegated to COUNTY under this agreement for this PROJECT. 4 . Neither COUNTY, nor any officer or employee thereof, shall be responsible for any damage or liability occurring by reason of anything done or omitted to be done by STATE under or in connection with any work, authority or jurisdiction delegated to STATE under this agreement for this PROJECT. It is also understood and agreed that, pursuant to Government Code Section 895.4, STATE shall fully defend indemnify and save harmless COUNTY from all claims, suits or actions of every name, kind and description brought for or on account of injury from any liability imposed for injury (as defined by Government Code Section 810.8) occurring by reason of anything done or omitted to be done by STATE under or in connection with any work, authority or jurisdiction delegated to STATE under this Agreement for this PROJECT. 5. COUNTY shall keep STATE fully and timely informed of progress of all work for the PROJECT. STATE may, upon prior notice, inspect any portion of PROJECT work. STATE contact person for this agreement will be Craig Trombly. COUNTY contact person for this agreement will be Denis Regan. 4 of 5 6. This Agreement is subject to the approval of the Department of General Services of the State of California.
