SUBJECT: AUTHORIZATION TO EXECUTE A CONTRACT BETWEEN THE HOUSING AUTHORITY
OF THE COUNTY OF CONTRA COSTA AND BAYO VISTA CHILD AND FAMILY CENTER,
INC. FOR RENOVATION OF HEAD START FACILITY ON HOUSING AUTHORITY OWNED
PROPERTY IN RODEO
SPECIFIC REQUEST(S)OR RECOMMENDATION(S)&BACKGROUND AND JUSTIFICATION
1. RECOMMENDED ACTION:
AUTHORIZE the Executive Director of the Housing Authority of the County of Contra Costa to execute a
certain Contract between the Housing Authority of the County of Contra Costa(Housing Authority)and Bayo Vista
Child and Family Center, Inc. (BVCFC)for the Authority to remodel the bathrooms at the Head Start facility
located in the Administration Building of the Bayo Vista Public Housing Development in Rodeo, CA for a fee of
$38,500 to be provided by BVCFC.

III. REASONS FOR RECOMMENDATION/BACKGROUND
With the help of the Housing Authority, Bayo Vista Child and Family Center, Inc. (BVCFC)applied for a
Federal Department of Health and Human Services(HHS)Administration for Children and Families(ACF) 1995
Supplemental Grant Award of One Time Only Program Improvement Funds for the renovation of the Head Start
facility administered by BVCFC at the Authority's Administration Building. In November 1995, BVCFC was
awarded$38,500 to cover the cost to remodel only the bathroom area of their facility. The Authority has
incorporated this bathroom remodel work within the larger scope of work for the handicap alterations to be done at
the Administration Building in order to more efficiently complete all needed work. It was agreed that the Housing
Authority should enter into a contract(Exhibit A)with BVCFC for the portion of the work which is covered by
BVCFC's $38,500 AFC grant. The remainder of the handicap alterations work will be funded through the Housing
Authority's Comprehensive Grant Program.
According to HHS regulations,the ACF grant funds must be obligated by December 31, 1995 and expended
by March 31, 1996. It is anticipated that the bathroom remodel work will be completed within budget by the March
31, 1996 deadline.
IV. CONSEQUENCES OF NEGATIVE ACTION:
Should the Board of Commissioners elect to not to authorize the execution of the Contract, Bayo Vista
would lose this funding and the necessary bathroom remodel work for its Head Start facility at Bayo Vista and the
Housing Authority would not be able to complete all handicapped alterations requ-irre�d for
this facility.

CONTRACT BETWEEN
HOUSING AUTHORITY OF THE COUNTY OF CONTRA COSTA
AND BAYO VISTA CHILD AND FAMILY CENTER INC.
L Parties
This Contract is by and between the Housing Authority of the County of Contra Costa, a public body,
corporate and politic(CONTRACTOR)and the Bayo Vista Child and Family Center, Inc., a California
corporation (AGENCY), who mutually agree and promise as follows:
2. Term
The effective date of this Contract is and it terminates March 31, 1996, unless sooner
terminated as provided herein.
3. Termination
This contract may be terminated prior to the termination date stated in Section 2 above only by the mutual
written agreement of CONTRACTOR and AGENCY.
4. Agency Obligations
In consideration of CONTRACTOR's provision of services as described below, AGENCY shall pay
CONTRACTOR the sum of$38,500. At AGENCY's option, said sum shall be paid either: (a)no later than
30 days following the effective date of this Contract; or(b) in three equal installments,the first due on or
before February 15, 1996,the second due on or before March 15, 1996, and the final payment due on or before
April 15, 1996, covering all work completed by March 31, 1996. AGENCY shall notify CONTRACTOR of
the payment option selected on the effective date of this Contract. Under no circumstances shall the total
payment limit of$38,500 be exceeded.
AGENCY's payments to CONTRACTOR under this Contract shall be from the funds received by AGENCY
through the federal Department of Health and Human Services Administration for Children and Families
(ACF) 1995 Supplemental Grant Award of One Time Only Program Improvement Fund.
5. Contractor's Obligations
_ CONTRACTOR shall remodel the children's and adult bathrooms in the Head Start facilities as per H&Y
Architects' drawings, dated October 6, 1995, and specifications for the renovation. This work shall include the
janitorial closets and chemical cleaner storage cabinet in the bathroom area. Should CONTRACTOR fail to
substantially complete this work by March 31, 1996,there will be no further obligation to either party.
6. Indemnification
CONTRACTOR agrees to indemnify, defend, save, protect and hold harmless AGENCY from and against the
CONTRACTOR's share of any liability, cost or expenses caused by the direct, active negligence of the
CONTRACTOR or its employees.
7. Notices
All notices provided for by this Contract shall be in writing and may be delivered by deposit in the United
States mail, postage prepaid. Notices to the CONTRACTOR shall be addressed to:

8. Independent Contractors
This Contract is by and between two independent contractors and is not intended to and shall not be construed
to create the relationship between the parties or any other person of agent, servant, employee, partnership,joint
venture or association.
9. Entire Agreement
This Contract contains the entire agreement between the parties hereto and all prior understandings or
agreements, oral or written, of whatsoever nature regarding this matter are superseded by this Contract and are
hereby abrogated and nullified. This Contract may be modified or amended only by a written document
executed by the Executive Director of the Housing Authority of the County of Contra Costa, or his designee,
on behalf of the CONTRACTOR and by the AGENCY
10. Signatures.
AGENCY warrants that it is a corporation duly organized and existing under the laws of the State of
California,that it is authorized to enter into this Contract and that the person signing this Contract on behalf
of the Agency are officers of the AGENCY authorized to do so. The signatures below attest the parties'
agreement hereto.
