Recommended Action: APPROVE and AUTHORIZE the Chief Engineer to execute the Consulting Services Agreement with CHZM Hill Inc., to perform services mandated by the Joint Municipal NPDES Permit issued by the San Francisco Bay and Central Valley Regional Water Quality Control Boards for Contra Costa County, its incorporated cities and the Contra Costa County Flood Control and Water Conservation District. II. Financiallmpact: The contract amount is $237,590.00. The cost shall be funded by the cities and county proportioned to their respective populations. Contra Costa County shall be responsible for approximately $42,766.00 (18%) funded by stormwater utility assessment fees. III. Reasons for Recommendations and Background: The United States Environmental Protection Agency issued the National Pollution Discharge Elimination System (NPDES) regulations for stormwater discharges on November 16, 1990. These regulations require Contra Costa County, its incorporated cities and the Contra Costa County Flood Control and Water Conservation District to apply and obtain a Joint Municipal NPDES permit for their stormwater discharges. The permit seeks to significantly reduce or eliminate all pollutants from entering the waters of the San Francisco Bay/Delta Region. Reasons for Recommendations and Background: (cont) Francisco Bay Regional Water Quality Control Board on September 15, 1993 issued their Joint Municipal NPDES Permit for most municipalities within Contra Costa County. The Central Valley Regional Water Quality Control Board on January 28, 1994 will issue their Joint Municipal NPDES for the City of Antioch and Contra Costa County. One requirement of the Joint Municipal NPDES permits is to develop and implement an effective Public Education and Industrial Outreach Program. The Contra Costa Cities County ♦ District Stormwater Pollution Control Program went through an extensive selection process culminating in'the unanimous recommendation that CH2M Hill and its sub-consultants be retained for the 1993-94 fiscal year to provide such services. CH2M Hill will be the prime consultant responsible for approximately 50% of the contract amount; Merritt-Smith Consulting, a woman business enterprise will be responsible for approximately 11%of the contract amount; Edwards& McCaslin, woman business enterprise will be responsible for approximately 23% of the contract amount; and, IMTECH, a minority/woman business enterprise will be responsible for approximately 8% of the contract amount. A public opinion survey firm has been contacted that is a woman business enterprise company and once negotiations have been concluded it has been anticipated that they will be responsible for 8% of the contract amount. These percentages meet or exceed Contra Costa County's guidelines for Minority/Woman Business Enterprise objectives. IV. Consequences of Negative Action: If the consulting services agreement with CH2M Hill, Inc., is not approved then all municipalities will be in non-compliance with the Joint Municipal NPDES permits issued by the San Francisco Bay and Central Valley Regional Water Quality Control Boards. Public Agency hereby employs Consultant, and Consultant accepts such employment, to perform the professional services described herein, upon the terms and in consideration of the payments stated herein. 5. Scope of Service. Scope of service shall be as described in Appendix A, attached hereto and made a part hereof by this reference. 6. ReportDisclosure Section. Any document or written report prepared hereunder by Consultant, or a subcontractor, for Public Agency shall contain, in a separate section, the numbers and dollar amounts of this contract and all subcontracts relating to the preparation of such document or written report, provided that the payment limit specified in Sec. 1(e) exceeds $5,000. When multiple documents or written reports are the subject or products of this agreement, the disclosure section may also contain a statement indicating that the total contract amount represents compensation for multiple documents or written reports. 7. Insurance. Consultant shall, at no cost to Public Agency, obtain and maintain during the term hereof: (a) Workers' Compensation Insurance pursuant to state law; (b) Professional Liability Insurance with minimum coverage of $1,000,000.00 and a maximum deductible of $250,000.00; and (c) Comprehensive General Liability Insurance, including blanket contractual (or contractual liabi(ity) coverage, broad form property damage coverage, and coverage for owned and non-owned vehicles, with a minimum combined single limit coverage of $1,000,000.00 for all damages due to bodily injury, sickness or disease, or death to any person, and damage to property, including the loss of use thereof, arising out of each accident or occurrence, and naming Public Agency, Contra Costa County, City of Antioch, City of Clayton, City of Concord, Town of Danville, City of El Cerrito, City of Hercules, City of Lafayette, City of Martinez, Town of Moraga, City of Orinda, City of Pinole, City of Pleasant Hill, City of Richmond, City of San Pablo, City of San Ramon, City of Walnut Creek, its/their governing bodies, officers and employees as additional insureds. Consultant shall promptly furnish to Public Agency certificates of insurance evidencing such coverage and requiring 30 days' written notice to Public Agency of policy lapse, cancellation or material change in coverage. 8. Payment. Public Agency shall pay Consultant for professional services performed at the rates shown in Appendix B attached hereto, which include all overhead and incidental expenses, for which no additional compensation shall be allowed. Notwithstanding the foregoing, those incidental expenses specifically itemized in Appendix B shall be reimbursable by Public Agency to Consultant, provided that Consultant submits copies of receipts and, if applicable, a detailed mileage log to Public Agency. In no event shall the total amount paid to Consultant exceed the payment limits) specified in Sec. 1(e) without prior written approval of the Public Agency. Consultant's billing statements shall be submitted at convenient intervals approved by Public Agency and shall list, for each item of services, the employee categories, hours and rates. Payment will be made within thirty (30) days after receipt of each statement. 9. Status. The Consultant is an independent contractor, and shall not be considered.an employee of Public Agency. 10. Time for Completion. Unless the time is extended in writing by Public Agency, Consultant shall complete all services covered by this Agreement no later than the Completion Date(s) listed above. 11. Record Retention and Auditing. Except for materials and records delivered to Public Agency, Consultant shall retain all materials and records prepared or obtained in the performance of this Agreement, including financial records, for a period of at least five years after Consultant's receipt of the final payment under this Agreement. Upon request by Public Agency, at no additional charge, Consultant shall promptly make such records available to Public Agency, or to authorized representatives of the state and federal governments, at a convenient location within Contra Costa County designated by Public Agency, and without restriction or limitation on their use. 12. Documentation. Consultant shall prepare and deliver to Public Agency at no additional charge, the items described in Appendix A to document the performance of this Agreement and shall furnish to Public Agency such information as is necessary to enable Public Agency to monitor the performance of.this Agreement. 13. Ownership of Documents. All materials and records of a finished nature, such as final plans, specifications, reports, and maps, prepared or obtained in the performance of this Agreement, shall be delivered to and become the property of Public Agency. All materials of a preliminary nature, such as survey notes, sketches, preliminary plans, computations and other data, prepared or obtained in the performance of this Agreement, shall be made available, upon request, to Public Agency at no additional charge and without restriction or limitation on their use. 14. Extra Work. Any work or services in addition to the work or services described in Appendix A shall be performed by Consultant according to the rates or charges listed in Appendix B. In the event that no rate or charge is listed for a particular type of extra work, Consultant shall be paid for the extra work at a rate to be mutually agreed on prior to commencement of the extra work. In no event shall Consultant be entitled to compensation for extra work unless'a written authorization or change order describing the work and payment terms has been executed by Public Agency prior to the commencement of the work. 15. Payment Retention. Public Agency shall retain ten percent (10X) of the monies due the'Consultant as security for the fulfillment of this Agreement. After the Consultant has completed each task as identified in Appendix "A" under this Agreement, submitted final billing, and the Public Agency has found the work to be accurate, the Public Agency will pay all withheld funds. Payment of withheld funds will be made within thirty (30) days of completing this work and submittal of a final billing. A retention will not be withheld for any "on-call" work. 16. Termination by Public Agency. At its option, Public Agency shalt have the right to terminate this Agreement at any time by written notice to Consultant, whether or not Consultant is then in default. Upon such termination, Consultant shall, without delay, deliver to Public Agency all materials and records prepared or obtained in the performance of this Agreement, and shall be paid, without duplication, all amounts due for the services rendered up to the date of termination. 17. Abandonment by Consu tent. In the event the Consultant ceases performing services under this Agreement or otherwise abandons the project prior to completing all of the services described in this Agreement, Consultant shall, without delay, deliver to Public Agency all materials and records prepared or obtained in the performance of this Agreement, and shall be paid for the reasonable value of the services performed up to the time of cessation or abandonment, less a.deduction for any damages or additional expenses which Public Agency incurs as a result of such cessation or abandonment. 18. Breach, in the event that Consultant fails to perform any of the services described in this Agreement or otherwise breaches this Agreement, Public Agency shall have the right to pursue all remedies provided by law or equity. Any disputes relating to the performance of this Agreement shall not be subject to non-judicial arbitration. Any litigation involving this Agreement or relating to the work shall be brought in Contra Costa County, and Consultant hereby waives the removal provisions of Code of Civil Procedure.Section 394. 19. Compliance with Laws. In performing this Agreement,-Consultant shall comply with all applicable laws, statutes, ordinances, rules and regulations, whether federal, state or local in origin. 20. Assignment. This Agreement shall not,be assignable or transferable in whole or in part by Consultant, whether voluntarily, by operation of law or otherwise; provided, however, that Consultant shall have the right to sub-contract that portion of the services for which Consultant does not have the facilities to perform so long as Consultant notifies Public Agency of such subcontracting prior to execution of this Agreement. Any other purported assignment, transfer or sub-contracting shall be void. 21. Endorsement on Plans.- Consultant shall endorse all plans, specifications, estimates, reports and other items described in Appendix A prior to delivering them to Public Agency. 22. Patents and Copyrights. The issuance of a patent or copyright to Consultant or any other person shall not affect Public Agency's rights to the materials and records prepared or obtained in the performance of this Agreement. Public Agency reserves a license to use such materials and records without restriction or limitation, and Public Agency shall not be required to pay any additional fee or royalty for such materials or records. The license reserved by Public Agency shall continue for a period of fifty years from the date of execution of this Agreement, unless extended by operation of law or otherwise. 23. Indemnification. Consultant shall `defend, indemnify, save and hold harmless Public Agency, Contra Costa County, City of Antioch, City of Clayton, City of Concord, Town of Danville, City of El Cerrito, City of Hercules, City of Lafayette, City of Martinez, Town of Moraga, City of Orinda, City of Pinole, City of Pleasant Hill, City of Richmond, City of San Pablo, City of San Ramon, City of Walnut Creek, .its/their governing bodies, officers and employees from any and all claims, costs and liability for any damages, injury or death arising directly or indirectly from, or connected with, the services provided hereunder and due to, or claimed or alleged to be due to, negligence or willful misconduct of Consultant, its officers, employees, agents, sub-consultants, or any person under its direction or control, save and except claims or litigation arising through the sole negligence or sole willful misconduct of Public Agency, and will make good to and reimburse the indemnitees for any expenditures, including reasonable attorney's fees, the indemnitees may make by reason of such matters and, if requested by any of the indemnitees, will defend any such suits at the sole cost and expense of Consultant. 24. Heirs. Successors and Assigns. Except as provided otherwise in Section 20 above, this Agreement shall inure to the benefit of and bind the heirs, successors, executors, personal representatives and assigns of the parties. 25. Public Endorsements: Contractor shall not in its capacity as a contractor with. Public Agency publicly endorse or oppose the use of any particular brand name-or commercial product without the prior approval of the Public Agency's governing board. In its Public Agency Contractor capacity, Contractor shall not publicly attribute qualities or lack of qualities to a particular brand name or commercial product in the absence of a well-established and widely-accepted scientific basis for such claims or without the prior approval of the Public Agency's governing board. In its Public Agency contractor capacity, Contractor shall not participate or appear in any commercially-produced advertisements designed to promote a particular brand name or commercial product, even if Contractor is not publicly endorsing a product, as long as the Contractor's presence in the advertisement can reasonably be interpreted as an endorsement of the product by or on behalf of Public Agency. Notwithstanding the foregoing, Contractor may express its views on products to other contractors, the Public Agency's governing board, its officers, or others who may be authorized by the Public Agency's governing board or by law to receive such views. 26. Project Personnel. in performing the services under this Agreement, Consultant shall use the personnel listed in Appendix C, attached hereto and made a part hereof by this reference. Changes in project personnel may only be made with Public Agency's written consent, and Consultant shall notify Public Agency in writing at least thirty (30) days in advance of any proposed change. Any person proposed as a replacement shall possess training, experience and credentials comparable to those of the person being replaced. Attachments: Appendix A, Appendix B, Appendix C Form approved by County Counsel (8/93) h:\NPDES\CSA1.gen i. 1.1,3 Appendix A Scope of Work CH2M HILL will provide support services to the Contra Costa Cities•County•District Stormwater Program to develop a Public Education and Industrial Outreach. Program Implementation Plan and begin implementing educational activities. CH2M HILL will provide the services described in this scope of work through the end of Fiscal Year 1994. Task 1--Program Identity (PEI0-2) CH2M HILL will develop a program identity for the Stormwater Public Education and Industrial Outreach (PEIO) Program. The program identity will include a logo., tagline, theme and message for the overall program. Concepts will be developed with the PEIO Committee at Meeting #2, based on the results of the focus groups and public opinion survey. Final program.identity concepts will be presented and discussed at Meeting #3. Camera ready logo, tagline, theme and message will be provided to the PEIO Committee in both black and white and in color. Task 2--Focus Groups (PEI0-3) C112M HILL will conduct five focus groups. One focus group will be conducted in each of the four sections of Contra Costa County, west, east, central, and south. One focus group will include Contra Costa County elected officials. Participation in the focus groups will be solicited through three newspaper advertisements. Additional participants will be identified from interest groups to ensure full representation of the County. The questions and format of the focus groups will be reviewed with the PEIO Committee at Meeting #1. Each focus group will be conducted at a focus group facility, facilitated, and videotaped. The results of the focus groups will be summarized in a report to the PEIO Committee. Task 3--Coordination with Pollution Prevention Programs (PEI0-6) CH2M HILL will contact pollution prevention programs in Contra Costa County. Contacts will identify existing and planned information programs, current messages and themes, distribution methods, and opportunities for coordinated educational efforts. A summary memorandum will be prepared for the PEIO Committee. PEIO education materials developed as part of other tasks will be circulated to public education staff of other pollution prevention programs for review and comment. Page A-1 Task 4—Implementation Plan (PEI0-8) CH2M HILL will prepare a draft and final Stormwater. Public Education Implementation Plan. Preparation of the Implementation Plan will include 6 monthly meetings with the PEIO Committee, development of an activity options list, preparing the draft plan, preparing the final plan, and presentations to agencies and elected officials. Monthly Meetings. Six monthly meetings will be conducted with the PEIO Committee. CH2M HILL will provide materials for review in advance of the meetings, facilitate discussion of Implementation Plan activities, and prepare summaries of each meeting. Activity Options List. Based on the results of the research activities, CH2M HILL will prepare a list of PEIO activity options for implementation with estimated costs, advantages and disadvantages. This fist will be reviewed and expanded at Meeting #3. Draft Plan. Based on.,the direction and activity selection by the PEIO Committee at Meeting #4, CH2M HILL will prepare a draft Implementation Plan for review and discussion by the PEIO Committee at Meeting #5. Five copies of the preliminary draft -will be submitted to the PEIO Committee. Thirty copies of the draft'Implementation Plan will be prepared for circulation to agencies and elected officials. Agency and Elected Official Coordination. The draft Implementation Plan will be presented to the Management Committee and up to 10 agencies, councils, and boards. CH2M HILL will prepare talking points, 10 slides or overheads.for the meetings. One . staffperson will attend each presentation. Final Implementation Plan. Based on comments from the PEIO Committee, the Management Committee and other reviewers, CH2M HILL will prepare the final Implementation Plan. Thirty copies will be submitted to the PEIO Committee. Task 5—Kick-off Event (PEI0-9) CH2M HILL will plan and coordinate a kick-off event for the PEIO Program. With approval of the PEIO Committee at Meeting #3, CH2M HILL will schedule the location, identify potential participants, prepare an invitation to participants, coordinate logistics, and contact the media prior to the event. Talking points will be prepared for event participants and media follow-up calls will be conducted. Media materials for the event will be prepared under Task 8. Task 6—Videotape and PSA (PEI0-10) CH2M HILL will prepare an 8 to 10-minute educational videotape and a 30-second Public Service Announcement (PSA) about stormwater pollution in, Contra Costa Page A-2 County. A draft scripts and storyboards will be prepared for review by the POO Committee at Meeting. #3. Following approval of the script and storyboard, CH2M HILL will film scenes and prepare a rough cut videotape and PSA for review by the POO Committee. The final videotape and PSA will be produced and five copies submitted to the PEIO Committee. Task 7—Advertising Campaign (PEI0-12) CH2M HILL will assess the need for and plan a multimedia.advertising campaign in Contra Costa County. Based on the research, focus group, and public opinion survey results, the reach and effectiveness of each possible advertising vehicle (public service announcements, billboards, magazine/newspaper advertising, radio/television advertising, and direct mail) will be assessed. The summary memorandum will be provided to the POO Committee. The results of the assessment will be incorporated into the draft implementation plan. Task 8—Media Materials (PEI0-13) CH2M HILL will prepare a media packet for use at the Kick-off event and other future media events. The media packet will include a folder, two,background information sheets about the program, up to three photographs, a map of Contra Costa County, and the program logo and tagline. Concepts for the media packet will be presented at Meeting #3 and final materials will be prepared before the Kick-off event. Task 9—Point of Purchase Campaign (PEI0-14) C112M HILL will prepare and implement a'pilot point of purchase information campaign at selected retail outlets. Contact will be made with retail outlets and business organizations, such as automobile parts stores, nurseries, and chambers of commerce, to identify appropriate target businesses. Up to 20 retail outlets will be targeted based on the results of the contacts and research activities. An information flyer and a countertop distribution mechanism will be prepared and placed at participating businesses. Task 10—Industrial Workshops (PEI0-28) CH2M HILL will prepare and conduct four workshops with industrial and commercial businesses in Contra Costa County. To accomplish this task, C112M HILL will identify the training format; identify target industries; prepare workshop materials; and conduct the workshops. Identify Training ,Format. CH2M HILL will contact 15 businesses or business organizations to determine the level of interest in workshops, notebook materials, .support services, site inspections, or a hotline. A summary memorandum will be Page A-3 t' prepared for review by the PEIO Committee. Based on this information, the PEIO Committee will identify the preferred outreach approach for local industries. Identify Target Industries. C112M HILL will develop an industrial database using city and county listings (business licenses, pretreatment records, etc.) supplemented with a mailing house database. Businesses will be grouped by SIC code and business activity to determine their need to'comply. Using the State Water Resources Control Board (SWRCB) Bulletin Board System (BBS) database, a database of baseline compliance will be prepared. A summary memorandum of both databases will .be prepared for submittal to the PEIO Committee. Develop Workshop Materials. The Richmond Industrial Compliance Guideline Notebook will be updated to include the most current information on compliance requirements and sample SWPP Plans. The revised information materials will be submitted to the PEIO Committee for review. Two hundred copies of the final information materials will be produced. Conduct Workshops. Four industrial workshops will be conducted in four locations in Contra Costa County. The workshops will focus on preparing an SWPPP and implementing cost-effective BMPs. Participation and sponsorship by local businesses and business organizations will be sought. The meeting room and audio-visual equipment will be provided by the host city. Task 11—Public Opinion Survey CH2M HILL will prepare and conduct a 15-minute telephone survey of 600 Contra Costa residents. The survey will assess public opinion and awareness of water quality and stormwater issues to determine a baseline level of awareness prior to beginning PEIO activities. CH2M HILL will design the survey instrument, select a random sample of respondents, perform a pretest of the survey, interview 600 respondents by telephone, provide translation and interviewing in two additional languages (Spanish and Mandarin Chinese) of up to-120 respondents, and prepare a summary report with data analysis .and interpretation. Thirty copies of the report will be submitted to the PEIO Committee. Task 12—Additional Services CH2M HILL will be available as needed to provide.up to $15,000 of additional public education strategy, tactical, and implementation assistance'for the PEIO Program. Task 13—Program Management CH2M HILL will prepare monthly progress reports and invoices for submittal to the , Stormwater Program Manager. Subcontracts will.- be established with each team participant.
