Spooner, Contracts Administrator Costa DATE: Jarniary 10, 1994 County SUBJECT: Approval of Contract Amendment Agreement #22-379-2 with Community Alert Network SPECIFIC REQUEST(S) OR RECOMMENDATION(S) & BACKGROUND AND JUSTIFICATION I. RECOMMENDED ACTION: Approve and authorize the Chair, Board of Supervisors, to execute on behalf of the County, Contract Amendment Agreement #22-379-2 to amend Standard Contract #22-379 (as amended by Contract Amendment Agreement #22-379-1) with Community Alert Network, an operating division of Automated Communications, Incorporated, effective January 1, 1994, to extend the term of the Contract to December 31, 1996 and to modify the Contract Payment Provisions, with no change in the payment limit of the Contract. II. FINANCIAL IMPACT: This Amendment extends the term of the Contract and modifies the annual payment schedule only; there is no change in the Contract Payment Limit of $321,779 for the term of the Contract. In consideration for the County's willingness to modify the payment schedule for Fiscal Year 1993-94 , the Contractor has offered to provide services for six more months at no additional cost to the County. III. REASONS FOR RECOMMENDATIONS/BACKGROUND: On May 7, 1991, the Board of Supervisors approved Standard Contract #22- 379 with Community Alert Network, an operating division of Automated Communications, Incorporated, for the period from July 1, 1991 through June 30, 1996 (and subsequently approved Contract Amendment Agreement #22-379-1) for provision of emergency community notification services. The purpose of Contract Amendment Agreement #22-379-2 is to change the annual payment schedule and to extend the term of the Contract. In consideration for the County's making its June 1994 payment in January 1994, Community Alert Network will extend its services from June 30, 1996 through December 31, 1996 at no additional cost to the County. The County's next annual payment to Community Alert Network will be due June 1, 1995. County and Contractor agree, therefore, to amend the Contract as specified below, while all other parts of the Contract remain unchanged and in full force and effect. 1. Extension of Term. The term of the Contract specified in Contract Paragraph 4. (Term) is hereby extended from June 30, 1996 through December 31, 1996. 2. Payment Provisions. Payment Provisions Paragraph 1. (Payment Amounts) subparagraph d. , is hereby modified to read as follows: " [X] d. (1) $ 75.483 upon execution of this Contract; and (2) An amount not to exceed $236,296, payable as follows: (a) For Fiscal Year 1991-92, $ 59,074 payable to Contractor thirty days prior to the anniversary date of this Contract; and (b) For Fiscal Year 1992-93, $ 59.074 payable to Contractor thirty days prior to the anniversary date of this Contract; and (c) For Fiscal Year 1993-94, $ 59,074 payable to Contractor on or after January 1, 1994; and (d) For Fiscal Year 1994-95, $ 59.074 payable to Contractor thirty days prior to the anniversary date of this Contract; and (e) For Fiscal Year 1995-96, $ 59,074 payable to Contractor thirty days prior to the anniversary date of this Contract.
