Spooner, Contracts Administrat Costa DATE: December 15, 1993 County SUBJECT: Approve Contract Amendment Agreement #23-055-11 with San Ramon Valley Fire Protection District SPECIFIC REQUEST(S) OR RECOMMENDATION(S) & BACKGROUND AND JUSTIFICATION I. RECOMMENDED ACTION: Approve and authorize the Chair, Board of Supervisors, to execute on behalf of the County, Contract Amendment Agreement #23-055-11, to amend Ambulance Service (Novation) Agreement #23-055-9 (as amended by Contract Amendment Agreement #23-055-10) , with the San Ramon Fire Protection District, effective January 2, 1994, to extend the term of the Agreement for one year. II. FINANCIAL IMPACT: This is a non-financial agreement; there is no County General Fund impact. III. REASONS FOR RECOMMENDATIONS/BACKGROUND: on February 2, 1993 , the Board of Supervisors approved Ambulance Service (Novation) Agreement #23-055-9 with San Ramon Valley Fire Protection District to provide emergency ambulance services in County Emergency Response Area 4 for the period from January 3 , 1993 through January 2 , 1994, with a four-month automatic extension through May 2, 1994. On May 11, 1993 , the Board approved Contract Amendment Agreement #24-055-10 to increase the rates which the Fire District may charge to patients and to expand the schedule of fees for patients who use their services. The Agreement contains Special Conditions which include renewal provisions which allow for a maximum of two periods of one year each, provided that the Contractor has satisfactorily performed the services set forth in the Agreement. In addition, the , Agreement includes provision for an automatic four-month contract extension. Approval of this Contract Amendment Agreement #23-055-11 will extend the Contract for one year and will amend the automatic extension clause to provide an automatic four-month extension following the end of the contract term to assure continuation of services to patients and time for the County to complete its Competitive Request for Proposal process and finalize its negotiations as the result of the competitive bidding process for the next contact period. Contractor's willingness to continue providing services under the Agreement identified herein, County agrees to extend the term of the Agreement. Paragraph 3 . (Term) of the Agreement is hereby extended from January 2, 1994 to January 2 , 1995. 2 . Modification of Automatic Contract Extension. Special Conditions Paragraph 2 . (Automatic Contract Extension) is hereby modified to read as follows: 112 . Automatic Contract Extension. Notwithstanding Paragraph 3 . (Term) of this Contract, z unless this Contract is terminated by either party pursuant to Paragraph 5. (Termination) of the General Conditions prior to January 2 , 1995, the term of this Contract shall be automatically extended from January 2, 1995 through May 2 , 1995. During its extended term, this Contract is nevertheless subject to all the terms and conditions applicable during its initial term, including but not limited to General Conditions Paragraph 5. The purpose of this automatic contract extension is to allow for continuation of services to patients during which time County may complete its Competitive Request for Proposal process and finalize its negotiations as the result of the competitive bidding process for the next contract period.
