SUBJECT: AMENDMENT TO BX-LAWS OF THE HAZARDOUS MATERIALS COMMISSION
SPECIFIC REQUEST(S)OR RECOMMENDATION(S)&BACKGROUND AND JUSTIFICATION
RECOMMENDATION:
Adopt the attached Amendment # 1 to the By-laws of the Hazardous
Materials Commission, excluding vacant seats when determining a
quorum for the conduct of the business of the Commission.
BACKGROUND:
The Hazardous Materials Commission has been concerned about the
Commission' s ability to obtain a quorum and thereby conduct
business during periods of time when seats on the Hazardous
Materials Commission are vacant. The purpose of this amendment
is to change the method of determining a quorum during times when
one or more seats are vacant. The amendment allows the
Commission to exclude vacant seats in determining the number of
commissioners who need to be present in order to determine a
quorum. For instance, on a fifteen member Commission, a quorum
consists of eight commissioners. If, however, there are two
seats vacant, the total number is reduced from fifteen to
thirteen. Thus a quorum is seven, rather than eight.
A vacant seat is defined as the lack of an appointment both to
the commissioner' s seat and to that of his or her alternate.

AMENDMENT NO. 1 TO BYLAWS OF THE CONTRA COSTA COUNTY
HAZARDOUS MATERIALS COMMISSION
Subdivision C, Quorum, of Section IV, Conduct Of Business,
of the Bylaws of the Contra Costa County Hazardous Materials
Commission, approved by the Board of Supervisors on October 31,
1989, is amended to read as follows:
C. Ouorum. Business shall be conducted by the Commission
only when a quorum is present. A majority shall constitute a
quorum. During periods when one or more seats on the Hazardous
Materials Commission is vacant, the vacant positions shall not be
considered for determining whether a quorum is present. A seat
is vacant when there is no commissioner or alternate appointed to
serve in that capacity.
