RESOLUTION OF THE CONTRA COSTA COUNTY REDEVELOPMENT AGENCY
AUTHORIZING ISSUANCE AND SALE OF PLEASANT HILL BART STATION AREA
REDEVELOPMENT PROJECT 1987 TAX ALLOCATION NOTES AND APPROVING
AN INDENTURE OF TRUST, A REIMBURSEMENT AGREEMENT, AN OFFICIAL
STATEMENT AND RELATED DOCUMENTS AND ACTIONS
WHEREAS, the Contra Costa County Redevelopment Agency is a redevelopment
agency and a public body, corporate and politic, duly created, established and authorized
to transact business and exercise powers under and pursuant to the provisions of the
Community Redevelopment Law of the State of California (the "Law"); and
WHEREAS, a redevelopment plan for the Pleasant Hill BART Station Area
Redevelopment Project (the "Project"), in the County of Contra Costa, has been adopted
in compliance with all requirements of the Law; and
WHEREAS, the Agency is authorized pursuant to the Law to issue its tax allocation
notes to aid in the financing, and in the implementation, of the Project and for the purpose
of refunding outstanding obligations of the Agency; and
WHEREAS, on December 27, 1984, the Agency issued its $4,000,000 note to
Southern Pacific Transportation Company (the "SP Note") the proceeds of which were
used in connection with the financing of the Project; and
WHEREAS, the Agency intends to finance the acquisition and construction of certain
other public improvements of benefit to the Project; and
WHEREAS, after due investigation and deliberation, the Agency has determined that
it is in the interests of the Agency at this time to provide for the issuance of its Pleasant
Hill BART Station Area Redevelopment Project 1987 Tax Allocation Notes (the "Notes")
for the purpose of refunding the SP Note and financing the costs of the other
improvements of benefit to the Project as provided in the documents referred to below;
and
WHEREAS, in order to assure that the interest on the Notes be excluded from gross
income of the recipients thereof it is necessary for the Agency to terminate the existing
lease of the Agency with Park & Rail and enter into a management agreement with Park &
Rail (the "Management Agreement') with respect to certain parking facilities adjacent to
the Pleasant Hill BART Station; and
WHEREAS, in order to assure that payments on the existing Agency notes to Park &
Rail are subordinate to payments on the Notes, it is necessary that the Agency enter into a
subordination agreement with Park & Rail ("Subordination Agreement'); and

WHEREAS, the Notes are proposed to be issued pursuant to an Indenture of Trust
dated as of December 1, 1987 (the "Indenture"), by and between the Agency and Seattle-
First National Bank, as trustee; and
WHEREAS, the Notes are proposed to be secured by a letter of credit to be issued
by Barclays Bank PLC (the "Bank") pursuant to a Reimbursement Agreement (the
"Reimbursement Agreement") between the Bank and the Agency; and
WHEREAS, the Financial Advisor to the Agency, Dean Witter Reynolds Inc., has
caused to be prepared an Official Statement describing the Notes, the preliminary form of
which is on file with the Secretary of the Agency; and
WHEREAS, Dean Witter Reynolds Inc. has requested that it be permitted to submit
a bid for the Notes; and
WHEREAS, pursuant to Resolution No. RA 87-23 adopted by the Agency on
November 10, 1987 calling for bids on the Notes and approving an Official Notice of Sale
therefore (the "Resolution Catling for Bids"), .the Executive Director or his designee is
authorized to award the Notes to the bidder who submits the best proposal for the
purchase of the Notes and it is desirable that the documents referred to herein be
approved by the Agency so that the Notes may be delivered promptly after the award
thereof by the Executive Director or his designee to the best bidder therefor; and
WHEREAS, the Agency with the aid of its staff, has reviewed the herein-described
Official Statement, Reimbursement Agreement, Management Agreement and Indenture
and the Agency wishes at thig time to approve said documents as in the public interests of
the Agency.
NOW, THEREFORE, BE IT RESOLVED by the Contra Costa Redevelopment Agency
as follows:
Section 1. Recitals Correct. The Agency finds and determines that the foregoing
recitals are true and correct.
Section 2. Issuance of Notes. The Agency hereby authorizes the issuance of the
Notes under and pursuant to the Law and the Indenture in the principal amount of not to
exceed $7,500,000. The Agency hereby approves the Indenture in substantially the form
on file with the Secretary together with any additions thereto or changes therein deemed
necessary or advisable by the Executive Director, whose execution thereof shall be
conclusive evidence of the approval of such changes by the Executive Director. The
Executive Director and Secretary of the Agency are hereby authorized and directed to
execute, attest and affix the seal of the Agency to the Indenture for and in the name and on
behalf of the Agency. The principal amount, date, maturity dates, interest rates, interest
payment dates, denominations, form, registration privileges, manner of execution, place of
payment, terms of redemption and other terms of the Notes shall be as provided in the
Indenture as finally executed. The Agency hereby authorizes the delivery and
performance of the Indenture.
Section 3. Sale of Notes. The Notes are to be awarded by the Executive Director
or his designee to the best bidder therefor as determined pursuant to the Official Notice of

Sale for the Notes (the "Purchaser"). The Notes shall be delivered to the Purchaser
upon compliance with the terms and conditions set forth in the Resolution Calling For Bids,
including the Official Notice of Sale of the Notes and the accepted proposal of the
Purchaser. The Executive Director of the Agency, the Secretary of the Agency, the
Agency Counsel and other proper officers of the Agency are hereby authorized and
directed to deliver any and all documents and instruments, to authorize the payment of
Costs of Issuance (as defined and provided in the Indenture) and to do and cause to be
done any and all acts and things necessary or convenient for delivery of the Notes to the
Purchaser.
Section 4. Official Statement. The Agency hereby approves the Official Statement
describing the Notes, in substantially the form of the preliminary official statement on file
with the Secretary, together with any changes therein or additions thereto deemed
necessary or advisable by the Executive Director, whose execution thereof shall be
conclusive evidence of the approval of such changes by the Executive Director.
Distribution of the preliminary Official Statement to prospective purchasers of the Notes is
hereby ratified and approved. The Agency hereby authorizes the distribution by the
Purchaser of the final Official Statement. The Executive Director is hereby authorized and
directed to approve any changes in or additions to a final form of said Official Statement
deemed advisable by the Executive Director, and to execute said final Official Statement
for and in the name and on behalf of the Agency.
Section 5. Reimbursement Agreement. The Agency hereby approves the
Reimbursement Agreement in substantially the form on file with the Secretary together with
any additions thereto or changes therein deemed necessary or advisable by the Executive
Director whose execution thereof shall be conclusive evidence of the approval of such
changes by the Executive Director. The Executive Director is hereby authorized and
directed to execute and deliver the Reimbursement Agreement for and in the name and on
behalf of the Agency.
Section 6. Management Agreement and Subordination Agreement. The Agency
hereby approves the Management Agreement and Subordination Agreement in
substantially the form on file with the Secretary together with any additions thereto or
changes therein deemed necessary or advisable by the Executive Director whose
execution thereof shall be conclusive evidence of the approval of such changes by the
Executive Director. The Executive Director is hereby authorized and directed to execute
and deliver the Management Agreement and the Subordination Agreement for and in the
name and on behalf of the Agency and to execute any documents necessary to terminate
the existing lease, with Park & Rail. The Agency hereby authorizes appropriation and
payment of the sum of $7,000 to Park & Rail in consideration for Park & Rail entering into
the Subordination Agreement.
Section 7. Approval of Bidder. Dean Witter Reynolds Inc. is hereby authorized to
bid on the Notes, said bid to be in accordance with the Official Notice of Sale for the
Notes.
Section 8. Delegation of Authority. Any act to be performed by the Executive
Director of the Agency pursuant to this Resolution may be performed by the Executive
Director, Assistant Executive Director, Deputy Executive Director or the Redevelopment

Project Manager, or any other officer of the Agency designated by the Executive Director
in writing with reference to the act to be performed.
Section 9. Official Action. All actions heretofore taken by the officers and agents of
the Agency with respect to the issuance and sale of the Notes are hereby approved,
confirmed and ratified. The Executive Director, the Assistant Executive Director, the
Deputy Executive Director, the Redevelopment Project Manager, the Treasurer, the
Secretary and any and all other officers of the Agency are hereby authorized and directed,
for and in the name and on behalf of the Agency, to do any and all things and take any
and all actions, including execution and delivery of any and all assignments, certificates,
requisitions, agreements (including but not limited to an agreement with the Contra Costa
County Flood Control District relative to a loan by the Agency to the District of a portion of
the proceeds of the Notes such that a portion of the SP Note in the amount of the loan will
be forgiven and cancelled), notices, consents, instruments of conveyance, warrants and
other documents, which they, or any of them, may deem necessary or advisable in order
to consummate the sale and issuance of the Notes and the refunding of the SP Note
pursuant to the documents described herein.
Section 10. Effective Date. This Resolution shall be effective upon the date of its
passage and adoption.
