Approve and authorize the Health Services Director, or his designee, to execute, on behalf of the County,
Amendment Agreement #23-074-36 with Foley & Lardner, LLP, a Limited Liability Partnership, effective November
1, 2014, to amend Contract #23-074-35, to increase the payment limit by $325,000 from $650,000 to a new total
payment limit of $975,000, with no change in the original term of July 1, 2014 through June 30, 2015.
FISCAL IMPACT:
This amendment is funded 100% by Enterprise I funds included in the Health Services Department's budget. There are
no increases in the hourly rate of this Contract.
BACKGROUND:
Since 1985, this Contractor, which specializes in health care law, has been providing temporary legal services in the
form of consultation, research, opinion, advice and representation for the Health Services Director with regard to
Medi-Cal audit appeals and other Departmental Health Plan appeals, report issues, and authorized litigation issues.
On July 29, 2014, the Board of Supervisors approved Contract

BACKGROUND: (CONT'D)
#23-074-35 with Foley & Lardner, LLP, for the period from July 1, 2014 through June 30, 2015 for the provision of
specialized legal services with regard to Medi-Cal audit appeals and other authorized litigation issues.
At the time of negotiations, the payment limit was based on target levels of utilization. However, the utilization
during the term of the agreement was higher than originally anticipated.
Approval of Amendment Agreement #23-074-36 will allow the Contractor to provide additional specialized legal
consulting services to the Health Services Director, through June 30, 2015.
CONSEQUENCE OF NEGATIVE ACTION:
If this amendment is not approved, the County will not be able to provide additional specialized legal services.
