ADOPT the recommendation of the Public Works Director to consent to the substitution of PAC Integrations, Inc., for
Video Image Security, the digital video surveillance system installation subcontractor listed in the bid proposal by the
prime contractor, Vila Construction Co., for the Improvements to Tamalpais Unit at Old Juvenile Hall, 202 Glacier
Drive, Martinez, for the Probation Department, as requested by the prime contractor, and in accordance with Public
Contract Code Sections 4107 and 4114.
FISCAL IMPACT:
No fiscal impact.
BACKGROUND:
On May 13, 2014, the Board awarded a construction contract for the subject project to the prime contractor, Vila
Construction Co., Richmond.
In a letter dated August 20, 2014, the prime contractor requested approval to substitute PAC Integrations, Inc., for
Video Image Security. The reason for the requested substitution was Video Image Security's failure to perform.
Video Image Security protested the substitution and a hearing was held on September 11, 2014. It was determined at
the hearing that Video Image Security has: a) failed to communicate with Vila Construction Co.; b) failed to provide
equipment, labor, materials, and

BACKGROUND: (CONT'D)
services required to install the complete digital video surveillance system; and, c) failed to perform work and adhere
to the schedule. County staff has determined that the prime contractor's substitution request is reasonable and merits
approval.
CONSEQUENCE OF NEGATIVE ACTION:
If consent is not granted for the substitution, the County may face delays for the completion of work and the digital
video surveillance system may not be certified or covered under warranty.
