Approve and authorize the Health Services Director, or his designee, to execute, on behalf of the County,
Amendment Agreement #26-563-7 with Total Renal Care, Inc., a corporation, effective May 1, 2014, to amend
Agreement #26-563-5 (as amended by Amendment #26-563-6), to increase the Payment Limit by $51,292 from
$418,708 to a new total payment limit of $470,000, and to extend the term from June 30, 2014 to June 30, 2017.
FISCAL IMPACT:
This amendment is funded 100% by the Health Services Department Enterprise Fund I. (No rate increase)
BACKGROUND:
On August 2, 2011, the Board of Supervisors approved Contract #26-563-5 (as amended Amendment Agreement
#26-573-6) with Total Renal Care, Inc., to provide blood services including, but not limited to, dialysis, renal
replacement and apheresis therapies for inmates at the Martinez Detention Facility for the period from July 1, 2011
through June 30, 2014, including County agreeing to defend, indemnify and hold harmless the Contractor and its
shareholders, affiliates, officers, directors, employees, and agents for, from and against any claim, loss, liability, cost
and

BACKGROUND: (CONT'D)
expense (including, without limitation, cost of investigation and reasonable attorney’s fees) directly or indirectly
relating to, resulting from or arising out of any action or failure to act by County and its staff.
Due to lengthy negotiations, the parties were not able to renew the Agreement in a timely manner. Therefore the
parties are requesting that the County extend the contract for an additional three years to allow the detention facilities
to continue providing services to inmates through June 30, 2017.
Approval of Amendment Agreement #26-563-7, will allow Contractor to provide additional services, through June
30, 2017.
CONSEQUENCE OF NEGATIVE ACTION:
If this amendment is not approved, County inmates will not receive blood treatment services provided at the Martinez
Detention Facility by this Contractor.
