Approve and authorize the Health Services Director, or his designee, to execute, on behalf of the County, Contract
Amendment Agreement #23-478-6 with Santa Rosa Consulting, Inc., a corporation, effective July 1, 2014, to amend
Contract #23-478-3 (as amended by Amendment/Extension agreements #23-478-4 and #23-478-5), to increase the
payment limit by $200,000, from $3,300,000 to a new payment limit of $3,500,000 with no change in the original
term of September 1, 2012 through August 31, 2014.
FISCAL IMPACT:
This amendment is funded 100% by Enterprise Fund I. (No rate increase)
BACKGROUND:
On October 23, 2012, the Board of Supervisors approved Contract #23-478-3, (as amended by
Amendment/Extension Agreements #23-478-4 and #23-478-5) with Santa Rosa Consulting, Inc., for the period from
September 1, 2012 through August 31, 2014, for the provision of professional consulting, technical support, training
and project management to the Department’s Information Systems unit with regard to County’s computer systems. At
the time the Contract was negotiated,

BACKGROUND: (CONT'D)
the payment limit was based on target levels of utilization. However, the Division did not include enough funds to
allow the Contractor to provide the services and travel needed through the term of this Contract. Approval of Contract
Amendment Agreement #23-478-6 will allow the Contractor to provide additional services through August 31, 2014.
CONSEQUENCE OF NEGATIVE ACTION:
If this amendment is not approved, Contractor will not be paid for services provided in good faith above the current
payment limit.
