APPROVE and AUTHORIZE the Fire Chief, or designee, to execute a contract amendment with Freschi Air
Systems, Inc. increasing the payment limit by $50,000 for a new payment limit of $332,000 for a Guaranteed
Maintenance Service Agreement for Heating, Ventilation, and Air Conditioning (HVAC) services for an additional
one-year period from March 1, 2014 to February 28, 2015.
FISCAL IMPACT:
The cost to the District for guaranteed maintenance is $50,000 for a one-year period extending the original four-year
agreement. This cost adjustment represents an increase to the original Agreement pursuant to the Consumer Price
Index adjustment in the terms of the Invoicing and Payment Provisions.
BACKGROUND:
The District has thirty-six facilities with approximately 140 pieces of HVAC equipment. Over the past twelve years
of guaranteed maintenance agreements, the District has found that it is both economically and operationally efficient
to have these agreements for District HVAC equipment. This agreement ensures that District equipment is
maintained to its highest operating level and that in the event of a mechanical problem, a qualified, competent, and
obligated service provider will respond to affect repairs in a timely manner.

CONSEQUENCE OF NEGATIVE ACTION:
Without an HVAC guaranteed maintenance agreement, District equipment would not operate in an energy efficient
manner, the equipment would be subject to lengthy repair delays in the event of mechanical failures, and the health
and welfare of District personnel could be adversely impacted during the 24/7 nature of our operations.
