HomeMy WebLinkAboutMINUTES - 08132013 - C.68RECOMMENDATION(S): APPROVE and AUTHORIZE the Health Services Director, or designee, to execute, on behalf of the County, Contract Amendment Agreement #23-074-33 with Foley & Lardner LLP, a limited liability partnership, effective August 13, 2013, to amend Contract #23-074-32, with no change in the payment limit of $400,000, and no change in the original term of the Contract from July 1, 2013 through June 30, 2014. APPROVE and AUTHORIZE the County Counsel or designee to execute on behalf of the County a conflict waiver letter acknowledging a potential conflict of interest and consenting to Foley & Lardner LLP representing Contra Costa County in connection with negotiations regarding a potential affiliation with the University of California, San Francisco Medical Center while representing the University of California, San Francisco in unrelated matters. FISCAL IMPACT: This amendment is funded 100% by Enterprise I funds included the Health Services Department's budget. There are no increases in the hourly rate of this Contract. ATTESTED: August 13, 2013 David Twa, County Administrator and Clerk of the Board of Supervisors By: Chris Heck, Deputy cc: J Pigg, D Gary, E Gelston C. 68 To:Board of Supervisors From:William Walker, M.D. Date:August 13, 2013 Contra Costa County Subject:Amendment #23-074-33 with Foley & Lardner, LLP BACKGROUND: Since 1985, this Contractor, which specializes in health care law, has been providing temporary legal services in the form of consultation, research, opinion, advice and representation for the Health Services Department with regard to Medi-Cal audit appeals and other Departmental Health Plan appeals, report issues, and authorized litigation issues. On July 9, 2013, the Board of Supervisors approved Contract #23-074-32 with Foley & Lardner, LLP, for the period from July 1, 2013 through June 30, 2014 for the provision of temporary legal services with regard to Medi-Cal audit appeals; Doctors Medical Center of San Pablo related matters, and other authorized litigation issues. Approval of Contract Amendment Agreement #23-074-33 will allow the Contractor to provide additional specialized legal consulting services to the Health Services Department, relating to a potential affiliation of the County’s health care facility with the University of California, San Francisco’s Medical Center (the “Potential Affiliation”). Attached is a letter from Foley & Lardner LLP that requests that the County acknowledge and waive potential conflicts that exist based on Foley & Lardner LLP’s representation of the Regents of the University of California and its hospitals, including the University of California, San Francisco (“UCSF”) in matters unrelated to the Potential Affiliation. The letter sets forth the fact that Foley & Lardner LLP will not represent UCSF in any matters related to the Potential Affiliation since it is representing the County with respect to the Proposed Affiliation, but may represent UCSF in matters unrelated to the Potential Affiliation. Health Services Department staff has advised that they do not object to the potential conflict and recommend its waiver. CONSEQUENCE OF NEGATIVE ACTION: If this amendment is not approved, the County will not be able to receive the additional specialized services with regard to a potential affiliation from this Contractor.
