Approve and authorize the Health Services Director, or his designee, to execute, on behalf of the County, Contract
Amendment Agreement #23-533-3 with Vonlay, LLC, a limited liability companty, effective May 1, 2013, to amend
Contract #23-533 (as amended by Amendment Agreement #23-533-1 and Administrative Amendment Agreement
#23-533-2), to increase the payment limit by $400,000, from $500,000 to a new payment limit of $900,000, with no
change in the original term of October 1, 2012 through September 30, 2013.
FISCAL IMPACT:
This amendment is funded 100% by Medicare and Medicaid Electronic Health Records Incentive Pool of the
American Recovery and Reinvestment Act and the Delivery System Reform and Incentive Pool funding. (No rate
increase)
BACKGROUND:
In October 2012, the County Administrator approved and the Purchasing Services Manager executed Contract
#23-533 (as amended by #23-533-1 and #23-533-2) with Vonlay, LLC for the period from October 1, 2012 through
September 30, 2013, for the provision of consultation and technical assistance with regard to the Department’s
information systems.

BACKGROUND: (CONT'D)
Approval of Contract Amendment Agreement #23-533-3 will allow the Contractor to provide additional hours of
services and receive reimbursement for additional expenses incurred during the provision of services, through
September 30, 2013.
CONSEQUENCE OF NEGATIVE ACTION:
If this amendment is not approved, County will not receive additional consultation and technical assistance to the
Department with regard to its information systems, from this Contractor.
