Approve and authorize the Health Services Director, or his designee, to execute, on behalf of the County, Contract
Amendment Agreement #74-107-14 with STAND! Against Domestic Violence, a non-profit corporation, effective
June 30, 2011, to amend Novation Contract #74-107-12 (as amended by Administrative Amendment #74-107-13), to
increase the automatic extension payment limit by $62,162, from $385,546 to a new payment limit of $447,708, with
no change in the original term of July 1, 2010 through June 30, 2011, and no change in the term of the automatic
extension, through December 31, 2011.
FISCAL IMPACT:
This amendment is funded 50% Federal Financial Participation Medi-Cal and 50% State Early and Periodic
Screening Diagnosis and Treatment. (No rate increase)
BACKGROUND:
This Contract meets the social needs of County’s population by providing respite and mentoring services to families
of children with serious emotional and behavioral disturbances to reduce family stress, support family stability,
prevent neglect and abuse, and minimize

the need for out-of-home placements.
On August 10, 2010, the Board of Supervisors approved Novation Contract #74-107-12 (as amended by
Administrative Amendment #74-107-13) with STAND! Against Domestic Violence for the period from July 1, 2010
through June 30, 2011, which included a six-month automatic extension through December 31, 2011, for the
provision of respite and mentoring (R&M) services.
In October 2011, negotiations began between STAND! and the County to renew the above contracts for fiscal year
2011-2012. The contractor was operating in their six-month extension while negotiations were taking place that
would result in changes to the fiscal and structural terms of their contracts. The County agreed to: 1) combine the two
STAND! contracts into one contract; 2) to change the Respite & Mentoring (R&M), payment provisions from cost to
fee-for-service; and 3) to move funding from the Therapeutic Behavioral Services, (TBS) program into the R&M
program.
At the time of the negotiations, Contractor operated under the assumption that the contract would novate to July 1,
2011, as it had in the past, providing sufficient funding for R&M services rendered. However, due to the
renegotiation of the terms of the contracts described above, it was determined that the proper administration of a
single, new, contract would be the appropriate course of business and that the new contract would commence January
1, 2012. Without the input of the anticipated new funding, Contractor was not able to be reimbursed for service
provided during the six-month period from July 1, 2011 through December 31, 2011.
Approval of Contract Amendment Agreement #74-107-14 will allow Contractor to be paid for services, provided in
good faith, those are currently non-reimbursable due to administrative miscommunication, through December 31,
2011.
CONSEQUENCE OF NEGATIVE ACTION:
If this amendment is not approved, Contractor will not be paid the $62,162 for providing R&M services provided to
eligible clients who are part of the certified class mandated to receive them.
