Approve and authorize the Health Services Director, or his designee, to execute, on behalf of the County as follows:
1. Cancellation Agreement #23-326-10 with Aspira Technologies, Inc., a corporation, effective on the close of
business on November 30, 2012; and
2. Contract #23-326-11 with Aspira Technologies, Inc., a corporation, in an amount not to exceed $700,000, to
provide consultation and technical assistance to the Department’s Information Systems Unit for the period from
December 1, 2012 through November 30, 2013.
FISCAL IMPACT:
This Contract is funded by Enterprise I Budget. (Rate increase)
BACKGROUND:
On April 5, 2011, the Board of Supervisors approved Contract #23–326–9 with Aspira Technologies, Inc., for the
period from April 1, 2011 through March 31, 2013, for temporary programmers and analysts to assist

BACKGROUND: (CONT'D)
the Department with regard to designing, developing, maintaining, and enhancing custom software applications.
In consideration of Contractor’s agreement to provide an additional level of services, both parties have agreed to
renegotiate payment terms. Therefore, in accordance with General Conditions, Paragraph 5. (Termination and
Cancellation) of the Contract, the Department and Contractor have agreed to a mutual cancellation of Contract
#23-326-9. Approval of Cancellation Agreement #23-326-10 will accomplish this termination.
Under Contract #23-326-11, Contractor will provide consultation and technical assistance to the Department’s
Information Systems Unit, through November 30, 2013.
CONSEQUENCE OF NEGATIVE ACTION:
If this Contract is not approved, the Contractor would not be able to provide an additional level of services including
designing and developing complex clinic software applications and interfaces for the Health Services Department’s
Information Systems Unit.
