HomeMy WebLinkAboutMINUTES - 11132012 - HA D.1Resolution No.    HA-12803   D. 1 Housing Authority Meeting Date:11/13/2012   Official Body: Contra Costa County Housing Authority Board of Commissioners Information Recommendations CONSIDER adopting Resolution No. 5160 approving and adopting bylaws of the Housing Authority of the County of Contra Costa Board of Commissioners.  Background On March 15, 2011 the Board of Supervisors adopted Ordinance No. 2011-01, which dissolved the Advisory Housing Commission for the Housing Authority of the County of Contra Costa (HACCC).  With the dissolution of the Advisory Housing Commission, state law requires that the Board of Commissioners include two tenants. On November 6, 2012, the Board of Supervisors adopted Resolution No. 2012/477, which increased the size of the Board of Commissioners from six to seven members.  Five of the members are the members of the Board of Supervisors, and two members are tenants of the Housing Authority.   HACCC's bylaws must be updated to indicate the new composition of the Board of Commissioners. The attached bylaws provide that two Commissioners are tenants of the Housing Authority. The attached bylaws provide that at least one Tenant Commissioner must be over 62 years of age, and that at least one Tenant Commissioner must be directly assisted under the Authority’s public housing or Housing Choice Voucher programs. With the increased size of the Board of Commissioners, the attached bylaws provide that four Commissioners constitutes a meeting quorum of the Authority. The attached bylaws have also been updated to include procedures for appointing and removing tenant commissioners, provide for an annual meeting where the Chair and the Vice-Chair of the Board of Commissioners will be elected and provide that all members of the Board of Commissioners may receive compensation of $50 per meeting for meeting attendance, and may opt out of receiving any compensation. Fiscal Impact None. Consequence of Negative Action The Bylaws will not be updated to reflect the current composition of the Board of Commissioners. Attachments-Y BOC Bylaws By-Law Res. 5160 1 BYLAWS OF THE HOUSING AUTHORITY OF THE COUNTY OF CONTRA COSTA BOARD OF COMMISSIONERS ARTICLE I - THE AUTHORITY Section 1. Name of Authority: The name of the Authority is the “Housing Authority of the County of Contra Costa.” Section 2. Seal of Authority: The seal of the Authority is in the form of a circle that bears the name of the Authority, and the year of its organization. Section 3. Office of Authority: The principal administrative office of the Authority is located in the County of Contra Costa, at a location designated by the Authority. The current address of the principal administrative office of the Authority is 3133 Estudillo Street in the City of Martinez, California. ARTICLE II - COMMISSIONERS Section 1. Number of Commissioners: The Authority is governed by a Board of Commissioners consisting of seven members. Section 2. Board of Supervisors Serve as Commissioners: Five Commissioners are the five members of the Board of Supervisors (see Contra Costa County Board of Supervisors Resolution No. 81/1321, adopted on November 17, 1981). Section 3. Tenant Commissioners: Two Commissioners are tenants of the Authority (“Tenant Commissioners”). At least one Tenant Commissioner must be over 62 years of age . A Tenant is a person lawfully residing in rental housing provided by or through the Authority, including persons residing in leased housing. At least one of the Tenant Commissioners must be directly assisted under the Authority’s public housing or Housing Choice Voucher programs. Section 4. Terms: The term of each Commissioner who is a member of the Board of Supervisors coincides with his or her term as a County Supervisor. The term of each Tenant Commissioner is two years. Tenant Commissioners hold office until their successors are appointed, except as otherwise provided in Section 8 of this article. Section 5. Appointments: The Tenant Commissioners are appointed by the Board of Supervisors. 2 Section 6. Resignation: A Tenant Commissioner may resign at any time by giving written notice to the Chair of the Board of Commissioners. A resignation takes effect at the time specified in the resignation, or, if the time is not specified, upon receipt by the Chair. Section 7. Absences: Commissioners are expected to attend scheduled meetings. If a Commissioner fails to attend two consecutive meetings without approval from the Chair, the Chair of the Board of Commissioners may request that the Board of Supervisors remove that Commissioner. Section 8. Removal: (a) The Board of Supervisors may remove a Tenant Commissioner during the Commissioner’s term of office, but must state in writing the reasons for removal and allow the Commissioner an opportunity for a public hearing, pursuant to Health and Safety Code section 34282. (b) A Tenant Commissioner who ceases to be a tenant of the Authority or who ceases to be directly assisted under the Authority’s public housing or Housing Choice Voucher programs is automatically disqualified from serving as a Commissioner and another tenant shall be appointed to fill the remainder of the unexpired term. Section 9. Vacancies: An appointment made to fill a vacancy is for the term remaining for the vacated seat. ARTICLE III - OFFICERS Section 1. Officers: The officers of the Board of Commissioners are the Chair and the Vice-Chair. The Chair and Vice Chair shall be elected annually. If the office of the Chair or Vice Chair becomes vacant, the Board of Commissioners will elect a successor at its next meeting. The successor serves until the next annual election of officers. Section 2. Chair: The Chair presides at meetings of the Board of Commissioners and performs the duties incident to the office. Section 3. Vice Chair: The Vice Chair possesses the powers and discharges the duties of the Chair in the Chair’s absence or when the office of the Chair is vacant. Section 4. Secretary: The Executive Director of the Authority is the Secretary of the Board of Commissioners. The Secretary shall: (i) keep correct and permanent records of the Board of Commissioners; (ii) record all votes; (iii) keep a record of the proceedings of the Board of Commissioners; and (iv) perform all other duties incident to the office. 3 ARTICLE IV - MEETINGS Section 1. Annual Meetings. The Board of Commissioners shall hold a regular meeting in February each year to elect the Chair and Vice-Chair. Section 2. Meetings. A schedule of regular meetings will be established by order of the Board of Commissioners prior to the start of each calendar year. Meetings shall be held in the Board Chambers located in the County Administration building at 651 Pine Street in Martinez, California. Section 3. Quorum. Four Commissioners constitutes a quorum of the Authority for the purpose of conducting its business and exercising its powers. The Authority may take any action by the affirmative vote of a majority when a quorum exists. Section 4. Alternate Chair. If both the Chair and Vice Chair are absent, the Commissioners present shall select from among themselves a Commissioner to preside at that meeting. Section 5. Compensation. Commissioners may receive compensation for attendance at up to four meetings of the Authority per month. Compensation is fixed at a rate of $50 per day. Commissioners may receive necessary traveling and subsistence expenses incurred in the discharge of their duties. Commissioners may opt out of receiving any compensation. This Section supersedes Authority Resolution No. 2007/104 adopted on February 26, 2007. ARTICLE V - AMENDMENTS Section 1. Amendments to Bylaws. The bylaws of the Board of Commissioners may be amended only with the approval of a majority of the members of the Board of Commissioners at a regular or special meeting. No amendment may be adopted unless at least seven days prior written notice has been given to all Commissioners. No provision of these bylaws pertaining to the composition of the Board of Commissioners may be amended unless authorized by resolution or order of the Board of Supervisors.
