Approve and authorize the Health Services Director, or his designee, to execute, on behalf of the County, as follows:
(1) Cancellation Agreement #26-573-4 with Dominic Ciotola (dba (CPR Training Center), a sole proprietor, effective
on the close of business on July 31, 2012; and
(2) Contract #26-573-5 with Dominic Ciotola (dba CPR Training Center), a sole proprietor, in an amount not to
exceed $160,000, to provide instruction of Cardiopulmonary Resuscitation (CPR) courses for selected Contra Costa
Regional Medical Center (CCRMC) and Contra Costa Health Center staff, for the period from August 1, 2012
through June 30, 2015.
FISCAL IMPACT:
This Contract is funded 100% by Enterprise Fund I. (Rate Increase)

Subject:Cancellation Agreement #26-573-4 and Contract #26-573-5 with Dominic Ciotola (dba CPR Training Center)
BACKGROUND:
On July 24, 2012, the Board of Supervisors approved Contract #26-573-3 with Dominic Ciotola (dba CPR Training
Center) for the period from July 1, 2012 through June 30, 2013, for the provision of American Heart
Association-approved CPR courses, including, but not limited to, Basic Life Support (BLS), Advanced Cardiac Life
Support (ACLS) and Advanced Pediatric Cardiac Life Support (APCLS) courses for CCRMC staff.
In consideration of Contractor’s agreement to continue providing services, both parties have agreed to re-negotiate
the Contract Payment Provisions and the term to reflect the intent of the parties. Therefore, in accordance with
General Conditions Paragraph 5 (Termination), of the Contract, the Department and Contractor have agreed to a
mutual cancellation of this Contract. Approval of Cancellation Agreement #26-573-4 will accomplish this termination.
Approval of Contract #26-573-5 will allow the Contractor to continue providing services including a BLS renewal
course with no minimum enrollment, through June 30, 2015.
CONSEQUENCE OF NEGATIVE ACTION:
If this cancellation and contract are not approved, Contractor will not be able to provide the new BLS Skills Check
Course, with no minimum enrollment.
