APPROVE and AUTHORIZE the Public Works Director, or designee, to execute Amendment No. 2, effective March
1, 2012, to an existing Consulting Services Agreement with Ghirardelli Associates, Inc., effective March 1, 2010, to
extend the term termination date from March 1, 2012 to June 30, 2012 and to increase the current payment limit by
$10,000 to a new payment of $1,145,190 in order to provide construction management services for the Vasco Road
Safety Improvements Project Phase 1, Brentwood and Byron areas. Project No. 0662-6R4254-09
FISCAL IMPACT:
This Consulting Services Agreement Amendment allows for an additional $10,000 above the previously approved
contract payment limit of $1,135,190. The increase in payment is to be funded by Road funds (100%).
BACKGROUND:
On March 23, 2010, the Board of Supervisors approved the Consulting Services Agreement (CSA) with Ghirardelli
Associates, Inc. to provide professional construction management services for the Vasco Road Safety Improvements
Project Phase 1. Construction management services

BACKGROUND: (CONT'D)
are required for the construction of this project. Ghirardelli Associates, Inc., a small business enterprise, was selected
to provide these services after completing a request for qualifications solicitation, County Outreach, and interview
process. They have been assisting County staff by providing construction inspection, contract administration and
resident engineer services.
The proposed amendment will amend the term and payment limits to that described in the Agreement. This
amendment is needed due to unanticipated project conditions.
CONSEQUENCE OF NEGATIVE ACTION:
If the amendment is not approved, Ghirardelli Associates, Inc. cannot be paid for the additional required work and the
final documentation for the construction phase will be delayed.
