Approve and authorize the Health Services Director, or his designee, to execute, on behalf
of the County, Contract Amendment Agreement #22–219–48 with Compass Group USA,
Inc., dba in California as Compass Group Foodservice, a corporation, effective May 15,
2011, to amend Novation Contract #22–219–47, to increase the payment limit by $87,853,
from $2,011,304 to a new payment limit of $2,099,157, with no change in the original term
of July 1, 2010 through June 30, 2011, and to increase the automatic extension payment
limit by $21,963, from $502,826 to a new payment limit of $524,789, with no change in the
term of the automatic extension, through September 30, 2011.
FISCAL IMPACT:
This Contract is 100% federally funded, through the State, under Title III C 1 and Title III C
2 of the Federal Older Americans Act of 1965. No County funds are required. (No rate
increase)

BACKGROUND: (CONT'D)
#22–219–47 with Compass Group USA, Inc., for the period from July 1, 2010 through June
30, 2011, which included a three-month automatic extension through September 30, 2011,
for the provision of meal services for County’s Senior Nutrition Program.
Approval of Contract Amendment Agreement #22–219–48 will allow the Contractor to
provide additional meals through June 30, 2011.
CONSEQUENCE OF NEGATIVE ACTION:
If this amendment is not approved, County’s elderly, handicapped, and
AIDS/HIV-diagnosed citizens who rely on the Senior Nutrition Program for meals will not
receive those meals.
