Approve and authorize the Health Services Director, or his designee, to execute, on behalf
of the County, as follows:
(1) Cancellation Agreement #27–571–9 with Thomson Reuters (Healthcare), Inc., a
corporation, effective on the close of business on September 30, 2010; and
(2) Contract #27–571–10 with Thomson Reuters (Healthcare), Inc., a corporation, in an
amount not to exceed $36,000, to provide audit services for the Contra Costa Health Plan,
for the period from October 1, 2010 through September 30, 2012.
FISCAL IMPACT:
This Contract is funded 100% by Health Plan Member Premiums. Rates have been
increased.
BACKGROUND:
In April 2009, the County Administrator approved and the Purchasing Services Manager
executed Contract #27-571-6 (as amended

BACKGROUND: (CONT'D)
by Contract Amendment Agreements #27–571–7 and #27–571–8) with Thomson Reuters
(Healthcare), Inc. to provide the National Committee for Quality Assurance (NCQA) Health
Plan Employer Data Information Set (HEDIS) annual audits for 2009 and 2010.
The Contractor has completed all services under the prior contract, and has been paid in full
for those services. Therefore, in accordance with General Conditions Paragraph 5
(Termination), of the Contract, the Department and Contractor have agreed to a mutual
cancellation of this Contract. Approval of Cancellation Agreement #27–571–9 will
accomplish this termination.
Approval of Contract #27–571–10 will allow the Contractor to continue providing services,
including provision of NCQA HEDIS annual audits for 2011 and 2012, through September
30, 2012, including modifications to County’s standard indemnification language.
CONSEQUENCE OF NEGATIVE ACTION:
If this contract is not approved, Contra Costa Health Plan will not obtain their NCQA
HEDIS annual audits, and the Health Plan will be out of compliance with Federal Center for
Medicare and Medicaid Services (CMS) regulations and the State requirements for
operating a Health Plan.
