Subject:Contract #26-605-1 with Eclipsys Corporation
BACKGROUND: (CONT'D)
22, 2010.
As one of the conditions, the Contractor has requested a modified indemnification clause
language. "To the extent" the Contractor’s liability does not exceed the Payment Limit. This
board order is to inform the Board of Supervisors that this Contract #26-605-1 requires the
Board’s approval because of a deviation from the standard County Indemnification Clause
and allow the Contractor to continue to provide services through February 22, 2011.
