APPROVE and AUTHORIZE the Conservation and Development Director, or designee, to
execute a contract containing a modified indemnification clause with RBF Consulting
effective June 3, 2009 to February 3, 2010 with a payment limit not to exceed $61,820.00 to
prepare an environmental document for two minor subdivisions in the Knightsen area.
FISCAL IMPACT:
None to the County General Fund. The cost is covered by revenue received from land
development application fees.
BACKGROUND:
The Environmental Document is for a request by Main Stone Inc. and Frank Faria to
establish two individual minor subdivisions located within the unincorporated Knightsen
area near the Delta Islands on land commonly known as Holland Tract. County File
#MS050053 proposes to subdivide approximately 344 acres into four parcels with a
designated remainder and County File #MS050044

Subject:CONTRACT WITH RBF CONSULTING FOR THE PREPARATION OF AN ENVIRONMENTAL
REVIEW DOCUMENT FOR TWO MINOR SUBDIVISIONS IN THE KNIGHTSEN AREA
BACKGROUND: (CONT'D)
proposes to subdivide approximately 473 acres into four parcels with a designated
remainder.
The Department has selected RBF Consulting for preparation of the environmental
documents for these two projects. Staff recommends that the Board approve and authorize
the contract with a modified indemnification clause. The modified language has been
reviewed and approved by Risk Management and County Counsel.
In May of 2008, the Board of Supervisors adopted Ordinance No. 2008-87 which
established new procedures and amendments for contracts. The ordinance requires any
contract that deviates from the standard County indemnification provisions to receive Board
of Supervisors consideration and approval.
The general conditions of the County long form contract contains an indemnification clause
which will omit the following language:
"If County elects to provide its own defense, the contractor will reimburse the County for
any expenditures, including reasonable attorney's fees and costs."
