APPROVE and AUTHORIZE the Conservation and Development Director, or her
designee, to execute a contract containing modified indemnification language with
Environmental Science Associates, Inc. (Contractor) in an amount not to exceed $60,000 for
technical consulting services associated with waste diversion programs for the period of
May 19, 2009 through May 31, 2011.
FISCAL IMPACT:
No impact to the General Fund. The work performed under this contract will be funded by
Solid Waste and Recycling Collection Franchise Fees and Used Oil Block Grant monies.
BACKGROUND:
The proposed contract with Environmental Science Associates, Inc. (ESA) will provide the
Department of Conservation & Development staff with technical consulting services that is
needed to assist with solid waste diversion programs in the unincorporated areas and
Oakley. ESA would provide assistance with a variety of implementation and reporting
activities under this

BACKGROUND: (CONT'D)
contract, including but not limited to:
♦ programs/activities targeting waste streams generated by businesses and schools
♦ programs/activities funded or required under our Used Oil Block Grant, and
♦ activities related to diversion/disposal reporting required to comply with State laws and
regulations.
The modified Indemnification clause contains amended language, requested by ESA and
revised by County Counsel's office, which is intended to clarify when the Contractor would
be held responsible for all or a portion of liablility or risk related to the services to be
performed.
