Subject:Contract #26-605 with Eclipsys Corporation
BACKGROUND: (CONT'D)

Costa Regional Medical Center and Contra Costa Health Centers, through February 22, 2010.
During Contract negotiations, as one of the conditions, the Contractor has requested a
modified the standard indemnification clause language. "To the extent" the Contractor’s
liability does not exceed the Payment Limit. This board order is to inform the Board of
Supervisors that this Contract #26-605 requires the Board’s approval because of a deviation
from the standard County Indemnification Clause.
