HomeMy WebLinkAboutMINUTES - 04282009 - C.44RECOMMENDATION(S): Approve and authorize the Health Services Director, or his designee (Jeff Smith, MD) to execute on behalf of the County, Contract #26-605 with Eclipsys Technologies Corporation, a corporation, in an amount not to exceed $41,120, to provide consultation and technical support to the Department with regard to maintaining the patient classification system and managing patient care services at Contra Costa Regional Medical Center and Contra Costa Health Centers, for the period from February 23, 2009 through February 22, 2010, including agreeing to indemnify County for litigation arising through sole negligence or sole willful misconduct of Contractor to the extent Contractor’s liability does not exceed Payment Limit. FISCAL IMPACT: This Contract is funded 100% by Budgeted Enterprise I. During Contract negotiations, as one of the conditions, the Contractor has requested a modified the standard indemnification clause language. "To the extent" the Contractor’s liability does not exceed the Payment Limit. This board order is to inform the Board of Supervisors that this Contract #26-605 requires the Board’s approval because of a deviation from the standard County Indemnification Clause.
