OF THE BOARD OF SUPERVISORRS OF THE
COUNTY OF CONTRA COSTA
ACCEPTING THE BID OF CONTRA COSTA COUNTY JUVENILE FACILI-
TIES CORPORATION TO LEASE A SITE FROM THE COUNTY, CONSTRUCT
THEREON AN ADDITION TO THE COUNTY JUVENILE HALL, AND LEASE
BACK SAID SITE AND SAID ADDITION TO THE COUNTY, AUTHORIZING
EXECUTION OF A SITE LEASE AND A FACILITY LEASE BETWEEN THE
COUNTY AND SAID CORPORATION, APPROVING THE FORMATION AND
MEMBERS AND DIRECTORS OF SAID CORPORATION, APPROVING FINANC-
ING ARRANGEMENT'S FOR BONDS OF SAID CORPORATI€3N AND ACCEPTING
GIFT OF BENEFICIAL INTEREST IN MEMBERSHIP CERTIFICATES OF
SAID CORPORATIt3N, AND AWARDING CONSTRUCTION CONTRACT TO
SOLLITT CONSTRUCTION COMPANY, INC.
WHEREAS, this Beard of Supervisors , by Resolution
No. 71/346, adopted May 25, 1971, approved plans and speci-
fications for construction of an addition to the County
Juvenile Hall, in Martinez, consisting of housing facili-
ties, classrooms, detention facilities, dining facilities,
offices, outside play areas, parking and related facilities
(herein called the "Project'") , and directed that bids for
the Project be received on June 24, 197`1;
WHEREAS, notice inviting competitive bids for the
construction of the Project was duly given in accordance
with applicable provisions of law, and bids were received
on June 24 , 1972;

WHEREAS, this Board of supervisors, by Resolution
No. 71/415, adapted June 29 , 1971, determined that the
Project should be constructed for the use and benefit of the
County of Contra Costa, and declared its intention to call
for bids for a lease of a site , the construction thereon of
the Project and the lease back of the site and the Project
to the County;
WHEREAS, notice inviting competitive bids for
said leases , in the manner heretofore provided in said
Resolution No. 71/415 , was duly given in accordance with
applicable provisions of law;
WHEREAS, the following bids for leases were and
are the only bids received in such competitive bidding,
to wit:

WHEREAS, the bid of Contra Costa County Juvenile
Facilities Corporation, a California nonprofit corporation
(herein called the "Corporations`) , is the Lowest responsible
bid received in such competitive lease bidding;
WHEREAS, as required by said notice inviting com-
petitive lease bids, the Corporation is prepared to enter
into a contract for the construction of the Project with
Sollitt Construction Company, Inc. , the contractor determined
by the County following receipt of construction bids to be
the lowest responsible construction bidder;
WHEREAS, the Corporation has been incorporated by

a group of public spirited citizens of the County of Contra
Costa for the specific and primary purpose of providing
financial assistance to the County of Contra Costa by fi-
nancing the construction of the Project; and
WHEREAS, by, its Articles of Incorporation and by
its By-laws no part of the net earnings, funds or assets
of said Corporation shall inure to the benefit of any mem-
ber thereof or any other person, firm or corporation, except
the County of Contra Costa;
NOW, THEREFORE, BE IT RESOLVED by the Board of
Supervisors of the County of Contra Costa, as follows-.
1. All of the recitals herein contained are true
and correct and this Board of Supervisors so finds.
2. The lease bid of the Corporation shall be and
it is hereby accepted, and the leases are awarded to the
Corporation. The Chairman of the Board of Supervisors and
the County Clerk are authorized and directed to execute and
deliver the lease, dated as of April 15, 1971 and entitled
"Site Lease," from the County to the Corporation, and the
lease, dated as of April 15, 1971 and entitled "Facility
Lease," from the Corporation to the Countyp in substantially
the forms submitted to this Board of Supervisors and hereby
approved. The County Clerk is directed to file a copy of
each such lease with the minutes of this meeting.
3. The Corporation and its formation are hereby
approved and the members and directors of the Corporation,
namely, Elito Babbini, Gerald F. McCormick, E. L. McFarland,
Raymond S. Taylor and William R. Zion, are hereby approved.
4. The form of the indenture, dated as of April
15, 1971, proposed to be entered into by the Corporation and

Wells Fargo Bank, National Association, as trustee, sub-
mitted to this Beard of Supervisors, and the Contra Costa
County Juvenile Facilities Corporation Bonds, in an aggre-
gate principal amount of not exceeding $2,380,000 , proposed
to be issued by the Corporation under said indenture, are
hereby approved. The proposed sale of said bonds by the
Corporation, at the interest rates set forth in said in-
denture, for cash at par value plus a premium of $999.00,
is hereby approved. The County Clerk is directed to file a
copy of said proposed indenture with the minutes of this
meeting.
5. The gift to the County of the beneficial in-
terest in the outstanding membership certificates of the
Corporation, pursuani to a declaration of trust, dated as
of April 15, 1971, proposed to be executed by Wells Fargo
Bank, National Association, as trustee, is hereby accepted,
to be effective when made,
6. The construction bid of Sollitt Construction
Company, Inc. in the amount of $1,783,000, being the lowest
responsible construction bid, is hereby accepted, and the
entering into by the Corporation and Solltt Construction
Company, Inc. of a contract for the construction of the
Project, in the form heretofore submitted to and approved
by this Beard of Supervisors, is hereby approved.
