SPECIFIC REQUEST(S) OR RECOMMENDATION(S) S BACKGROUND AND JUSTIFICATION
The Contra Costa County Redevelopment Agency .hereby resolves:
The Redevelopment Plan for the Pleasant Hill BART Station
Project Area anticipates and authorizes the Agency's acquisition
of the abandoned railroad right of way which runs through the
Project Area so that the right of way can be used for public
improvements necessary for implementation of the Redevelopment Plan.
Agency staff has presented the Agency with a proposed
agreement for the Agency's purchase of a portion of the right of
way in the Project Area as well as certain other portions of the
right of way in the County of Contra Costa. Such portions of the
right of way are currently owned by the Southern Pacific Company
or a subsidiary or parent thereof.
The County of Contra Costa desires to purchase the portion
of the right of way the Agency proposes to purchase that is not
in the Project Area and the Agency anticipates that such purchase
will be consummated within the next 60 days. Because of the
County 's interest in purchasing the portion of the right of way
not in the Project Area, the County has proposed advancing funds
to the Agency to be used for acquisition of the right of way and to
that end the Agency staff has presented the Agency with a proposed
repayment agreement with the County providing for such advance.
The acquisition of the right of way as proposed by the Agency
staff will be of benefit to the Redevelopment Plan and will forward
the health, safety and welfare of the County and its citizens.
Therefore,- the Executive Director of the Agency or his
designee is hereby authorized to execute on behalf of the Agency
a repayment agreement with the County of Contra Costa providing '
for the County..to advance to the Agency an amount not to exceed
$1, 500,000 to be used for purchase of the abandoned railroad right of
way within the County, for the advance to be repaid without
interest out of subsequent sales or leases of interests in the right
of way purchased and such other terms and conditions the Executive
Director deems prudent and in the best interest of the Agency.

The Executive Director of the Agency or his designee is
hereby authorized to execute on behalf of the Agency a purchase
agreement with the Southern Pacific Company and/or its parent or
subsidiary providing, for the Agency's purchase of the portion of
the right of way identified on the map attached hereto as Exhibit
A, for purchase price for the right of way acquired not to exceed
$5,500,000 payable in full not later than December 31 , 1987 with
interest on the unpaid portion of the purchase price at the prime
rate, for Southern Pacific Company and/or its subsidiary or
parent to receive a 50% share of certain revenues, if any,
received from sale or lease of interests in the acquired right of
way after such time as Southern Pacific Company has sold its
entire abandoned right of way within Contra Costa County from a
point approximately 3400 feet north of Monument Boulevard to the
southerly border of the County for the Agency to give Southern
Pacific Company a deed of trust or other security instrument on �)
the right of way purchased in order to secure any portion of the
purchase price not paid at close of escrow and for such other
terms and conditions the Executive Director deems prudent and in
the best interests of the Agency.
The Executive Director or his designee is hereby authorized
to take all actions and execute all documents necessary to
implement and carry out the Agency's obligations and rights under
the agreements approved above.
The Agency hereby appropriates the funds received by the
Agency from the repayment agreement approved above for use for
payments required under or in connection with the purchase
agreement approved above and the Executive Director or his
designee is authorized to expend such funds for such purpose.
