(100% City of Richmond Funds) (District.l) Project No. 0662-6R4148 SPECIFIC REQUEST(S)OR RECOMMENDATIONS)S BACKGROUND AND JUSTIFICATION RECOMMENDED ACTION: APPROVE and AUTHORIZE the Chair, Board of Supervisors, to execute the amendment to tine Joint Exercise of Power Agreement with the City of Richmond to increase the deposit amount by 522,253 from $69,000 to tine new alnnount of 591,253 for the Sall Pablo Darn Road Rehabilitation Project, from July 22, 2008 through the completion of project, El Sobrante Area. (100% City of Richmond Funds) (District I) Project No. 0662-6R4148 FISCAL IMPACT: There is no impact to the General Fund. The portion of the project within the City of Richmond is funded entirely with City of Richmond funds. The portion of the project within Contra Costa County is to be funded by Surface Transportation Program (STP), Measure C, and local road funds. REASONS FOR RECOMMENDATIONS AND BACKGROUND: Contra Costa County will design and place approximately 3.3 miles of bonded wearing course surface treatment, striping, and construct/reconstruct curb ramps along San Pablo Dann Road. Within the 3.3 miles of San Pablo Dam Road from El Portal Drive to Tri Lane, there are three sections of San Pablo Darn Road that are under the City of Richmond's jurisdiction. (100% City of Richmond Funds) (District 1) Project No. 0662-6R4148 DATE: July 22, 2008 PAGE: 2 of 2 REASONS FOR RECOMMENDATIONS AND BACKGROUND (cont.): Bristlecone Drive, and Castro Ranch Road. The City of Richmond has requested that Contra Costa County include the City of Richmond's three sections within the 3.3 miles project limits. Work will be performed by Contra Costa County maintenance crews and a contractor. Since approval of the Joint Exercise of Power Agreement with the City of Richmond on April 3, 2007, a more detailed cost estimate for the project was completed necessitating an amendment to the original agreement to account for the additional estimated costs. The purpose of this agreement is to make such an amendment to the provisions for the apportionment of duties and costs between Contra Costa County and the City of Richmond as set forth in the original Joint Exercise of Power Agreement. Execution of this amendment to the Joint Exercise of Power Agreement will allow construction to proceed and allow Contra Costa County to be reimbursed for the costs incurred. County Counsel has reviewed this amelidment to the Joint Exercise of Power"Agreement and approved as to forill. The City of Richmond City Council approved this amendment to the Joint Exercise of Power Agreement in their March 18, 2008 City Council Meeting. The Mayor, City Clerk, City Engineer, and City Attorney have signed this agreement. CONSEQUENCES OF NEGATIVE ACTION: if the aureement is not approved, the sections ol'San Pablo Dam Road within City of Richmond's jurisdiction will be left unimproved. AMENDMENT No. 1 JOINT EXERCISE OF POWERS AGREEMENT BETWEEN CONTRA COSTA COUNTY AND THE CITY OF RICHMOND FOR SAN PABLO DAM ROAD REHABILITATION PROJECT (Contra Costa County Project No. 0662-6R-4148) This AMENDMENT, is entered into on the AZ day 0 2008, between the County of Contra Costa, a political subdivision of the State of li rnia (hereinafter referred to as COUNTY), and the City of Richmond, a municipal corporation duly organized and existing under the laws of the State of California (hereinafter referred to as CITY), pursuant to Government Code Section 6500 and following. WHEREAS, CITY and COUNTY entered into a Joint Exercise of Powers Agreement, hereinafter "AGREEMENT," on April 3, 2007, to define the responsibilities of CITY and COUNTY for the portion of a San Pablo Dam Road surface treatment project located within the CITY; and WHEREAS, CITY and COUNTY now desire to amend said AGREEMENT in accordance with the provisions of Section 8, "Agreement Modification," of said AGREEMENT. NOW, THEREFORE, CITY and COUNTY hereto mutually agree as follows: A. Section 1., "Purpose and Scope of Work.,"is amended in its entirety, to increase the planning cost estimate to read: 1. Purpose and Scope of Work. COUNTY will design and place approximately 3.3 miles of surface treatment (bonded wearing course), striping on San Pablo Dam Road, and curb ramps (the"PROJECT'). Within this 3.3 miles of San Pablo Dam Road from El Portal Drive to Tri Lane, there are three sections of San Pablo Dam Road that are under CITY's jurisdiction. The three sections are near Pleasant Lane and Leisure Lane, Bristlecone Drive, and Castro Ranch Road. CITY has requested that COUNTY add to the PROJECT these three sections (the"CITY WORK'), and COUNTY is agreeable to do so on the terms and conditions set forth below. Work will be performed by Contra Costa County maintenance crews and/or a COUNTY-hired contractor. The purpose of this AGREEMENT is to provide for the apportionment of duties and costs between COUNTY and CITY with respect to the CITY WORK. The CITY WORK requires preliminary engineering, design, construction and construction engineering as outlined in the Planning Cost Estimate(Exhibit"A-1'�. The estimated total CITY WORK cost is$91,253. B. Paragraph A.(1) of Section 2., "Responsibilities of COUNTY and CITY.", is amended in its entirety , to read: (1) Pay COUNTY for all costs of CITY WORK, which includes the design, construction engineering, contract administration, and inspection services AMENDMENT NO. 1 -JOINT EXERCISE OF POWERS AGREEMENT BETINEEN CONTRA COSTA COUNTY AND CITY OF RICHMOND FOR SAN PABLO DAM ROAD REHABILITATION PROJECT provided by COUNTY for the CITY WORK. The CITY WORK is estimated to cost $91,253, however the final cost for which the CITY is responsible to pay the COUNTY will be determined by actual cost of the items in the Planning Cost Estimate (Exhibit"A-1'D. C. Section 3., "Financial Responsibility.," is amended in its entirety, to read: . A. The CITY shall pay all costs of constructing the CITY WORK as outlined in the Planning Cost Estimate (Exhibit"A-1'D, all costs of extra work requested by the CITY, and a proportional share of .the cost of preliminary and construction engineering performed by the COUNTY. The construction area signs, traffic control system, and clearing and grubbing line items will require a proportional split based on a 97% split to the COUNTY and a 3% split to the CITY. This percentage is determined based on the square footage of the PROJECT within each jurisdiction. The preliminary. engineering and construction engineering line items will be based on 10% of the actual contract subtotal. B. CITY shall deposit with COUNTY $91,253 to cover the estimated costs of preliminary engineering, design, construction, construction engineering,and any other costs as a result of this project for the CITY WORK. CITY made a deposit of $69,000 in June 2007.. Within thirty (30) days.of demand by County, CITY will provide to COUNTY a check for$22,253. Should the CITY fail to make this additional deposit on time, the CITY's Project shall be deleted from the joint project, and, County may deduct from the previously deposited amount its preliminary engineering expenses as specified in Exhibit "A-1"and any other related COUNTY expenses accrued as of that date. C. COUNTY shall invoice CITY for approved change orders affecting the CITY WORK within thirty (30) days of incurring those costs. Payment owed to COUNTY shall be made by CITY no later than forty (45) calendar days after the actual billing by COUNTY. D. Within one (1) week following bid opening, if CITY determines the lowest responsible bid to be excessive, CITY may terminate this AGREEMENT. CITY shall still be obligated to pay COUNTY for design engineering and any other COUNTY costs associated with the elimination of WORK from the construction contract. The CITY shall compensate the COUNTY for preliminary engineering as specified in Exhibit"A-1" and any other related COUNTY expenses accrued as of that date. E. Within thirty (30) days .following the bid opening, if CITY determines the lowest responsible bid to be acceptable, CITY does not terminate this AGREEMENT within one (1) week following bid opening and the bid price is AMENDMENT NO. F.. The contractor awarded this PROJECT will be required to obtain a business license from the CITY if the contractor is not in possession of a business license from the CITY at the time the PROJECT is awarded. The business.license must be provided to the contractor by the CITY at a cost of $0 or the CITY must reimburse the COUNTY the cost of the business license obtained by the contractor. G. Within ninety (90) days of the last contract payment of the joint project, the COUNTY shall deliver a report of project expenditures to the CITY with a bill for the additional amount owed to the COUNTY if the costs of the CITY's project exceed the deposit paid. Payment for the amount owed to the COUNTY, if any, shall be made no later than forty-five (45) days after the date of billing by the COUNTY. If the costs of the CITY's project are less than the deposit paid, the excess shall be refunded to the CITY within ninety (90) days of the last contract payment of the joint payment. BE IT FURTHER agreed that all other provisions of the AGREEMENT not specifically amended herein shall remain in full force and in effect. IN WITNESS WHEREOF,.
