RECOMMENDATIONS:
1. RECOGNIZE five well-qualified candidates in the Internal Operations Committee recruitment to fill
the vacant Board of Supervisors Alternate seat on the Retirement Board: Adrian P. Anderson;
David Boland, Thomas E. Hall, Jerry R. Holcombe, and Martin B. McNair.
2. ADOPT Resolution No. 2008/503 to appoint the following individual to the Retirement Board,
effective July 23, 2008, as the Alternate to Members 4, 5, 6, and 9, to a term that will expire on
June 30, 2011:

BACKGROUND:
On December 12, 2000, the Board of Supervisors approved a policy on the process for
recruiting applicants for selected advisory bodies of the Board. This policy requires an open
recruitment for all vacancies to At Large seats appointed by the Board. The Board also
directed that the IOC personally conduct interviews of applicants for At Large seats on the
Contra Costa County Fire Protection District's Fire Advisory Commission, the County
Planning Commission, and the Board appointees to the County Employees' Retirement
Board (CCCERA).
On May 20, 2008, following a standard recruitment, the Board of Supervisors appointed
Arthur Y. Mitsutome to the Alternate Member to Seats 4, 5, 6, and 9 on the CCCERA. In
early June, Mr. Mitsutome notified the County that he intended to resign his seat due to a
conflict with his employer.
In an effort to minimize the gap in representation on the Retirement Board resulting from Mr.
Mitsutome's resignation, the Internal Operations Committee (IOC) on June 9 decided to
initiate a new recruitment to fill the Alternate seat and ultimately received five applications
from qualified candidates. The Committee interviewed four candidates on July 7; one
candidate did not appear. Prior to the interviews, each candidate was advised of the
significant time commitment required of Retirement Board members and of the importance of
disclosing any conflicts of interest. Each candidate assured the committee that he could
fulfill his responsibilities if appointed, and was aware of no conflicts of interest that would
preclude service on the Retirement Board.
As a result of the interviews, the Committee recommends the appointment of David Boland
to the Alternate Member to Seats 4, 5, 6, and 9, for a three-year term expiring on June 30,
2011.
Our Committee is most appreciative of the time and interest of all of the applicants and has
sent letters of appreciation to each of the candidates not recommended by the Committee
for appointment.

WHEREAS, on July 18, 2005, the Governor signed into law Assembly Bill 719 (Chapter 64, Statutes
of 2006), which permits the Contra Costa County Board or Supervisors, by resolution adopted by a
majority vote, to appoint an alternate member for the 41n 51h 6th or 9th member of the Contra Costa
Employees Retirement Association Board of Trustees (Retirement Board); and
WHEREAS, a majority of electors of the county on November 7, 2006 approved a measure
permitting an alternate member to serve for a supervisor who has been appointed as the 4tn 5th 6tn
or 9th member on the Board of Trustees. Therefore, the alternate member appointed by the Board of
Supervisors may serve for the 6th member of the Retirement Board, currently held by Supervisor John
Gioia; and
WHEREAS, the term of office for the alternate member will began on July 1, 2008 and will run
concurrently with the term of office of the 91h member—through June 30, 2011; and
WHEREAS, the alternate member shall vote as a member of the Retirement Board only in the event
the 4th 5t 6th or 9th member is absent from a Board meeting for any cause; and
WHEREAS, if there is a vacancy with respect to the 4th 5t 6th, or 9th member, the alternate member
shall fill that vacancy until the Board of Supervisors appoints a new regular member;
NOW, THEREFORE, THE BOARD HEREBY RESOLVES that the following individual is appointed to
serve as the Alternate Member to Members 4, 5, 6, and 9 on the Retirement Board to a term effective
July 23, 2008 through June 30, 2011:

MARTIN B. McNAIR
Martin B. McNair was born and raised in Long Beach, California. He graduated from the
University of California at Berkeley in 1961 with a Bachelor of Science degree in Business
Administration. In 1962 he was commissioned at the Naval Officer Candidate School in
Newport, Rhode Island.
His first assignment with the Navy was in Underwater Demolition/SEAL Training in
Coronado, California. He served as Acting Executive Officer, Diving Officer, Ordnance
Officer,and Special Weapons Officer. He was Officer-in-Charge of numerous overseas
detachments, including one to Vietnam in 1964.
Upon completing his required tour of active duty in 1965, Martin did graduate work at
the University of Chicago, obtaining his Master's Degree in Business Administration with a
Finance and Marketing emphasis. He postponed his entry into the business world and accepted
an offer to be the Head Coach of the University of California's prestigious crew program,
becoming, at 26,the youngest Head Coach in the country.
In 1972 Martin entered the business world as a Commercial Mortgage Underwriter for
the Rouse Company, followed by a Vice Presidency at Wells Fargo Mortgage Company. In
1978 he left to found his own construction/development company,the products of which won
many awards, including the National Association of Home Builders Grand Prize for Best Custom
Home in America and Best Single-Family Detached Project. In 1983 Martin purchased and
reorganized a large rigid insulation manufacturing company in Oakland, California. He sold the
company in 1984 and took an extended trip to New Zealand. Upon returning, he formed New
Zealand Imports, Inc. (NZI) but soon was persuaded to re-enter the real estate business. In May
of 1984 his wife took over NZI, and Martin joined Chevron Land and Development as a Senior
project Manager with responsibility.for two of its largest and most prestigious developments: the
950-acre Hilltop multi-use project and the 1,700-acre Vaca Valley Corporate Center. In 1986 he
was promoted to Vice President of Operations and Acquisitions for the Huntington Beach
Company, a Chevron subsidiary. In late 1986 he left Chevron employment and founded MBM, a
solely-owned construction, development and real estate investment company for his own
aunt:
Martin stayed active in the Naval Reserve as a fully qualified Special Warfare Officer.
He retired as a Captain in late 1990 with 28 years of distinguished service, including four
command assignments.
Martin's outside activities include serving as a member of the Board of Mechanics Bank
(Loan and Audit Committees); he has served as Chairman of Contra Costa County LAFCO
(Local Agency Formation Commission); on the California Regional Water Quality Control
Board, San Francisco Bay Region; and on the San Francisco Bay Conservation and
Development Commission. He is on the Boards and serves as Treasurer for: Classic Yacht
Association, University of California Fraternity Alumni Advisors Council, and Opportunity
West.

Provided Human Resources leadership at the time of the acquisition of the San Jose based Megatest Corporation by Teradyne
insuring a smooth transition and the retention of needed technical and managerial employees. Implemented training
programs in both locations resulting in improved supervisory and managerial skills. Developed a responsive recruiting
process that enabled the Division to rapidly increase product delivery during periods of rapid business expansion.

Hired as Director of Human Resources in Kansan City,KS to develop and manage the Human Resource function and to implement
management/organizational changes subsequent to the merger of Informix Software with Innovative Software located in
Kansas City. Provided staffing support that enabled the organization to achieve a 40%annual sales growth. Managed a downsizing
effort that reduced the headcount by 15%and increased sales per employee 26%
Transferred to the corporate offices in 1989 and was appointed Director of Compensation and Benefits; was also responsible for
EEO/AAP,Human Resources Information Systems and for providing Human Resources support for personnel at international
locations. Designed and implemented a comprehensive compensation program including salary structures,policy manual and
management training. Implemented a new health care program, sabbatical plan,401(k)plan, stock option plan and expatriate
programs. Designed and implemented incentive compensation programs for management, sales and customer support personnel.

Initially hired as Director of Human Resources by this$225 million 3,000 employee microwave semiconductor telecommunications
Company to develop and manage the Human Resources function at three manufacturing sites. Subsequently promoted to the
Corporate Office and given responsibility for company wide Human Resources which included Compensation and Benefits,Training
and Development and Safety and Security functions.
Developed and expanded the staffing function enabling the organization to hire 1,200 new employees in 1984.Provided needed
staffing for two new manufacturing sites in California in 1985 and 1986.Was a member of the start up team for an Assembly and
Final Test facility established in Sussex,UK in 1997. Managed numerous organizational change efforts and reductions in force as
needed to meet changing or declining customer product demand.
Applied Materials,Santa Clara,CA May 1979 to February 1984
Employed as Corporate Director of Human Resources for this rapidly growing semiconductor equipment manufacturing company.
Also served as Special Assistant to the President and participated in the merger transition team when Applied Materials purchased
the Cobilt Division of Computervision.
Designed and implemented new compensation and benefit plans including a 401 (k)plan, employee profit sharing plan, employee
incentive stock option plan,and executive and product line incentive compensation plans.Developed and implemented basic Human
Resources policies and improved the skill level of first and second level line managers by implementing a comprehensive
management-training program.
Hughes Airwest,San Mateo,CA September 1976 to May 1979
As Director of Personnel for this 3,500 employee airline, improved and expanded the personnel function, enabling
the organization to grow and prepare for the legal deregulation of the airline industry. Represented management in various union
relations activities including the grievance process,collective bargaining and on union-management employee benefit and welfare
committees.
Designed and implemented a compensation program for management personnel including salary grades/ranges,job evaluation and
compensation policies and procedures.Responsible for the implementation of the administrative and benefit design changes for
retirement plans to ensure initial and on-going compliance with the new ERISA regulations. Organized and developed the staffing
function enabling the company to grow from 2,000 to 3,500 employees in a two-year period.
