APPROVE the First Amendment to the Lease with Earl D. Dunivan and Joanne Dunivan to include tenant improvement provisions to the existing lease for the premises at 725 Marina Vista, Martinez, under the terms and conditions more particularly set forth in the Lease. 2. AUTHORIZE the Director of General Services, or designee, to EXECUTE the Lease Amendment. FINANCIAL IMPACT The tenant improvement costs will be paid from the Clerk-Recorder's Micrographics and Modernization budget for the storage, modernization and preservation of records. These are Non- General funds dedicated to this purpose. The cost to provide the tenant improvements is $135,000, which will be paid to the landlord upon completion of the project. BACKGROUND The County has leased the premises since June 2005. The premises consist of approximately 4,000 square feet of office and warehouse space for the operation of the Clerk-Recorder's Micrographics and Modernization program. This (program will provide the public with access to the Clerk-Recorder archives, which include vital records, grantor/grantee indices, historical property records and original maps. Approval of the Lease Amendment will provide for the construction of improvements to develop the Clerk-Recorder's Records Management program and make the space accessible to the public. PARTIES: Effective on EARL D. DUNIVAN and JOANNE DUNIVAN, hereinafter called "LESSOR," and COUNTY OF CONTRA COSTA, a political subdivision of the State of California, hereinafter called "COUNTY," mutually agree and promise as follows: 2. PURPOSE: The parties desire to amend that Lease dated June 7, 2005, entered into between LESSOR and COUNTY for approximately 4,000 square feet of office and warehouse space commonly known as 725 Marina Vista, Martinez, California, to build tenant improvements in the Premises at the request of the COUNTY. The Tenant Improvements shall include, but are not limited to, a restroom compliant with Americans with Disabilities Act (ADA) regulations, removal and installation of new and old walls, construction of a new office, new interior doors, paint, and linoleum. 3. AMENDMENT: A. Paragraph C.7. ACCOMPLISHMENT OF IMPROVEMENTS and paragraph C.B. COMPLETION AND OCCUPANCY shall be added to the Lease as follows: C.7. . VIPLISHMENT OF IMPROVEMENTS: a. LESSOR shall construct improvements per plans and specifications ("Plans and Specifications") labeled Exhibit C, consisting of 20 pages, including the plans (pages 18, 19, and 20) prepared by Farias & Marrugo, architects, and dated March 31 and July 27, 2006, attached hereto and made a part hereof. The improvements described in the Plans and Specifications are sometimes referred to as "Tenant Improvements"). Dunivan and Associates to provide the construction services required in this Paragraph C.7. b. COUNTY shall reimburse LESSOR an amount not to exceed ONE HUNDRED THIRTY FIVE THOUSAND EIGHT- SEVEN AND NO/100 DOLLARS ($135,087.00) for all costs of constructing the Tenant Improvements, including, but not limited to, labor, materials, supplies, equipment, permits, plans, profit and overhead, as described in Exhibit C — Plans and Specifications for the Clerk-Recorder, as approved by COUNTY. LESSOR shall complete the Tenant Improvements in accordance with the Plans and Specifications cited in Subparagraph a. above, exclusive of the cost of COUNTY approved change orders, as provided in Subparagraph c. below. C. After approval by COUNTY, LESSOR shall not make or cause to be made any changes in the Plans or Specifications without prior written consent of COUNTY. Upon receipt of written COUNTY requested change orders, and prior agreement between LESSOR .and COUNTY'S General Services Director, or designee, on the cost of the change orders, which shall not exceed direct cost plus fifteen percent (115%) management fee, LESSOR shall make the changes, additions or deletions. COUNTY shall receive full credit for any deletions. d. LESSOR shall comply with California Labor Code Sections 1720-1861 as they apply to the accomplishment of the Tenant Improvements. 2 DRA:S$V 725MarinaV istaamend l e.doc 8/02/06 2:00 pm e. COUNTY hereby reserved the right to inspect the Tenant Improvements during construction, but will not interfere with LESSOR'S work and will notify LESSOR of any requests, recommendations or discrepancies in writing. f LESSOR shall apply for a building permit within fifteen (15) dI{ays of the effective date of this Amendment. g. LESSOR shall commence construction within thirty (30) days olf the issuance of a building permit and the Tenant Improvements shall be complete, including final inspection, within three (3) months of issuance of a building permit. If actual construction has not commenced prior to forty-five (45) days after the effective date of this Amendment, COUNTY may, upon written notice to LESSOR, cancel this Lease Amendment without cost or obligation to COUNTY. h. Lf Tenant Improvements are not completed within five (5) months from the date of the building permit issuance, COUNTY may, at its sole discretion: i) terminate this Lease Amendment by giving LESSOR written notice, with no further cost or obligation on the part of COUNTY, or ii) complete the Tenant Improvements and deduct the cost from the amount to be reimbursed to LESSOR. i. Upon LESSOR'S written request, the dates in this paragraph shall be extended by the time lost as a result of work stoppages, change orders, strikes, shortages of material or Acts of God; provided such time lost is entirely beyond LESSOR'S control. 3 DRA:SBV 725MarinaV istaamend I e.doc 8/02/06 2:00 pm C.8. COMPLETION AND OCCUPANCY: The following procedure shall apply for completion, acceptance, and payment of the Tenant Improvements: a. Subject to the maximum amount stated in Paragraph C.7.b., COUNTY shall reimburse LESSOR one hundred percent (100%) of the costs for the Tenant Improvements in accordance with the provisions described in Paragraphs C.7.a and C.7.b. ACCOMPLISHMENT OF IMPROVEMENTS. A Six Stage Construction Schedule (the "Schedule") providing for the completion of the Tenant Improvements is contained in Exhibit D, which is attached hereto and made a part hereof. Upon completion and acceptance of each stage of construction by COUNTY, LESSOR shall submit a properly documented progress payment request to COUNTY for payment within ten (10) working days. b. Upon LESSOR'S final completion of the Tenant Improvements and written notice thereof to COUNTY'S General Services Director, or designee, COUNTY and the Clerk-Recorder shall inspect the work within three (3) working days after receiving the notice, and shall accept or reject the Tenant Improvements within six (6) workdays of receipt of such written notice. The sole basis for rejection of the Tenant Improvements shall be nonconformity with the Plans and Specifications outlined in Exhibit B or applicable laws or ordinances. LESSOR shall immediately commence to complete or correct the rejected portion. 4. EFFECT: Except for the Amendment agreed to herein, the Lease dated June 7, 2005, remains in full force and effect.
