BACKGROUND: Since FY 1981-82 the County has contracted with Caltrans for reimbursement of county casts for control of ground squirrels and other burrowing rodents within Caltrans highway right of way in Contra Costa County. The amount and flexibility of this contract will allow the County to fully recover all County costs. P BY _C ��C_a..� DEPUTY Agreement No. 04A1846 Sheet 1 of 8 County Agreement No. COUNTY OF CONTRA COSTA COOPERATIVE AGREEMENT This is an agreement entered into this 1 sth day of August, 2003 by and through the California Department of Transportation, hereinafter referred to as"Caltrans"and the County of Centra Costa, hereinafter referred to as "County". RECITALS Caltrans and County, pursuant to Streets and Highways Code 180 are authorized to enter into an Agreement for the control of ground squirrels and other burrowing rodents through the use of poison bait, fumigation and traps within Caltrans highway right of way in Contra Costa County. SECTION I County Agrees: 1. County shall furnish all labor, materials, equipment and appropriate chemicals for the control of groundsquirrels and other burrowing rodents with Caltrans highway right of way in Contra Costa County by means of poison bait,fumigation and traps. The work shall be done on an as-needed basis as indicated by site conditions and time of year. 2. The County shall be restricted to the following chemicals and application rates* A. Diphacinone (.01%) @ 10 lbs/acre- 3 applications per week B. Diphacinone (.005%) @ 10 lbs/acre - bait station C. Gas Cartridges 1 cartridge per burrow D. Phosroxin Tablets 2 tablets per burrow * The authorized amount is an estimate only. 3. County shall wear all required personal protective equipment as specified by the label of the applied rodenticide, and fallow all safety precautions specified by the same label. 4. County shall provide traffic control for shoulder work as determined by the Caltrans Contract Manager or his/her designee. Agreement No. 04A1846 Sheet 2 of 8 County Agreement No. -- 5. County shall assume responsibility for protecting pedestrians, children and pets from exposure to poison bait and/or fumigants and traps. SECTION II Caltrans Agrees: Caltrans shall reimburse County for the actual hast of materials and supplies used at the worksite in performance of this agreement (including applicable sales tax). Gast of materials and supplies is to be substantiated by an invoice signed by the County's authorized representative,verifying the actual cost and delivery of replaced components. SECTION Ill It Is Mutually Agreed: In consideration of the foregoing and the mutual promises of the parties hereto, the County and Caltrans agree as follows: 1. Period of Performance This Agreement shall begin on August 1, 2003, contingent upon approval by Caltrans, and expires on July 31, 2005, unless extended by amendment. Agreement No. 04A1 846 Sheet 3 of 8 County Agreement No. 3, Change in Terms/Amendment No alteration or variation of the term of this Agreement shall be valid unless made in writing and signed by the parties hereto, and no oral understanding or agreement not incorporated herein shall be binding on any of the parties hereto. 4. Termination This Agreement may be terminated by either party for any reason by giving written notice to the other party at least thirty(30) days in advance of the effective date of such termination. 5. Cost Limitation A. The total amount payable by Caltrans shall not exceed$20,000.00. B. It is agreed and understood that this is only an estimate and that Caltrans will pay only services actually rendered and authorized by the Caltrans Contract Manager. C. This is a multi-year funded agreement. Payment A. Caltrans shall pay County rates as follows: Labor $37.25 Per Person Per Hour Equipment 6.50 Per Hour Materials: Diphacinone (.01%) $1.52 Per Pound Diphacinone (.005%) $1.28 Per Pound Gas Cartridges $1.76 Per Cartridge Posroxin Tablets $ .25 Per Tablet B. The hourly rate shall include the actual cost of salaries (including overhead and general administrative costs)and employee benefits (including but not limiters to vacation, holiday time, and sick leave). Agreement No. 034A1846 Sheet 4 of 8 County Agreement No. _ C. The hourly rate may be adjusted with an approved County resolution or minute order for the position performing work on this Agreement. This resolution or minute order must be provided to Caltrans Contract Manager prior to any payment being made with increased rates. D. Caltrans shall reimburse the County monthly, in arrears, as promptly as Caltrans fiscal procedures permit, upon receipt of invoices in triplicate. Hold Harmless Clause Neither STATE nor any officer or employee thereof is responsible for any damage or liability occurring by reason of anything done by County under, or in connection with any work, authority, or jurisdiction delegated to County under this Agreement. It is understood and agreed that, pursuant to Goverment Code Section 895.4, County shall fully defend, indemnify, and save harmless the State of California, all officers and employees from all claims, suits, or actions of every name, kind, and description brought for or on account of injury(as defined in Government Code Section 819.8)occurring by reason of anything done or omitted to be done by County under or in connection with any work, authority, or jurisdiction delegated to County under this Agreement. 8. Non-Discrimination During the performance of this agreement, County and its subcontractors shall not unlawfully discriminate, harass or allow harassment, against any employee or applicant for employment because of sex, race,color, ancestry, religious creed, national origin, disability(including HIV and AIDS), medical condition (cancer), age, marital status, denial of family and medical care leave, and denial of pregnancy disability leave. County and subcontractors shall insure that the evaluation and treatment of their employees and applicants for employment are free from such discrimination and harassment. County and sub-contractors shall comply with the provisions of the Fair Employment and Housing Act(Government Code, Section 129003 et seq.) and the applicable regulations promulgated thereunder(California Code of Regulations, Title 2, Section 7285.€3',et seq.). The applicable regulations of the Fair Employment and Housing Commission implementing Government Cade, Section 129903 (a-f), set forth in Chapter 5 of Division 4 of Title 2 of the California Mode of Regulations are incorporated into this agreement by reference and made a part hereof as if set forth in full. County and its subcontractors shall give written notice of their obligations under this clause to labor organizations with which they have a collective bargaining or other agreement. 9. Cost Principles A. County agrees to comply with Federal procedures in accordance with Office of Management and Budget Circular A-87, Cost Principles for State and Local Governments. County also agrees to comply with Federal procedures in accordance with 49CFR, Part 18, Uniform Administrative Requirements for Grants and Cooperative Agreements to State and Local Governments. C. Any costs for which payment has been made to County that are determined by subsequent audit to be unallowable under Office of Management and Budget Circular A-87 or CFR 49, Part 18, Uniform Governments, are subject to repayment by County to State. 10. insurance County shall provide Caltrans proof of Worker's Compensation Insurance or self-insurance pursuant to Section 3700 of the Labor Codes. A copy of this certificate shall be returned along with this Agreement after approval by the Board of Supervisors and the County legal Counsel or Attorney. Find signature will not occur until this information is provided by the County. 11.Obligation Nothing in the provisions of the Agreement is intended to create duties or obligations to or rights in third parties to this Agreement or affect the legal liability of either party to the agreement by imposing any standard of care with respect to the maintenance of State highways different from the standard of care imposed by law. 12. Records Retention For the purpose of determining compliance with Public Contract Code Section 10115, et. seq.and Title 21, California Code of Regulations, Chapter 21,Section 2500 et. seq.,when applicable, and other matters connected with the performance of the agreement pursuant to Government Code Section 8548.7,County,subcontractors and the State shall maintain all books,documents, papers, accounting records,and other evidence pertaining to the performance of the agreement, including but not limited to,the costs of administering the agreement. All parties shall make such materials available at their respective offices at all reasonable times during the agreement period and for three years from the date of final payment under the agreement. The State,the State Auditor, FNWA,or any duly authorized representative of the Federal government shall have access to any books, records, and documents of County that are pertinent to the agreement for audits, examinations,excerpts, and transactions, and copies thereof shall be furnished if requested. 13. Relationship of Parties It is expressly understood that this is an Agreement by and between two independent parties and that this is not intended to, and shall not be construed to, create the relationship of agent, servant, employee, partnership,joint venture or association, or any other relationship whatsoever other than that of two independent parties. 14. Drug Free Workplace Certification By signing this agreement, County hereby certifies under penalty of perjury under the laws of the State of California that they will comply with the requirements of the Drug-Free Workplace Act of 1990{Government Code Section 8350 et seq.}and will provide a drug-free workplace by doing all of the following: Agreement No. 04A1 846 Sheet 6 of 8 County Agreement No. 1, Publish a statement notifying employees that unlawful manufacture, distribution, dispensation, possession, or use of a controlled substance is prohibited and specifying actions to be taken against employees for violations,as required by Government Code Section 8355(a). 2. establish a Drug-Free Awareness Program as required by Government Code Section 8355(b), to inform employees about all of the following; a) the dangers of drug abuse in the workplace, b) the person's or organization's policy of maintaining a drug-free workplace, c) any available counseling, rehabilitation and employee assistance programs, and d) penalties that may be imposed upon employees for drug abuse violations. 3. Provide as required by Government Code Section 8355(c)that every employee who works on the proposed agreement or grant; a) will receive a copy of the company's drug-free policy statement, and b) will agree to abide by the terms of the company's statement as a condition of employment on the agreement or grant. 4. Failure to comply with these requirements may result in suspension of payments under the agreement or termination of the agreement or both and County may be ineligible for award of any future state agreements if the Department determines that any of the following has occurred: (1)County has made a false certification or, (2) violates the certification by failing to carry out the requirements as noted above. 15. Subcontracting The County shall perform the work contemplated with resources available within its own organization and no portion of the work shall be subcontracted. 16. Funding Regsuirements A. It is mutually understood between the parties that this contract may have been written before ascertaining the availability of congressional or legislative appropriation of funds, for the mutual benefit of both parties in order to avoid program and fiscal delays that would occur if the contract were executed after that determination was made. B. This contract is valid and enforceable only if sufficient funds are made available to the State by the United States Government or the California State Legislature for the purpose of this program. In addition, this contract is subject to any additional restrictions, limitations,conditions, or any statute enacted by the Congress or the State Legislature that may affect the provisions, term or funding of this contract in any manner. C. It is mutually agreed that if the Congress or the State Legislature does not appropriate sufficient funds for the program, this contract shall be amended in writing to reflect any reduction in fonds. The Weed and Seed Program targets the unincorporated west county communities of North Richmond/Rodeo and Montalvin Manor. Activities funded by this grant will provide components to include, but not limited to, after school activities for youth and teens, substance abuse prevention, and community crime prevention education. BACXGRO=/REASt7N(S) FOR RECOMMENDATION(S) : On July 24, 2001, the Board of Supervisors approved Standard Agreement #29-502-6 '(as amended by Amendments #29-502-7 through #29-502-10) with the State Department of Alcohol & Drug Programs, for the period from July 1, 2001 through June 30, 2005 (expending Fiscal Years 2003-2004 Federal funds is extended through June 30, 2005) , for the provision of Substance Abuse services . Approval of this Standard Agreement (Amendment) #29-502-11 will guarantee that the County will continue to receive the full allocation amount included in the Agreement and allow the Department to continue providing needed Substance Abuse Services through June 30, 2005 .
