Short, Kleinfelder, Inc., General Manager of the Blackhawk Geologic Hazard Abatement District (GHAD) to execute a contract with Santis Construction, Inc. in the amount of $155,000, to provide operations management services for the Blackhawk GHAD, for the period July 1, 2003 through June 30, 2004. II. Fiscal Impact: There is no impact on the County General Fund. The Blackhawk GHAD is funded through revenues generated by County Service Area M-23 (CSA M-23). Reasons for Recommendation and Backkaround: Mike Sands, President of Sands Construction, Inc., has been serving as the Operations Manager for the Blackhawk GRAD for approximately thirteen years. Mr. Sands has extensive experience in responding to and assisting the CHAD with the repair of landslides and landslide related work in Blackhawk and the surrounding area. Mr. Sands has acted as the community liaison during this tenure. His firm has been instrumental in providing assistance to both homeowners and GRAD during emergency response conditions. Mr. Sands directs contracts retained by the District to repair landslides, supervises contractors retained to perforrn preventative maintenance activities, responds to emergency calls from property owners and conducts initial site investigations. Mr. Sands brings a wealth of information regarding the District stemming from his long experience in the development, and provides the only reliable history of events available to the CHAD staff at this time. K.leinfelder, Inc. recommends approval of Sands Construction's annual contract with the Blackhawk CHAD for Fiscal Year 200312004. IV. Consequences of Negative Action: Without Board approval, the GHAD will not be able to effectively respond to emergencies, conduct major repair operations or execute its preventative maintenance program during this fiscal year. Public Agency shall pay Consultant for professional services performed at the rates shown in Appendix B attached hereto,which includ all overhead and incidental expenses,for which no additional compensation shall be allowed. Notwithstanding the foregoing,these incident expenses specifically itemized in Appendix B shall be reimbursable by Public Agency to Consultant,provided that Consultant submits copies r receipts and,if applicable,a detailed mileage log to Public Agency. in no event shall the total amount paid to Consultant exceed the paymer limit(s)specified in Sec.1(e)without prior written approval of the PubliicAgency. The Consultant is an independent contractor,and shall not be considered an employee of Public Agency. 10. Time or Completion. Unless the time is extended in writing by Public Agency,Consultant shall complete all services covered by this Agreement n later than the Completion Date(s)listed above. 11. RgpordRVtgntlon and Auditing. Except for materials and records delivered to Public Agency,Consultant shall retain all materials and record prepared or obtained in the performance of this Agreement,including financial records,for a period of at least five years after Consultants recak of the final payment under this Agreement. Upon request by Public Agency,at no additional charge,Consultant shag promptly make such record available to Public Agency,or to authorized representatives of the state and federal governments,at a convenient location within Contra Cost; County designated by Public Agency,and without restriction or limitation on their use. 12. Documentation. Consultant shall prepare and deliver to Public Agency at no additional charge,the items described in Appendix A to dor„urn th performance of this Agreement and shall furnish to Public Agency such information as is necessary to enable Public Agency to monitor tN performance of this Agreement. 13. Ownershi of'pocuments. All materials and records of a finished nature,such as final plans,specifications,reports,and maps,prepared c obtained in the performance of this Agreement,shall be delivered to and become the property of Public Agency. All materials of a prelimifrar nature, such as survey notes, sketches, preliminary plans, computations and other data, prepared or obtained in the performance of thi; Agreement,shall be made available,upon request,to Public Agency at no additional charge and without restriction or limitation on their use. 14. Extra}Mork. Any work or services in addition to the work or services described in Appendix A shall be performed by Consultant according to thr rates or charges listed in Appendix B. in the event that no rate or charge is listed for a particular type of extra work,Consultant shall be paid for tl'it extra work at a rate to be mutually agreed on prior to commencement of the extra work. In no event shall Consultant be entitled to compensation fo extra work unless a written authorization or change order describing the work and payment terms has been executed by Pubfic Agency prior to thi commencement of the work. 15. Termination: Public Agency or Consultant shall have the right to terminate this Agreeimment at any tkrre,whether or not Consultant is in default,tr, giving thirty(30)days written notes to the other parties. Upon such termination,Consultant shall without delay,deliver to Public Agency al materials and records prepared or obtained in the performance of this Agreement,and shall be paid,without duplication,all amounts due for the series rendered up to and including the date of termination. 1$. AbandonrlmerA by Qonsul tent. In the event the Consultant ceases performing services under this Agreement or otherwise abandons the project prio to completing all of the services described in this Agreement,Consultant shall,without delay,deliver to Public Agency all materials and records prepared or obtained in the performance of this Agreement,and shall be paid In accordance with provisions of Appendix B up through the date o said termination 17. Breach. In the event that Consultant fails to perform any of the services described in this Agreement or otherwise breaches this Agresement,Pt" Agency shall have the right to pursue all remedies provided by law or equity. Any disputes relating to the performance of this Agreement shall no be subject to myon-judicial arbitration. Any litigation involving this Agreement or relating to the work shall be brought in Contra Costa County,aric Consultant hereby waives the removal provisions of Code of Civil Procedure Section 394. 18. CoOVIiance with Laws. In perforating this Agreement,Consultant shall comply with all applicable laws,statutes,ordinances,rules and regulations whether federal,state or local in origin.This includes compliance with prevailing wage rates and their payment in accordance with California t,aba Code,Section 1775. 19 egg mr d. This Agreement shall not be assignable or transferable in whole or in part by Consultant,whether voluntarily,by operation of laser 01 otherwise;provided,however,that Consultant shall have the right to sub-contract that portion of the services for which Consultant does not haws the facilities to perform so long as Consultant notifies Public Agency of such subcontracting prior to execution of this Agreement.Any othei purported assignment,transfer or sub-contracting shall be void. 20. SSubcantmctirna. All subcontracts exceeding$25,000 in cost shall contain all of the required provisions of this contract. Consultant will pay eaeb subconsultant in accordance with the requirements of Civil Code Section 3321 as applicable. 21. Eridorselnent on Plans. Consultant shall endorse all plans,specifications,estimates,reports and other items described in Appendix A prior tc delivering them to Public Agency,and where appropriate,indicate his/her registration number. 22. Patents and C ovr€ghts;The issuance of a patent or copyright to Consultant or any other person shall not affect Public Agency's right to the materials and records prepared or obtained in the performance of this Agreement. Public Agency reserves a license to use such materials and records without restriction or limitation,and Public agency shall not be required to pay any additional fee or royalty for such materials or recorcls. The license reserved by Public Agency shall continue for a period of fifty years from the date of execution of this Agreement,unless extended bV operation of law or otherwise. 4 23. Indemnification: To the extent that a claim or lawsuit is not covered by the insurance required under Section 7,Public Agency shall indemnify ark hold Consultant harmless against,expenses,including reasonable attorneys fees,judgments,fines,settlements,and other amounts actually aro reasonably incurred in connection with any proceeding arising by reason of Consultant performance of services hereunder,except for expensaea incurred by Public Agency, Blackhawk CHAD, Richard 0. Short, Kleinfelder Inc. and their boards, officers and employees resulting front Consultant's gross negligence or will misconduct. Should Consultant become aware of a claim or lawsuit that may be subject to this section Consultant shall notify Pubic Agency and Richard D.Short,Kieinfelder ine.promptly in writing,and PublicAgency shall have the right to conduct ttu defense of such claim or lawsuit. 24. Heirs Surgessors and Assigns. Except as provided otherwise in section 20 above,this Agreement shall inure to the benefit of and bind the heirs successors,executors,personal representative and assigns of the parties. 25. 'public lin orsements. Contractor shall not in its capacity as a contractor with Public Agency publicly endorse or oppose the use of any particule brand name or commercial product without the prior approval of the Public Agency`s governing board. In Its Public Agency Contractor capacity Contractor shall not publicly attribute qualities or lack of qualifies to a particular brand name or commercial product in the absence of a well established and widely accepted scientific basis for such claims or without the prier approval of the Public Agency's governing board. In Its Pubik Agency contractor capacity, Contractor shall not participate or appear in any commerclally-produced advertisements designed to promote€ particular brand name or commercial product,even if Contractor is not publicly endorsing a product,as long as the Contractor's presence in Ow advertisement can reasonably be interpreted as an endorsement of the product by or on behalf of Public Agency. Notwithstanding the foregoing Contractor may express its views on products to other contractors, the Public Agency"s governing board, its officers,or others who may tte authorized by the Public Agency's governing board or by law to receive such views. 26. P ;t e>arsonnel. In performing the services under this Agreement,Consultant shall use the personnel listed in Appendix C,attached hereto arse made a part hereof by this reference. Changes in project personnel may only be made with Public Agency's written consent,and Consultant that notify Public Agency in uniting at least thirty(30)days in advance of any proposed change.Any person proposed as a replacement shall possew training,experience and credentials comparable to those of the person being replaced 27. ,PMgnt "a 9w Public Agency's payment for the services performed by Consultant under this Agreement shall be subject to review, determination of satisfaction,and approval of the Pubic Works Department,pursuant to section 1 of the Joint Exercise of Powers Agreement dam June 24,1W between Public Agency and the County of Contra Costa. 2& 6gnee nt Exter ion: In Public Agency"s sole discretion,the term of this Agreement maybe extended for one additional period not to exceed two„ years(.e.,a new Completion date no later than December 31,2003). Professional Services Contract Appendix "A" Scope of Work Under this contract, Sands Construction Company Inc. agrees to provide Professional Services as the District Operations Manager to the Geologic Hazard Abatement District(GHAT). The Scope ofWork ork,is subject to the payment limit in Section One of this Agreement. Services include,but are not necessarily limited to the following: :Cinder the direction of the General Manager or his designee,the District Operations Manager's duties include but are not limited to the following: • Establish priorities, forecast and establish work schedules, verify work activities are accomplished within established timeframes; • Assist with the preparations of Requests for Proposals (RFP), review experience of potential contractors: prepare and negotiate contracts,administer contracts,issue contract change orders,assist in managing claims, • Assist in administering and implement the Major Repairs Program, including assigning and directinj contractors to perform repairs; • Assist in administering and implement the Preventive Maintenance Program and establish and implemen Emergency Response capabilities; • Assist the General manager in establishing budgetary needs and status,preparing written reports and assist h Special Projects and Programs; • Represent the General Manager and the District, work with and respond to public inquires,property owne requests, interpret District policies and procedures, work with homeowners association representatives an others regarding activities of the District; • Assist the General Manager in determining work priorities and preparing the annual budget and repair an, maintenance programs, capital improvements programs, and updates of the Plan of Control; • Perform other duties as designated.
