HA-4 HOUSING AUTHORITY OF THE COUNTY OF CONTRA COSTA TO: BOARD OF COMMISSIONERS FROM: Robert McEwan, Executive Director DATE: July 3, 2001 SUBJECT: APPROVAL OF LICENSE AGREEMENT BETWEEN THE COUNTY OF CONTRA COSTA, DEPARTMENT OF GENERAL SERVICES AND THE HOUSING AUTHORITY OF THE COUNTY OF CONTRA COSTA SPECIFIC REQUEST(S)OR RECOMMENDATION(S)& BACKGROUND AND JUSTIFICATION I. RECOMMENDED ACTION: APPROVE one year License Agreement by and between the County of Contra Costa, Department of General Services and the Housing Authority of the County of Contra Costa and AUTHORIZE the Executive Director of the Housing Authority and the Director of General Services for the County of Contra Costa to execute a one year License Agreement for the use of 801 J Street, Antioch, California, as stated in the attached License Agreement. 11. FINANCIAL I M PACT: The executed agreement will generate $3,156 annually($263.00 monthly)to the Housing Authority Public Housing fund. III. REASONS FOR RECOMMENDATION/BACKGROUND The County of Contra Costa has been using 801 J Street, Antioch, CA, as a Head Start facility operated by the County of Contra Costa. This facility and program is available to Public Housing residents of the Housing Authority of the County of Contra Costa, as well as the surrounding community. The term of this License Agreement shall be for the period commencing July 1, 2001 and ending June 30, 2002. IV. CONSEQUENCES OF NEGATIVE ACTION: Should the Board of Commissioners elect not to authorize the Executive Director to enter into a one year License Agreement the County of Contra Costa,the on-going program would no longer function and this would be a detriment to the development, as well as to the community. ATTESTED J S EETEN, CLERK OF T E BOARD OF COMMISSIONERS AND COUNTY ADMINISTRATOR /BY ,�i��, DEPUTY oklysr.board.lcasc S LICENSE AGREEMENT 801 J STREET, ANTIOCH, CALIFORNIA This Agreement is effective July 1, 2001, by and between the HOUSING AUTHORITY OF THE COUNTY OF CONTRA COSTA., hereinafter called "LICENSOR" and COUNTY OF CONTRA COSTA, a political subdivision of the State of California, hereinafter called "COUNTY". LICENSOR is the Owner of certain real property, described as follows: The building at 801 J STREET, ANTIOCH, CALIFORNIA, as shown on Exhibit "A" attached hereto and made a part hereof, hereinafter referred to as the "Bridgemont Head Start". COUNTY desires to obtain LICENSOR 's permission to use the Premises and LICENSOR is willing to grant a license to use the Premises upon the terms and conditions contained herein. Now, therefore, the parties agree as follows: 1. Grant of License. Subject to the terms and conditions of this Agreement, LICENSOR hereby grants to COUNTY, an exclusive license to use the Premises, located at 801 J STREET, ANTIOCH, CALIFORNIA, together with rights of ingress and egress. 2. Term. The term of this Agreement shall commence July 1, 2001 and end June 30, 2002. 3. Fee. As consideration of this Agreement, COUNTY agrees to pay a fee of TWO HUNDRED SIXTY THREE AND NO/100 DOLLARS ($263.00),payable in advance on the first day of each month during the term of this LICENSE. Payments shall be mailed to: Housing Authority of the County of Contra Costa P.O. Box 2759 Martinez, California 94553 4. Extension: This License may be extended upon the same terms and conditions as follows: It is understood and agreed COUNTY shall give LICENSOR sixty (60) days prior written notice of its intention to extend this License. Upon receipt of COUNTY's notice, LICENSOR shall seek approval from the Board of Supervisors for Contra Costa County. Subject to the Board's approval of an extension by COUNTY, this Agreement will be extended for an additional twelve (12) month period. 5. Hold Harmless. COUNTY shall defend, indemnify, save, protect, and keep harmless LICENSOR against all liabilities,judgements, costs and expenses which may in any way accrue against LICENSOR in consequence of granting of this License, save and except claims or litigation arising from the sole negligence or sole willful misconduct of LICENSOR. 6. Insurance. It is acknowledged by both parties that COUNTY is self-insured for public liability and property damage exposure. -1- 7. Maintenance. All exterior maintenance of the building and Premises will be the responsibility of the LICENSOR. All interior maintenance of the building will be the responsibility of the COUNTY. COUNTY shall not suffer any waste on or to the Premises. 8. Termination. Either party may terminate this Agreement by giving the other party sixty (60) days advance written notice. 9. Entire Agreement. This instrument contains the entire Agreement between the parties relating to the rights herein granted and the obligations herein assumed. No alteration or variation of this Agreement shall be valid or binding unless made in writing and signed by the parties hereto.
