The term of the above described contract between parties hereto is hereby extended from August 1, 2000 to July 31, 2001, and increase the contract amount by$193,000 from $89,000 to a new total Contract Payment Limit of $282,000. The project is funded by Western Pacific Housing, settlement monies received by Contra Costa County for Subdivisions 6971 and 7489, and Oakley/North Brentwood Area of Benefit funds. III. Reasons for Recommendations and Background: Portions of the proposed improvements on Laurel Road were not completed by Subdivisions 7489 and 6971 as required by their conditions of approval. Western Pacific Housing agreed to include the incomplete improvements as part of their improvements proposed along Laurel Road as part of Subdivision 7657. The County, with authorization from the newly incorporated City of Oakley,worked with Western Pacific Housing to include the required improvements to make the section of Laurel Road between Empire Avenue and Brown Road a standard interim two lane roadway. The City of Oakley authorized County Counsel to complete the settlement proceedings already underway as Oakley incorporated on July 1, 1999. The City of Oakley also authorized the Public Works Department to coordinate the road improvements with Western Pacific Housing. The cost of the improvements shall be funded by Western Pacific Housing as part of the conditions of approval, as well as settlement money awarded to the County associated with Subdivisions 6971 and 7489, and Oakley/North Brentwood Area of Benefit funds. IV. Consequences of Negative Action: If the agreement is not approved, the reimbursement to Western Pacific Housing cannot be made and the road improvements on Laurel Road will not be completed. REIMBURSEMENT AGREEMENT This agreement is entered into effective June , 2000, by and between the County of Contra Costa, a political subdivision of the State of California(the"County"), and Western Pacific Housing—Laurel Woods II, a.Delaware limited liability company("Western Pacific"). RECITALS This agreement is made with reference to the following background: I. On or about October 21, 1988,the County approved Subdivision 6971, a 54-lot subdivision in the Oakley area of Contra Costa County. Under the conditions of approval for Subdivision 6971,the subdivider(Camray Development& Construction; "Camray") was required to improve the northern half width of Laurel Road fronting the subdivision (i.e., pavement widening, curb, gutter, sidewalk, storm drains, and median). 2. On or about July 11, 1989,the final map for Subdivision 6971 was approved. As required by the Subdivision Map Act and the County Ordinance Code, the subdivider was required to and did enter into a written subdivision agreement and furnish a surety bond to guarantee installation of the above-described improvements for Subdivision 6971. The bond, which was in the sum of$559,350.00, was issued by Golden Eagle Insurance Company("Golden Eagle"). 3. On or about September 25, 1990, Subdivision 6971 was taken over by a new subdivider (Lawrie Development Corporation and Donald Lawrie dba Lawrie Development; "Lawrie"). Pursuant to the Subdivision Map Act and the County Ordinance Code, Lawrie was required to and did enter into a substitute subdivision agreement and furnish a bond rider to guarantee installation of the above-described improvements for Subdivision 6971. The bond rider was issued by Golden Eagle and referred to the original bond. 4. On or about February 9, 1993, the County approved Subdivision 7657, a 220-lot subdivision located west of Subdivision 6971 on the other side of Laurel Road. Under the conditions of approval for Subdivision 7657, the subdivider(Camray) was required to improve the northern half width of Laurel Road fronting the subdivision (i.e.,pavement widening, curb, gutter, sidewalk, storm drains, median, landscaping, and irrigation). 5. Subsequently, Subdivision 7657 was taken over by a new subdivider(Western Pacific). Western Pacific has hired contractors to construct the above-described improvements for Subdivision 7657. 6. Effective July 1, 1999, the City of Oakley(the "City") incorporated, thus acquiring jurisdiction over Subdivisions 6971 and 7657, as well as the adjacent stretch of Laurel 1 Road. Subsequent to the City's incorporation, the County has provided public works services to the City and has continued to administer the improvements to Laurel Road. 7. Because the improvements being installed by Western Pacific's contractors for Subdivision 7657 are adjacent to those required for Subdivision 6971 and are part of the same road, Western Pacific offered to have its contractors install the improvements for Subdivision 6971 and additional improvements to Laurel Road (collectively referred to as "Additional Work"), subject to the County reimbursing Western Pacific for the cost of the Additional Work. 8. The County is willing to reimburse Western Pacific for the actual,pro rata cost of the Additional Work, subject to the terms and conditions of this agreement. NOW, THEREFORE, the County and Western Pacific agree as follows: 1. Subject to the limitations set forth below, the County shall reimburse Western Pacific for the actual, pro rata cost of performing the Additional Work. 2. In conjunction with the installation of the improvements for Subdivision 7657, Western Pacific shall cause the Additional Work to be performed, as shown on the improvement plans prepared for the Laurel Road Road Acceptance (RAI 088) reviewed and stamped August 11, 1999. All work shall be done by licensed contractors approved by the County, and shall comply with all applicable laws, statutes, regulations, ordinances, and codes. Before beginning the work, Western Pacific or its contractors shall obtain all necessary permits and shall furnish all required insurance and indemnification. 3. The cost of the improvements to Laurel Road shall be apportioned between Subdivision 7657, Subdivision 6971, Subdivision 7489, and the Area of Benefit(AOB) as shown in attached Exhibit A. 4. The reimbursement payable to Western Pacific for the Subdivision 6971 portion of the Additional Work shall consist of the items listed in Exhibit A and shall not exceed $105,000. 5. The reimbursement payable to Western Pacific for the Subdivision 7489 portion of the Additional Work shall consist of the items listed in Exhibit A and shall not exceed $55,000. 6. The reimbursement payable to Western Pacific for the Area of Benefit(AOB) portion of the Additional Work shall consist of the items listed in Exhibit A and shall not exceed $75,700. 7. In no event shall the total reimbursement to Western Pacific under this agreement exceed the sum of$235,700, nor shall Western Pacific be entitled to any payment of interest. 2 8. The only expenses that shall qualify for reimbursement pursuant to this agreement are actual, pro rata expenses paid by Western Pacific to licensed contractors for installation or construction of the Additional Work. As a precondition to receiving reimbursement from the County, all of the improvements shall pass all necessary inspections, and Western Pacific shall submit to the County detailed invoices, cancelled checks, and such other documentation as may be required by the County Public Works Department to document the expenses incurred by Western Pacific. So long as the work has passed final inspection and the Public Works Department is satisfied with the documentation of expenses submitted by Western Pacific,payment shall be made to Western Pacific within 30 days of the County's receipt of a request for reimbursement from Western Pacific. 9. Prior to receiving reimbursement for any improvement located within the City road right- of-way, Western Pacific shall assign to the City in writing all warranties and guarantees pertaining to the improvement. 10. Prior to or concurrently with receiving reimbursement from the County under this Agreement, Western Pacific shall pay to the County the following development fees required for Subdivision 7657 pursuant to the fee ordinance for the Oakley-North Brentwood Area of Benefit (County Ordinance No. 97-32): 44 units x $6,137/unit= $270,028 11. This agreement shall terminate upon final payment by the County to Western Pacific. 12. This agreement constitutes the total statement of rights between the County and Western Pacific concerning reimbursement for the cost of performing the Additional Work.
