This letter shall serve as our written notice to Contra Costa County that the Transfer Tex
currently imposed on the etched list of real properties are being paid under protest. Pursuant
to a reorganization plan, Hofmann Construction Co. is separating from emelt, two of its g
subsidiary businesses, Talisman Reams Group, Inc. and Century Vision Developers, Inc., under
Internal Revenue Code §355. Since the two separated companies will have the sane
shareholders air the separation, It is the corporation's opinion that no Transfer Faxes are due.
This conclusion is also supported by California's Revenue and Vexation Code §11923, which
states in pertinent part:
"Any tax imposed pursuant to this part shall not apply to the raking.,
delivering or filing of conveyancesto make effective any plan of reorganization or
