S .�y ...: . ..o� Y•. ,J4 DATE: September 13, 1994 County°err '� C N'� SUBJECT: Establish Ad Hoc Committee for Purposes of Obtaining Second Opinions Regarding Defeasance of the Merrithew Memorial Hospital Replacement Project SPECIFIC REQUEST(S)OR RECOMMENDATION(S)6 BACKGROUND AND JUSTIFICATION RECOMMENDATION ESTABLISH an Ad Hoc Committee of the Board 'of Supervisors charged with the specific task of: 1. RECOMMENDING independent bond counsel for the Board of Supervisors' consideration in hiring so as to obtain a "second opinion" on the legal consequences of defeasance of the Certificate of Participation financing used to fund the Merrithew Memorial Hospital Replacement Project; 2. RECOMMENDING an independent underwriter for the Board of Supervisor's consideration in hiring to provide the financial review of the funding requirements for a defeasance of the Merrithew Memorial Hospital Replacement Project financing; and 3. RECOMMENDING an outside hospital consultant for the Board of Supervisors' consideration to give us a cost-benefit analysis of the identifiable options for replacing Merrithew Memorial Hospital such as securing Los Medanos Community Hospital as the county's acute care facility, contracting with district hospitals, consolidation of services, etc. ; and 4. RECOMMENDING the Ad Hoc Committee meet immediately with the court ordered receiver of Los Medanos Hospital to discuss various options for Contra Costa County to purchase Los Medanos Hospital. FINANCIAL IMPACT The legal review can be accomplished for an amount not to exceed $4,000, and the financial analysis can be accomplished for an amount between $500 and $1,000. A second opinion on these issues is desirable at this time to assure that the county has the benefit of more than one review of the relevant facts. Given the opportunity presented by recent court decisions, it is incumbent upon the Board of Supervisors to exercise all prudent and responsible options relating to the replacement of Merrithew Memorial Hospital. ADDENDUM TO SEPTEMBER 13, 1994 AGENDA ITEM S.3 Board members discussed with the County Administrator the recommendations listed above. Following discussion, the Board AGREED to establish an Ad Hoc Committee of the Board, appointed Supervisors DeSaulnier and Torlakson thereto, and charged it with the specific tasks of: (1) recommending independent bond counsel. for the Board of Supervisor' s consideration to obtain a second opinion on the legal consequences of defeasance of the Certificate of Participation financing used to fund the Merrithew Memorial Hospital Replacement Project; and (2) recommending an independent underwriter for the Board of Supervisor' s consideration in hiring to provide the financial review of the funding requirements for a defeasance of the Merrithew Memorial Hospital Replacement Project financing. The vote on the above was unanimous. REFERRED to staff for report to the Ad Hoc Committee, Supervisor DeSaulnier' s proposal to request recommendations for an outside hospital consultant for the Board' s consideration to give a cost-benefit analysis of the identifiable options for replacing Merrithew Memorial Hospital such as securing Los Medanos Community Hospital as the County' s acute care facility, contracting with district hospitals, consolidations of services, etc; and, REQUESTED the Ad Hoc Committee to meet immediately with the court ordered receiver of Los Medanos Hospital to discuss various options for Contra Costa County to purchase Los Medanos Hospital . . The vote on the above two recommendations was as follows : AYES : Supervisors Bishop, DeSaulnier and Torlakson NOES : Supervisor Powers ABSTAIN: Supervisor Smith
